Ces Conditions de service relatives aux paiements pour les utilisateurs européens (« Conditions de paiement ») constituent un accord légalement contraignant entre vous et Airbnb Payments qui régit les Services de paiement (définis ci-dessous) effectués par ou en relation avec la Plateforme Airbnb. Lorsque ces Conditions de paiement mentionnent « Airbnb Payments », « nous », « nos » ou « notre », il s'agit d'une référence à :

  • Airbnb Payments Luxembourg S.A. (« Airbnb Payments Luxembourg ») si votre pays de résidence se trouve dans l'EEE.
  • Airbnb Payments UK Ltd. (« Airbnb Payments UK ») si votre pays de résidence se trouve au Royaume-Uni ou en Suisse.

Les présentes Conditions de paiement et les documents, politiques et normes qui y sont mentionnés forment un contrat juridiquement contraignant entre vous et Airbnb Payments qui régit les Services de paiement (définis ci-dessous) effectués par ou en relation avec la Plateforme Airbnb.

Les documents mentionnés dans les présentes Conditions de paiement comprennent, sans toutefois s'y limiter, nos :

  • Conditions de service, qui régissent votre droit d'utilisation des sites web, applications et autres offres d'Airbnb (collectivement, la « Plateforme Airbnb »),
  • Politique de remplacement d'hébergement et de remboursement , qui décrit de quelle manière Airbnb vous aidera à effectuer une nouvelle réservation et comment Airbnb gère les remboursements lorsqu'un Hôte annule une réservation ou qu'un autre Problème rencontré lors d'un voyage perturbe un séjour,
  • Politique de remboursement des expériences, qui explique comment les remboursements sont traités pour les expériences lorsqu'un Hôte annule ou qu'un Problème rencontré lors d'un voyage survient,
  • Politique relative aux cas de force majeure, qui explique comment les annulations sont traitées lorsque des événements imprévus indépendants de votre volonté surviennent après la réservation et rendent le séjour impossible ou illégal,
  • Conditions de la Garantie dommages des hôtes, qui explique les conditions, les exclusions et les limites en vertu desquelles Airbnb acceptera de payer un Hôte pour réparer ou remplacer les Biens couverts à la suite d'une Perte couverte,
  • Valeurs de la communauté, qui définissent les attentes vis-à-vis des membres de la Communauté Airbnb,
  • Politique en matière de contenus, qui régit la publication de contenu par les Membres sur la Plateforme Airbnb.

Pour des raisons de commodité, nous avons défini ci-dessus plusieurs conditions et politiques auxquelles il est fait référence dans les présentes Conditions de paiement. Cependant, il est important de noter qu'il existe d'autres politiques et conditions supplémentaires accessibles depuis notre page Conditions juridiques additionnelles, qui s'appliquent à votre utilisation de la Plateforme Airbnb, et sont incorporées par référence, et font également partie du contrat juridique contraignant entre vous et Airbnb.

Nos conditions et politiques sont organisées en fonction du ou des sujets auxquels elles se rapportent afin de vous permettre de trouver facilement les conditions ou la politique pertinentes pour votre demande ou votre événement.

Airbnb Payments fournit des services de paiement aux Membres qui publient, proposent et réservent des Hébergements, des Expériences ou d'autres Services d'hôte, y compris des services en relation avec le programme Open Homes et d'autres services actuels et futurs fournis par le biais de la Plateforme Airbnb. Ces services de paiement sont fournis au profit des Hôtes et peuvent inclure (le cas échéant) les éléments suivants (collectivement, les « Services de paiement») :

  • la collecte des paiements auprès des Voyageurs (les « Paiements »), en appliquant le mode de paiement fourni par le Voyageur ou associé à leur compte Airbnb, comme une carte de crédit, une carte de débit, un compte bancaire, un compte PayPal, un portefeuille numérique ou un produit de paiement échelonné fourni par un fournisseur de crédit (le « Mode de paiement »).
  • les paiements aux Hôtes (« Versement ») vers un instrument financier associé à leur compte Airbnb, tel qu'un compte PayPal, un compte bancaire, une carte prépayée ou une carte de débit (« Mode de versement ») ;
  • les paiements vers un Mode de versement tiers désigné par un Hôte ;
  • la collecte et le paiement de dons de bienfaisance ; et
  • d'autres services de paiement en rapport avec les Services d'hôte.

Airbnb Payments fournit des Services de paiement réglementés uniquement aux Hôtes en tant qu'agent de recouvrement de paiement à titre limité de l'Hôte en acceptant et en traitant les fonds des Voyageurs qui achètent les Services d'hôte au nom de l'Hôte.

Afin d'utiliser les Services de paiement, vous devez avoir moins 18 ans, avoir un compte Airbnb en règle conformément aux Conditions de service d'Airbnb (les « Conditions »), veiller à ce que vos informations de paiement et données personnelles soient exactes et complètes et nous fournir l'identité et d'autres informations que nous demandons.

Si vous changez de pays de résidence, la société Airbnb avec laquelle vous avez conclu un contrat et la version applicable des Conditions de paiement seront déterminées par votre nouveau pays de résidence à partir de la date à laquelle votre pays de résidence change. En continuant à utiliser les Services de paiement après votre changement de pays de résidence, vous acceptez ce changement de partie contractante et de conditions. Toutefois, veuillez noter que votre société contractante Airbnb Payments restera la même pour toutes les réservations effectuées avant votre changement de pays de résidence.

Les Conditions régissent séparément votre utilisation de la Plateforme Airbnb. Si un terme n'est pas défini dans les présentes Conditions de paiement, il a la même définition que dans les Conditions.

1. Votre utilisation des Services de paiement

1.1 Services de paiement Airbnb. En utilisant les Services de paiement, vous acceptez de vous conformer aux présentes Conditions de paiement. Airbnb Payments peut limiter ou suspendre temporairement votre accès aux Services de paiement ou à ses fonctionnalités et votre utilisation, afin d'effectuer des mesures de maintenance qui assurent le bon fonctionnement des Services de paiement.

1.2 Services de tiers. Les Services de paiement peuvent contenir des liens vers des sites web ou des ressources fournies par des tiers (« Services de tiers »). Ces Services de tiers sont soumis à des conditions de service et des politiques de confidentialité différentes, et les Membres doivent les vérifier. Airbnb Payments n'est pas responsable de l'utilisation de ces Services de tiers. Les liens vers lesdits Services de tiers ne constituent pas une approbation desdits services de tiers par Airbnb Payments.

1.3 Votre compte Airbnb. Airbnb Payments peut offrir des fonctionnalités qui vous permettent d'autoriser d'autres Membres ou des tiers à effectuer certaines actions ayant une incidence sur votre compte Airbnb. Vous pouvez autoriser un tiers à utiliser votre compte Airbnb si la fonctionnalité est activée pour votre compte Airbnb. Vous reconnaissez et acceptez que toute personne que vous autorisez à utiliser votre compte Airbnb peut utiliser les Services de paiement en votre nom et que vous serez responsable de tous paiements effectués par ladite personne.

1.4 Identification et vérification. Vous autorisez Airbnb Payments, directement ou par l'intermédiaire de tiers, à effectuer toutes les enquêtes que nous jugeons nécessaires pour vérifier votre identité et les informations que vous fournissez et, le cas échéant, pour vérifier l'identité du ou des représentants, et du ou des bénéficiaires effectifs. Cela peut inclure (i) la vérification de votre identité et, le cas échéant, de celle de votre ou de vos représentants et bénéficiaires effectifs dans des bases de données de tiers ou d'autres sources, (ii) la demande de rapports à des prestataires de services, (iii) la demande à votre égard et, le cas échéant, de celle de votre ou de vos représentants et bénéficiaires effectifs de fournir une pièce d'identité gouvernementale (par exemple, un permis de conduire ou un passeport), pour la vérification de votre nom, de votre lieu et de votre date de naissance, de votre adresse, de votre nationalité et/ou d'autres informations que nous jugeons nécessaires en vertu du droit applicable, ou (iv) la demande de mesures pour confirmer la propriété de votre adresse e-mail, de votre ou vos Modes de paiement ou de votre ou vos Modes de versements. Airbnb Payments se réserve le droit de résilier, suspendre ou limiter l'accès aux Services de paiement dans le cas où nous ne serions pas en mesure d'obtenir ou de vérifier l'une quelconque de ces informations.

1.5 Conditions supplémentaires. Votre accès à certains Services de paiement ou votre utilisation de ceux-ci peuvent être soumis à des conditions supplémentaires ou nécessiter que vous les acceptiez. En cas de conflit entre les présentes Conditions de paiement et les conditions applicables à un Service de paiement spécifique, ces dernières conditions prévaudront quant à votre utilisation de ce Service de paiement ou votre accès à celui-ci, sauf autrement spécifié.

2. Conditions relatives aux Voyageurs

2.1 Ajout d'un Mode de paiement. Lorsque vous ajoutez un Mode de paiement à votre compte Airbnb, il vous sera demandé de fournir les informations de facturation, telles que le nom, l'adresse de facturation et les informations relatives à votre instrument financier soit à Airbnb Payments soit à son ou ses prestataires de paiement tiers. Vous autorisez Airbnb Payments et son ou ses prestataires de services de paiement à collecter et stocker vos informations de Mode de paiement conformément à la Politique de confidentialité d'Airbnb.

2.2 Vérification du Mode de paiement. Lorsque vous ajoutez ou utilisez un nouveau Mode de paiement, Airbnb Payments peut le vérifier en (i) autorisant votre Mode de paiement pour un ou deux montants nominaux par l'intermédiaire d'un prestataire de services de paiement et en vous demandant de confirmer ces montants, ou (ii) en vous demandant de télécharger un relevé de transactions. Nous pouvons, et nous nous en réservons le droit, amorcer les remboursements de ces montants à partir de votre Mode de paiement. Lorsque vous ajoutez un Mode de paiement au moment du paiement, nous ajouterons et enregistrerons automatiquement ce Mode de paiement sur votre compte Airbnb de façon à ce qu'il puisse être utilisé pour une future transaction. Vous ne pouvez pas supprimer le Mode de paiement associé à une réservation, pendant la période commençant à la date de votre réservation et se terminant quatorze (14) jours après votre date de départ, ni pendant toute période supplémentaire nécessaire pour traiter toute Demande d'indemnisation pour dommages en suspens associée à cette réservation.

2.3 Autorisation de paiement. Vous permettez à Airbnb Payments de débiter votre ou vos Modes de paiement, directement ou indirectement, pour tous les frais et autres montants dus (y compris les taxes applicables) en relation avec votre compte Airbnb, y compris les montants correspondant à une Demande d'indemnisation pour dommages conformément aux Conditions et aux articles 5 et 6.

2.4 Mise à jour automatique du Mode de paiement. Si les informations concernant votre Mode de paiement changent (par exemple, le numéro de compte ou de carte, le code d'acheminement, la date d'expiration ou le code CVV ou code CVC) en conséquence d'une nouvelle délivrance ou autrement, nous pouvons acquérir ces informations auprès de nos partenaires de services financiers ou de votre banque et mettre à jour votre Mode de paiement dans notre dossier.

2.5 Délai de paiement. Airbnb Payments recouvrera en règle générale le Prix total dû après que l'Hôte a accepté votre demande de réservation. Cependant, si vous payez avec un Mode de paiement « push » (tel que Sofort), Airbnb Payments collectera le Prix total dû au moment de votre demande de réservation ou une fois que l'Hôte aura accepté votre demande de réservation. Airbnb peut offrir d'autres options concernant les délais et modalités de paiement. Tous les frais supplémentaires pour l'utilisation de ces options de paiement alternatives seront affichés sur la Plateforme Airbnb et inclus dans le Prix total, et vous acceptez de payer ces frais en sélectionnant l'option de paiement. Des conditions supplémentaires peuvent s'appliquer en cas d'utilisation d'une option de paiement alternative. Si Airbnb Payments n'est pas en mesure de collecter le Prix total dû, comme prévu, Airbnb Payments collectera le Prix total dû à un moment ultérieur conformément à l'article 5.3. Une fois que le paiement correspondant à la réservation que vous avez demandée aura été effectué avec succès, vous recevrez un e-mail de confirmation.

2.6 Devise.

2.6.1 Les devises disponibles pour effectuer des paiements peuvent être limitées pour des raisons réglementaires ou opérationnelles en fonction de facteurs tels que le Mode de paiement que vous avez choisi, votre pays de résidence et/ou votre ou vos entités contractantes Airbnb Payments. Toute restriction de cette nature sera communiquée sur la Plateforme Airbnb, et vous devrez choisir une autre devise ou un autre Mode de paiement si votre devise par défaut n'est pas disponible.

2.6.2 Notez que si le pays dans lequel se trouve votre entité contractante Airbnb Payments est différent du pays de votre fournisseur de Mode de paiement ou si la devise choisie est différente de la devise de facturation de votre Mode de paiement, votre paiement peut être traité en dehors de votre pays de résidence. Par conséquent, votre fournisseur de Mode de paiement peut imposer certains frais et le montant indiqué sur votre relevé de Mode de paiement peut être différent du montant affiché lors du paiement. Par exemple, si vous faites une réservation avec une carte bancaire émise aux États-Unis, mais que vous avez sélectionné l'euro comme devise, votre paiement pourrait être traité en dehors des États-Unis. Les banques et les émetteurs de cartes de crédit peuvent appliquer des frais pour les transactions internationales et des commissions de change. En outre, si vous choisissez de payer dans une devise différente de la devise de facturation de votre Mode de paiement, votre banque ou l'émetteur de votre carte de crédit pourrait convertir le montant du paiement dans la devise de facturation associée à votre Mode de paiement, en appliquant un taux de change et une commission fixés uniquement par votre banque. Airbnb Payments n'est pas responsable de ces frais. Pour toute question concernant ces frais ou tout taux de change imposé par votre fournisseur de Mode de paiement, veuillez contacter votre fournisseur de Mode de paiement.

2.7 Statut de la demande de réservation. Si une réservation demandée est refusée parce qu'elle n'est pas acceptée par l'Hôte, si vous annulez la demande de réservation avant qu'elle ne soit acceptée par l'Hôte, ou si Airbnb annule la réservation, tous les montants collectés par Airbnb Payments et qui vous sont dus conformément aux politiques décrites à l'article 5.5, vous seront remboursés, et toute autorisation préalable de votre Mode de paiement sera levée (le cas échéant) conformément à l'article 5.5.2.

2.8 Restrictions de paiement. Airbnb Payments se réserve le droit de refuser ou de limiter les paiements dont nous estimons qu'ils (i) peuvent violer les politiques ou les procédures de gestion des risques d'Airbnb Payments, (ii) peuvent violer ces Conditions de paiement ou les Conditions, (iii) sont non autorisés, frauduleux ou illégaux, ou (iv) vous exposent ou exposent Airbnb, Airbnb Payments, ou d'autres à des risques inacceptables pour Airbnb Payments.

2.9 Prestataires de services de paiement. Les Modes de paiement peuvent impliquer le recours à des prestataires de services de paiement tiers. Ces prestataires de services de paiement peuvent vous facturer des frais supplémentaires lors du traitement des paiements en relation avec les Services de paiement ; Airbnb Payments n'est pas responsable de ces frais et décline toute responsabilité à cet égard. Votre Mode de paiement peut également faire l'objet de conditions d'utilisation supplémentaires. Veuillez les consulter avant d'utiliser votre Mode de paiement.

2.10 Votre Mode de paiement, votre responsabilité. Airbnb Payments n'est pas responsable de toute perte subie par vous en raison d'informations incorrectes que vous auriez fournies sur le Mode de paiement. Airbnb Payments ne vous fournit aucun Service de paiement réglementé.

2.11 Différents Modes de paiement

2.11.1 Payer une partie maintenant, puis une partie plus tard

2.11.1.1 Airbnb peut offrir aux Voyageurs la possibilité de payer une partie du Prix total de la réservation au moment de la réservation et de payer le reste du Prix total à un moment ultérieur avant l'arrivée (« Payer une partie maintenant, puis une partie plus tard »). La disponibilité de cette option peut dépendre de l'Annonce et/ou du Mode de paiement.

2.11.1.2 Si vous optez pour Payer une partie maintenant, puis une partie plus tard, la Plateforme Airbnb vous informera, lors du paiement, du montant, de la devise et du calendrier de chaque paiement dû. À la date d'échéance des paiements suivants, Airbnb Payments débitera automatiquement le Mode de paiement original que vous avez utilisé pour effectuer la réservation.

2.11.1.3 Si vous apportez une modification à une réservation effectuée avec Payer une partie maintenant, puis une partie plus tard, Airbnb vous informera du calendrier de paiement révisé, le cas échéant, et Airbnb Payments débitera automatiquement le Mode de paiement original que vous avez utilisé pour effectuer la réservation aux dates d'échéance de paiement révisées. Si la modification entraîne une hausse de votre Prix total, il peut vous être demandé d'effectuer un paiement partiel supplémentaire de ce nouveau Prix total au moment de la modification.

2.11.1.4 Vous acceptez qu'en sélectionnant Payer une partie maintenant, puis une partie plus tard, il se peut que vous ne puissiez pas payer la réservation avec un autre Mode de paiement ou selon un autre calendrier de paiement.

2.11.1.5 Si Airbnb Payments n'est pas en mesure de collecter votre paiement, Airbnb Payments vous informera de ce paiement refusé et vous demandera de compléter le paiement en utilisant un autre Mode de paiement dans les 72 heures suivant la notification. Si vous n'effectuez pas le paiement, vous autorisez Airbnb à annuler la réservation en votre nom. Si la réservation est annulée, vous serez remboursé selon les conditions d'annulation de l'Hôte.

2.11.2 Paiements périodiques

2.11.2.1 Pour certaines réservations (telles que des réservations d'hébergement de vingt-huit (28) nuits ou plus), Airbnb Payments pourra demander au Voyageur d'effectuer des paiements périodiques et échelonnés jusqu'à atteindre le Prix total dû (les « Paiements périodiques »). Vous trouverez plus d'informations sur les Paiements périodiques (y compris le montant et la fréquence des paiements) sur la Plateforme Airbnb s'ils sont applicables à une réservation.

2.11.2.2 Si les Paiements périodiques s'appliquent à une réservation confirmée, le Voyageur autorise Airbnb Payments à collecter le Prix total dû.

2.11.2.3 Les Voyageurs peuvent mettre fin au Paiement périodique en notifiant Airbnb Payments par oral ou par écrit au moins trois (3) jours ouvrés avant la date prévue du paiement. Airbnb Payments pourra vous demander de lui fournir une confirmation écrite de l'arrêt du paiement dans les quatorze (14) jours suivant une notification orale. Si vous ne fournissez pas de confirmation écrite dans les (14) jours, Airbnb Payments n'est pas tenu d'honorer toute demande d'interruption des Paiements périodiques à venir. Si vous avez des questions concernant vos Paiements périodiques, veuillez contacter Airbnb Payments.

2.12 Acheter maintenant, payer plus tard

Les Voyageurs peuvent de temps à autre se voir offrir la possibilité de payer une réservation d'hébergement à crédit ou d'autres options de versement, et de les payer au fil du temps (« Acheter maintenant, payer plus tard »). Ces Modes de paiement seront fournis par Klarna Bank AB (ou sa filiale), et non par Airbnb, sous réserve des conditions d'utilisation supplémentaires fournies lors du paiement, et Klarna deviendra votre créancier pour le paiement. Selon le Mode de paiement, cela créera également une relation distincte entre vous en tant qu'emprunteur et Klarna en tant que prêteur. Veuillez consulter les conditions supplémentaires applicables avant d'utiliser ces Modes de paiement.

3. Conditions relatives aux Hôtes

3.1 Collecte des paiements. Airbnb Payments collecte généralement le Prix total d'une réservation au moment où l'Hôte accepte la demande de réservation du Voyageur, sauf indication contraire.

3.2 Mode de versement valide.

3.2.1 Afin de recevoir un Versement, vous devez disposer d'un Mode de versement valable lié à votre compte Airbnb. Lorsque vous ajoutez un Mode de versement à votre compte Airbnb, il vous sera demandé de fournir des informations, telles que le nom, l'adresse de facturation et les informations relatives à votre instrument financier, soit à Airbnb Payments soit à son ou ses prestataires de paiement tiers. Selon le Mode de versement choisi, des informations supplémentaires peuvent être requises, telles que : l'adresse de résidence, le nom sur le compte, le type de compte, le numéro d'acheminement, le numéro de compte, l'adresse e-mail, la devise de versement, le numéro d'identification et les informations de compte associées à un gestionnaire de paiement particulier. La transmission des informations demandées est nécessaire pour qu'un Mode de versement soit valide. Les informations dont Airbnb Payments a besoin pour un Mode de versement valide peuvent changer, et Airbnb Payments peut demander des informations supplémentaires à tout moment ; le fait de ne pas fournir les informations demandées peut entraîner la mise en attente temporaire, la suspension ou l'annulation de tout Versement par Airbnb Payments jusqu'à ce que les informations soient fournies et, si nécessaire, validées.

3.2.2 Vous autorisez Airbnb Payments à collecter et stocker vos informations de Mode de versement conformément à la Politique de confidentialité d'Airbnb. Airbnb Payments peut également partager vos informations aux autorités gouvernementales, comme l'exige le droit applicable.

3.3 Délai de versement

3.3.1 Sous réserve et en fonction de la bonne réception des paiements correspondants du Voyageur, Airbnb Payments déclenchera généralement les Versements vers le Mode de versement que vous avez choisi : (i) pour l'Hébergement, 24 heures après l'heure d'arrivée prévue du Voyageur (ou 24 heures après 15 h heure locale si l'heure d'arrivée est flexible ou non spécifiée ; ou 15 h temps universel coordonné si l'heure locale est inconnue) ; (ii) pour les Expériences, 24 heures après le début de l'Expérience ; et (iii) pour tous les autres Services d'hôte, à l'heure spécifiée sur la Plateforme Airbnb. Pour les réservations d'Hébergement de vingt-huit (28) nuits ou plus, Airbnb Payments effectuera généralement le premier versement 24 heures après l'heure d'arrivée prévue du Voyageur, et effectuera les versements suivants tous les 30 jours après le versement initial, pendant la durée de la réservation.

3.3.2 Airbnb Payments peut vous proposer une heure de Versement ou un déclenchement différents pour le paiement sur la Plateforme Airbnb. Le délai de réception des Versements une fois émis par Airbnb Payments peut dépendre du Mode de versement que vous sélectionnez.

3.4 Versement. Votre versement pour une réservation correspond au Prix total moins les frais applicables tels que les frais de service Airbnb et les taxes applicables, ainsi que tout montant que vous acceptez d'allouer à un co-hôte, au ou aux propriétaires d'un logement, à une association de propriétaires et/ou à leur agent (tel qu'un exploitant d'immeuble ou une société de gestion locative). En cas d'annulation d'une réservation confirmée, Airbnb Payments versera le montant dû (le cas échéant) conformément aux Conditions et aux conditions d'annulation applicables.

3.5 Restrictions de versement. Airbnb Payments peut temporairement mettre en attente, suspendre ou annuler un Versement dans le but de prévenir une activité illégale ou une fraude, d'évaluer les risques, d'assurer la sécurité ou de mener à bien une enquête ; ou si nous ne sommes pas en mesure de vérifier votre identité, ou, le cas échéant, l'identité de votre ou de vos représentants ou de votre ou vos bénéficiaires effectifs, ou d'obtenir ou de vérifier les informations demandées. En outre, Airbnb Payments peut temporairement mettre en attente, suspendre ou retarder le lancement ou le traitement de tout Versement qui vous est dû en vertu des Conditions à la suite d'un volume élevé d'annulations de réservations ou de modifications découlant d'un Cas de force majeure (tel que défini ci-dessous).

3.6 Devise de versement. Airbnb Payments effectuera vos Versements dans la devise que vous aurez choisie sur la Plateforme Airbnb. Les devises disponibles peuvent être limitées pour des raisons réglementaires ou opérationnelles en fonction de facteurs tels que le Mode de versement choisi, votre pays de résidence et/ou votre ou vos entités contractantes Airbnb. Toute restriction de cette nature sera communiquée sur la Plateforme Airbnb, et vous devrez sélectionner une autre devise ou un autre Mode de versement. Notez que les prestataires de services de paiement peuvent imposer des frais de transaction, de conversion de devises ou d'autres frais en fonction de la devise ou du Mode de versement que vous sélectionnez, et Airbnb Payments n'est pas responsable de ces frais et décline toute responsabilité à cet égard.

3.7 Limites des versements. À des fins de conformité ou opérationnelles, Airbnb Payments peut limiter le montant d'un Versement. Si un montant qui vous est dû excède cette limite, Airbnb Payments peut procéder à une série de Versements (éventuellement sur plusieurs jours) afin de vous payer le montant total du Versement.

3.8 Prestataires de services de paiement. Les Modes de versement peuvent impliquer le recours à des prestataires de services de paiement tiers. Ces prestataires de services peuvent vous facturer des frais supplémentaires lorsqu'ils traitent de Versements en lien avec les Services de paiement (y compris en déduisant des frais du montant de Versement). Airbnb Payments n'est pas responsable desdits frais et décline toute responsabilité à cet égard. Votre Mode de versement peut également faire l'objet de conditions d'utilisation supplémentaires de la part de ces prestataires de services de paiement tiers. Veuillez les consulter avant d'utiliser votre Mode de versement.

3.9 Votre Mode de versement, votre responsabilité. Sous réserve de l'article 17 ou 18, Airbnb Payments n'est pas responsable de toute perte subie par vous en raison d'informations incorrectes que vous auriez fournies sur le Mode de versement.

3.10 Différents Modes de versement

3.10.1 Versements fractionnés

Si vous fournissez des Services d'hôtes conjointement avec un ou plusieurs autres Hôtes en tant que membre d'une équipe, d'une entreprise ou d'une autre organisation (une « Équipe d'hôtes »), Airbnb peut mettre à la disposition de ces Hôtes l'option de répartir entre les membres de l'Équipe d'hôtes le montant total du Versement de l'hôte pour une réservation. Airbnb Payments procédera à ces paiements sur instruction d'un ou plusieurs membres de l'Équipe d'hôtes, et les Hôtes sont responsables de l'exactitude de leurs instructions.

3.11 Acheter maintenant, payer plus tard.

Si un Voyageur en Allemagne choisit de payer une Réservation d'hébergement en utilisant une option « Acheter maintenant, payer plus tard » de Klarna (autre qu'une option Payer en 3 fois), les présentes conditions additionnelles relatives aux Hôtes s'appliquent.

4. Désignation d'Airbnb Payments en tant qu'Agent de recouvrement de paiement à titre limité

4.1 Chaque Hôte, y compris chaque membre de l'Équipe d'hôtes, désigne par la présente Airbnb Payments en tant qu'Agent de recouvrement de paiement de l'Hôte uniquement dans le but limité d'accepter et de traiter les fonds des Voyageurs qui achètent les Services d'hôte au nom de l'Hôte.

4.2 Chaque Hôte, y compris chaque membre de l'Équipe d'hôtes, accepte que le paiement effectué par un Voyageur par le biais d'Airbnb Payments, soit considéré comme un paiement effectué directement à l'Hôte, et l'Hôte fournira le Service d'hôte réservé par le Voyageur de la manière convenue comme si l'Hôte avait reçu le paiement directement du Voyageur. Chaque Hôte accepte qu'Airbnb Payments puisse rembourser le Voyageur conformément aux Conditions. Chaque Hôte comprend que l'obligation d'Airbnb Payments de payer l'Hôte est soumise et conditionnée à la réception effective des paiements associés de la part du Voyageur. Airbnb Payments garantit les paiements aux Hôtes uniquement pour les montants qui ont bien été reçus par Airbnb Payments des Voyageurs, sous réserve des présentes Conditions de paiement et conformément à celles-ci. En acceptant la désignation en tant qu'agent de recouvrement de paiement à titre limité de l'Hôte, les responsabilités d'Airbnb Payments sont limitées à celles énoncées dans le présent article 4.2 et Airbnb Payments n'est pas responsable et ne sera pas responsable de tout acte ou omission de l'Hôte. Sous réserve de l'article 11, Airbnb Payments restera responsable de tout acte causé par sa propre négligence et de ses violations de vos droits en tant que consommateur ou consommatrice en vertu du droit applicable.

4.3 Chaque Voyageur reconnaît et accepte que, nonobstant le fait qu'Airbnb Payments n'est pas une partie au contrat entre vous et le ou les Hôtes, y compris chaque membre de l'Équipe d'hôtes, Airbnb Payments agit en tant qu'agent de recouvrement de paiement de chaque Hôte dans le but limité d'accepter des paiements de votre part au nom de l'Hôte ou des Hôtes. Dès le paiement des fonds par un Voyageur à Airbnb Payments, l'obligation de paiement du Voyageur à l'Hôte ou aux Hôtes pour le montant convenu est annulée, et Airbnb Payments est responsable de remettre les fonds reçus avec succès par Airbnb Payments à l'Hôte ou aux Hôtes de la manière décrite dans ces Conditions de paiement. Dans l'éventualité où Airbnb Payments ne verserait pas lesdits montants, le ou les Hôtes n'auront de recours qu'à l'encontre d'Airbnb Payments et non à l'encontre du Voyageur directement.

5. Conditions générales

5.1 Frais. Airbnb Payments peut facturer des frais pour l'utilisation de certains Services de paiement, et tous les frais applicables vous seront divulgués dans les Conditions ou sur la Plateforme Airbnb.

5.2 Autorisations de paiement. Vous autorisez Airbnb Payments à collecter auprès de vous les sommes dues conformément aux présentes Conditions de paiement et/ou aux Conditions en (i) imputant le Mode de paiement associé à la réservation concernée, ou tout autre Mode de paiement enregistré que vous autorisez dans votre compte Airbnb (sauf si vous avez précédemment retiré l'autorisation de débiter ce ou ces Modes de paiement, ou (ii) retenant le montant de votre futur versement. Plus précisément, vous autorisez Airbnb Payments à collecter auprès de vous :

  • Tout montant dû à Airbnb ou Airbnb Payments (par exemple, à la suite de vos réservations, modifications de réservation, annulations, ou autres actions en tant que Voyageur, Hôte ou utilisateur de la Plateforme Airbnb), y compris le remboursement des frais prépayés par Airbnb ou Airbnb Payments en votre nom. Tous les fonds collectés par Airbnb Payments viendront en compensation du montant que vous devez à Airbnb ou Airbnb Payments et éteindront votre obligation envers Airbnb ou Airbnb Payments.
  • Toute somme due à un Hôte par un Voyageur qu'Airbnb collecte en tant qu'agent de recouvrement de paiement de l'Hôte comme indiqué dans l'article 4 ci-dessus.
  • Les taxes, le cas échéant et conformément aux Conditions.
  • Tout montant que vous payez par le biais du Centre de résolution en lien avec votre compte Airbnb.
  • Tout montant de demande d'indemnisation pour dommages dû à Airbnb ou à Airbnb Payments conformément aux Conditions et à l'article 6.
  • Les pénalités de dépassement de séjour payables en vertu des Conditions, y compris tout coût et toute dépense engagés pour le recouvrement de la pénalité de dépassement de séjour.
  • Tous frais de service ou frais d'annulation imposés au titre des Conditions (par exemple si, en tant qu'Hôte, vous annulez une réservation confirmée).
  • Tout montant déjà payé à vous en tant qu'Hôte malgré le fait qu'un Voyageur annule une réservation confirmée ou qu'Airbnb décide qu'il est nécessaire d'annuler une réservation conformément aux Conditions, Politique de remplacement d'hébergement et de remboursement, Politique de remboursement des voyageurs d'Expériences, Politique relative aux cas de force majeure, ou autres conditions d'annulation applicables. Vous acceptez que dans le cas où vous avez déjà reçu votre versement, Airbnb Payments sera en droit de récupérer le montant de tout remboursement de voyageur auprès de vous, y compris en soustrayant ce montant de remboursement de tout Versement futur qui vous est dû.

Si vous êtes redevable d'un montant à tout moment après une réservation, par exemple en cas de frais liés à un Paiement en plusieurs fois ou à un Paiement récurrent, de Modifications de réservation, de paiements au Centre de résolution ou de Demande d'indemnisation pour dommages (les « Montants additionnels »), vous autorisez et accordez par les présentes à Airbnb Payments un mandat pour collecter les paiements de ces Montants additionnels en débitant votre Mode de paiement associé à la réservation concernée sans autre action de votre part. Airbnb Payments vous informera par écrit avant que des Montants additionnels ne soient facturés.

Si votre Mode de paiement associé à la réservation concernée est expiré, invalide ou ne peut pas être facturé pour quelque raison que ce soit (comme un manque de fonds), vous restez responsable de tout montant non collecté et Airbnb Payments peut facturer à nouveau le Mode de paiement lié à votre réservation ou utiliser tout autre Mode de paiement dans le fichier associé à votre compte Airbnb, si disponible, pour collecter ces Montants additionnels. Toute somme non collectée pour quelque raison que ce soit sera assujettie à tous les recours qui peuvent être disponibles, y compris, mais sans s'y limiter, le renvoi à une agence de recouvrement, ou la mise en œuvre d'actions ou de demandes d'indemnisation disponibles à votre encontre.

Si Airbnb estime raisonnablement que vous, en tant qu'Hôte, avez participé à une activité frauduleuse, telle qu'une escroquerie de trop-perçu, une fraude de réservation ou une autre fraude, et qu'Airbnb Payments a déjà lancé le versement à votre intention pour un tel séjour, Airbnb Payments peut recouvrer ce montant auprès de vous en réduisant, en compensant ou en débitant le montant de tout Versement futur qui vous sera dû.

Outre les sommes dues comme décrit plus haut, si des montants que vous nous devez mais qui sont impayés ou des rétrofacturations sont liés à votre Mode de paiement, les frais inhérents au recouvrement desdits montants et rétrofacturations par Airbnb Payments pourraient vous être facturés. Lesdits frais pourraient inclure des frais de recouvrement, des frais de commodité ou d'autres frais de tiers.

5.3 Recouvrements auprès des Voyageurs et des Hôtes

5.3.1 Si Airbnb Payments n'est pas en mesure de collecter tout montant que vous devez, en tant que Voyageur ou en tant qu'Hôte, au titre des Conditions et des présentes Conditions de paiement, Airbnb Payments pourra prendre des mesures en vue de collecter lesdits montants auprès de vous.

5.3.2 Airbnb Payments considérera tout montant dû comme caractérisant un retard de paiement quand : (a) pour les frais autorisés, cent vingt (120) jours se sont écoulés après les premières tentatives d'Airbnb Payments de débiter votre Mode de paiement de Voyageur ou après que les services associés ont été fournis, selon la dernière éventualité ; et (b) pour les retenues sur les futurs Versements de l'Hôte, deux cent soixante-dix (270) jours se sont écoulés après que la régularisation a été effectuée sur le compte Airbnb de l'Hôte ou que les services associés ont été fournis, selon la dernière éventualité.

5.3.3 Airbnb Payments considérera tout montant en souffrance non collecté comme étant en défaut de paiement lorsque trois cent soixante-cinq (365) jours se seront écoulés : (a) pour les frais autorisés sur votre Mode de paiement concernant une transaction avec un Voyageur, après les premières tentatives d'Airbnb Payments de débiter votre Mode de paiement ou après que les services associés ont été fournis, selon la dernière éventualité ; et (b) pour les retenues sur les Versements futurs d'un Hôte, après que la régularisation a été effectuée sur le compte Airbnb de l'Hôte ou que les services associés ont été fournis, selon la dernière éventualité.

5.3.4 Vous convenez explicitement par les présentes que toute communication relative aux sommes dues sera effectuée par courrier électronique ou par téléphone, aux coordonnées indiquées par vous à Airbnb ou Airbnb Payments. Ladite communication peut être faite par Airbnb, Airbnb Payments ou par une autre personne en son nom, y compris notamment par un agent de recouvrement tiers.

5.4 Erreurs de traitement des paiements

5.4.1 Airbnb Payments prendra les mesures nécessaires pour rectifier toute erreur de traitement des paiements dont nous aurons connaissance. Parmi ces mesures, il peut y avoir (selon le cas) un crédit ou un débit par le même Mode de versement ou de paiement que celui utilisé ou sélectionné par vous, de manière que vous finissiez par recevoir ou payer le montant exact. Ceci peut être effectué par Airbnb Payments ou une institution tierce comme votre établissement financier. Nous pouvons également prendre des mesures pour récupérer les fonds qui vous ont été envoyés par erreur (y compris, mais sans s'y limiter, les paiements en double en raison d'une erreur de traitement). Pour les Hôtes, cela peut inclure la réduction, la compensation ou le débit du montant de ces fonds de tout Versement futur qui vous est dû.

5.4.2 Dans la mesure où vous recevez des fonds par erreur, vous acceptez de restituer immédiatement lesdits fonds à Airbnb Payments.

5.5 Remboursements

5.5.1 Tout remboursement ou crédit dû à un Membre en vertu des Conditions, Politique relative aux cas de force majeure, Politique de remplacement d'hébergement et de remboursement, et Politique de remboursement des voyageurs d'expériences, sera initié et remis par Airbnb Payments conformément aux présentes Conditions de paiement.

5.5.2 Sous réserve du présent article 5.5.2, Airbnb Payments lancera immédiatement le processus de remboursement. En cas d'annulation par un Hôte, Airbnb Payments conservera les fonds pour le compte de l'Hôte pendant 72 heures maximum, jusqu'à ce que le Voyageur soit remboursé ou que les fonds soient utilisés pour effectuer une nouvelle réservation auprès d'un autre Hôte. À aucun moment, Airbnb Payments ne détient les fonds au nom du Voyageur ou ne fournit au Voyageur un service de paiement. Dans certains cas, le processus de remboursement peut inclure l'option de recevoir un crédit en lieu et place d'un remboursement en argent ; si cette option est mise à votre disposition, la durée de votre remboursement sera communiquée sur la Plateforme Airbnb. Toutefois, le temps nécessaire pour recevoir un remboursement en argent ou pour que toute autorisation préalable de votre Mode de paiement soit débloquée varie en fonction du Mode de paiement et du règlement du système de paiement applicable (par exemple, Visa, Mastercard, etc.). Dans le cas d'un Événement de force majeure pouvant affecter le traitement et le règlement des remboursements, Airbnb Payments initiera et traitera le remboursement dès que possible.

6. Demandes d'indemnisation pour dommages et montants des dommages

6.1 Si vous êtes responsable de montants relatifs à une Demande d'indemnisation pour dommages conformément à l'article 15 des Conditions, Airbnb par l'intermédiaire d'Airbnb Payments peut débiter le Mode de paiement utilisé pour effectuer la réservation ou tout autre Mode de paiement associé à votre compte Airbnb au moment de la demande d'indemnisation pour dommages ou dans un délai raisonnable, afin de collecter les montants de la demande d'indemnisation pour dommages, jusqu'à un montant maximum tel que défini à l'article 15 des Conditions. Pour faciliter une telle facturation, lorsque vous réservez un Logement, vous acceptez qu'Airbnb, par l'intermédiaire d'Airbnb Payments, puisse débiter le Mode de paiement utilisé pour réserver le Logement afin de collecter les montants des Demandes d'indemnisation pour dommages.

6.2 Vous acceptez qu'Airbnb Payments peut lancer des recouvrements auprès de vous dans le cadre de toute police d'assurance que vous détenez, et qu'Airbnb Payments peut également exercer contre vous tous les recours dont Airbnb Payments dispose, y compris, mais sans s'y limiter, le renvoi à une agence de recouvrement, ou la poursuite de causes d'action ou de demandes d'indemnisation contre vous, y compris en relation avec toute Demande d'indemnisation pour dommages ou toutes demandes de paiement faites par des Hôtes en vertu de la Garantie dommages des hôtes.

7. Biens abandonnés

7.1 Si Airbnb Payments détient des fonds qui vous sont dus et n'a pas été en mesure de vous verser ces fonds (« Biens abandonnés ») conformément à l'article 7.2, nous pouvons, sous réserve du droit applicable et du délai de prescription applicable, conserver les Biens abandonnés qui vous auraient autrement été dus et vous n'aurez plus de demande d'indemnisation à ce sujet.

7.2 Sous réserve du droit applicable, les fonds détenus pour vous par Airbnb Payments seront considérés comme des Biens abandonnés lorsque l'une des conditions suivantes s'applique :

  • nous n'avons pas de Mode de paiement ou de Mode de versement valide dans votre dossier et vous n'avez pas répondu à nos demandes de nous fournir un Mode de paiement ou un Mode de versement valide ; ou
  • nous avons besoin d'informations supplémentaires pour traiter le paiement et vous n'avez pas répondu à nos demandes de fournir ces informations supplémentaires ; ou
  • votre compte Airbnb a été « inactif » (ce qui signifie qu'il n'a pas été consulté ou utilisé) pendant la période de prescription applicable et que vous n'avez pas répondu à nos demandes de nous contacter.

8. Activités interdites

8.1 Vous êtes la seule personne responsable du respect de toutes les lois, règlements, réglementations et obligations fiscales applicables qui peuvent s'appliquer à votre utilisation des Services de paiement. En lien avec votre utilisation des Services de paiement, vous ne pouvez, et vous vous interdisez d'aider d'autres personnes à, ou de permettre à d'autres personnes :

  • d'enfreindre ou contourner tout droit ou réglementation applicable, y compris pour aider quiconque à enfreindre ou à contourner tout droit ou réglementation applicable ;
  • d'enfreindre ou contourner tout contrat avec des tiers, les droits de tiers, ou les Conditions, Conditions juridiques additionnelles, Politiques, ou Normes ;
  • d'utiliser les Services de paiement dans un but commercial ou autre non expressément autorisé par les présentes Conditions de paiement ;
  • d'enregistrer ou d'utiliser tout Mode de paiement ou Mode de versement sur votre compte Airbnb qui ne vous appartient pas ou que vous n'avez pas l'autorisation d'utiliser ;
  • d'éviter, détourner, retirer, désactiver, endommager, décoder ou contourner toute mesure technologique mise en place par Airbnb Payments ou tout prestataire de services d'Airbnb Payments ou tout autre tiers afin de protéger les Services de paiement ;
  • de prendre toute mesure qui perturbe ou nuit à, ou pourrait perturber ou nuire à la performance ou au bon fonctionnement des Services de paiement ;
  • de déchiffrer, décompiler, désassembler ou de faire de la rétro-ingénierie des logiciels ou du matériel utilisés pour fournir les Services de paiements ; ou
  • de violer ou porter atteinte aux droits de tiers ou nuire à qui que ce soit.

8.2 Nous sommes tenus d'agir conformément à nos politiques internes et aux lois de différents territoires relativement à la prévention du blanchiment d'argent et à l'imposition de sanctions, notamment : (i) des sanctions économiques ou financières ou des embargos commerciaux imposés, administrés ou appliqués à tout moment par le gouvernement américain, y compris ceux administrés par l'Office of Foreign Asset Control ou le département d'État des États-Unis ; ou (ii) par le Conseil de sécurité des Nations Unies, l'Union européenne ou le trésor de Sa Majesté du Royaume-Uni. Vous vous conformerez à toutes sanctions financières pertinentes et à toutes lois relatives au contrôle des exportations qui s'appliquent à vous et à votre territoire.

9. Force majeure

Airbnb Payments ne sera pas responsable de tout retard ou manquement à toute obligation en vertu des présentes Conditions de paiement résultant de circonstances anormales ou imprévisibles échappant au contrôle raisonnable d'Airbnb ou Airbnb Payments, dont les conséquences auraient été inévitables malgré tous les efforts déployés en ce sens, y compris, mais sans s'y limiter, les catastrophes naturelles, la guerre, le terrorisme, les émeutes, les embargos, les actes des autorités civiles ou militaires, incendie, inondations, accidents, pandémies, épidémies ou maladies, grèves ou pénuries de moyens de transport, de carburant, d'énergie, de main-d'œuvre ou de matériaux (« Cas de force majeure »).

10. Avis de non-responsabilité

10.1 Si vous choisissez d'utiliser les Services de paiement, vous le faites volontairement et à vos propres risques.

10.2 Nonobstant la nomination d'Airbnb Payments en tant qu'agent de recouvrement de paiement à titre limité des Hôtes conformément à l'article 4 et sous réserve de l'article 11, Airbnb Payments décline explicitement toute responsabilité pour tout acte ou omission de votre part, de tout Membre ou de tout autre tiers. Airbnb Payments n'a aucun devoir ni aucune obligation en tant qu'agent envers chaque Hôte, sauf dans la mesure expressément indiquée dans les présentes Conditions de paiement, et tous devoirs ou toutes obligations supplémentaires pouvant être implicites en vertu de la loi sont, dans les limites autorisées par le droit applicable, expressément exclus.

10.3 Si nous choisissons ou sommes tenus d'effectuer une vérification d'identité pour un quelconque Membre, dans la mesure permise par le droit applicable, nous excluons toute garantie, explicite ou implicite, que de telles vérifications identifieront un comportement fautif passé d'un Membre ou garantiront qu'un Membre ne se livrera pas à un comportement fautif à l'avenir. Nous ne sommes pas responsables d'un comportement fautif passé d'un Membre lorsque ce comportement fautif était inconnu de nous.

10.4 Les exclusions susmentionnées s'appliquent dans toute la mesure permise par la loi. Vous pouvez bénéficier d'autres droits légaux ou de garanties qui ne peuvent pas légalement être exclus. Cependant, la durée de toutes les garanties imposées par la loi sera limitée dans toute la mesure permise par la loi (le cas échéant).

11. Responsabilité

11.1 Sous réserve des articles ci-dessous, dans toute la mesure permise par le droit applicable, la responsabilité d'Airbnb Payments sera limitée et l'intégralité du risque découlant de votre accès et de votre utilisation des Services de paiement restera à votre charge. Si vous autorisez ou permettez à une autre personne d'utiliser votre compte Airbnb de quelque façon que ce soit, vous êtes responsable des actions de cette personne.

11.2 Airbnb Payments ne sera pas responsable des pertes lorsque la perte est due au respect par Airbnb Payments des obligations qui lui sont imposées par le droit applicable. Airbnb Payments ne sera pas non plus responsable des pertes résultant de vos actes ou omissions ou de ceux d'un autre Membre, y compris, mais sans s'y limiter, toute violation des présentes Conditions de paiement ou du droit applicable ou si vous ou un autre Membre avez agi de manière frauduleuse ou par négligence.

11.3 Rien dans les présentes Conditions de paiement ne limite la responsabilité d'Airbnb Payments pour : (i) le décès ou les préjudices corporels résultant de l'acte ou de l'omission ou de la négligence d'Airbnb Payments ; (ii) la fraude ou la fausse déclaration frauduleuse ; (iii) une faute intentionnelle ou une négligence grave ; (iv) les pertes directement causées par le non-respect par Airbnb Payments des présentes Conditions de paiement ou (v) toute autre responsabilité qui ne peut être exclue ou limitée en vertu du droit applicable (y compris, par exemple, une violation des droits légaux des consommateurs ou des droits légaux en vertu des lois et règlementations sur les paiements).

11.4 Airbnb Payments ne sera en aucun cas responsable envers vous de toute perte d'activité, perte de clientèle, perte d'opportunité ou perte de profit.

11.5 Dans la mesure où la responsabilité d'Airbnb Payments est exclue ou limitée, cela s'applique également en ce qui concerne la responsabilité personnelle de ses représentants légaux, employés et autres agents.

12. Indemnisation

Dans les limites autorisées par le droit applicable, vous acceptez de décharger, défendre (au choix d'Airbnb Payments), indemniser et dégager Airbnb Payments et ses sociétés affiliées et filiales ainsi que leurs dirigeants, administrateurs, employés et agents, de toute responsabilité quant à l'ensemble des réclamations, dommages, pertes et dépenses, y compris, mais sans s'y limiter, les honoraires d'avocat et de comptable raisonnables, résultant de (i) votre violation des présentes Conditions de paiement ; (ii) votre utilisation inappropriée des Services de paiement ; (iii) votre manquement, ou notre manquement à vos instructions, à déclarer, collecter ou verser les impôts avec exactitude ; ou (iv) votre violation d'une quelconque loi, réglementation ou tout droit de tiers. La présente obligation d'indemnisation ne s'applique que si, et dans la mesure où, les réclamations, responsabilités, dommages, pertes et dépenses ont été causés par votre négligence ou la violation d'une obligation contractuelle.

13. Modification, durée, résiliation et autres mesures

13.1 Modification. Nous pouvons modifier les présentes Conditions de paiement à tout moment en vous fournissant un préavis d'au moins deux (2) mois avant leur entrée en vigueur. Nous vous informerons des modifications proposées par le biais de notifications par e-mail, de la Plateforme Airbnb, d'un service de messagerie ou de toute autre méthode de contact que nous mettons à votre disposition et que vous avez sélectionnée, et en publiant les Conditions de paiement révisées sur un lien de la Plateforme Airbnb. Vous pourrez consulter les Conditions de paiement révisées en accédant au lien sur la Plateforme Airbnb et les enregistrer et les imprimer si vous le souhaitez. Vous comprenez qu'il sera considéré que vous avez accepté les modifications que nous apportons aux présentes Conditions de paiement, sauf si vous résiliez les présentes Conditions de paiement ou fermez votre compte Airbnb (sans pénalité) avant l'expiration du délai de préavis de deux (2) mois et avant l'entrée en vigueur des modifications. Si vous choisissez de résilier les présentes Conditions de paiement ou de fermer votre compte Airbnb, vous devrez toujours remplir vos obligations en vertu des Conditions, y compris en ce qui concerne les réservations à venir ou la fourniture de Services d'hôte.

13.2 Durée. Ce contrat entre vous et Airbnb Payments est effectif (i) si vous êtes Voyageur, à partir du moment où vous effectuez votre première réservation ; ou (ii) si vous êtes Hôte, à partir du moment où un Voyageur réserve pour la première fois un Logement mis à disposition par vous et que vous utilisez les Services de paiement, et reste en vigueur jusqu'à ce que vous ou nous résilions ce contrat conformément à l'article 13.3.

13.3 Résiliation. Vous pouvez résilier le présent contrat à tout moment en nous envoyant un e-mail ou en supprimant votre compte Airbnb. Sans limiter nos droits spécifiés ci-dessous, Airbnb Payments peut mettre fin à ce contrat pour raisons de commodité à tout moment en vous donnant un préavis de deux (2) mois. Airbnb Payments peut résilier le présent contrat immédiatement et sans préavis si (i) vous avez enfreint gravement vos obligations en vertu du présent contrat ; (ii) vous avez fourni des informations inexactes, frauduleuses, obsolètes ou incomplètes ; (iii) vous avez enfreint le droit applicable, les règlementations ou des droits de tiers ; ou (iv) Airbnb Payments croit de bonne foi que ladite action est raisonnablement nécessaire à la protection d'autres Membres, d'Airbnb, d'Airbnb Payments ou de tiers. Si vous ou Airbnb Payments résiliez le présent contrat, il résiliera également votre compte Airbnb conformément aux Conditions.

13.4 Suspension et autres mesures. Airbnb Payments peut limiter ou suspendre temporairement ou de façon permanente votre utilisation des Services de paiement ou votre accès à ceux-ci (i) afin de se conformer au droit applicable, à toute décision d'un tribunal ou d'un organisme chargé de l'application de la loi, ou d'une autre agence administrative ou d'un organisme gouvernemental, (ii) si vous avez enfreint les présentes Conditions de paiement, les Conditions, le droit applicable, les réglementations ou droits des tiers, (iii) si vous avez fourni des informations inexactes, frauduleuses, obsolètes ou incomplètes concernant une Mode de paiement ou un Mode de versement, (iv) pour tout montant dont vous êtes redevable en vertu des présentes Conditions de paiement et qui est en souffrance ou impayé, ou (v) si Airbnb Payments croit de bonne foi que ladite action est raisonnablement nécessaire pour protéger la sécurité personnelle ou la propriété d'Airbnb, de ses Membres, d'Airbnb Payments, ou de tiers, ou pour empêcher la fraude ou toute autre activité illégale. En outre, en cas d'échec du paiement en raison de l'expiration de la carte bancaire, d'une insuffisance de fonds ou pour toute autre raison, nous pouvons suspendre temporairement votre accès aux Services de paiement jusqu'à ce que nous puissions facturer un Mode de paiement valable.

13.5 Appel. Si Airbnb Payments prend l'une ou l'autre des décisions définies aux articles 13.3 et 13.4, vous pouvez faire appel de cette décision en contactant l'assistance utilisateurs.

13.6 Effet de la résiliation. Si vous annulez votre compte Airbnb en tant qu'Hôte ou si Airbnb Payments prend l'une des mesures décrites ci-dessus, Airbnb Payments peut procéder à un remboursement intégral à tout Voyageur ayant une ou plusieurs réservations confirmées, et vous n'aurez droit à aucune compensation pour les réservations en attente ou confirmées qui ont été annulées. Si vous supprimez votre compte Airbnb en tant que Voyageur, Airbnb Payments procédera au remboursement de toute réservation confirmée conformément aux conditions d'annulation de l'Annonce. Si votre accès aux Services de paiement ou votre utilisation de ceux-ci a été limité, suspendu ou que nous avons résilié le présent contrat, vous ne pourrez créer un nouveau compte Airbnb ni essayer d'accéder aux Services de paiement ou de les utiliser au travers d'un compte Airbnb d'un autre Membre.

13.7 Survie. Les articles 5 à 20 des présentes Conditions de paiement survivront à toute résiliation ou expiration du présent contrat.

14. Droit applicable et règlement des litiges

14.1 Si vous concluez un contrat avec Airbnb Payments UK, les présentes Conditions de paiement seront interprétées conformément au droit anglais. Si vous agissez en tant que consommateur ou consommatrice, et si la réglementation impérative de protection des consommateurs ou consommatrices de votre pays de résidence contient des dispositions qui sont plus avantageuses pour vous, ces dispositions s'appliquent indépendamment du choix du droit anglais. En tant que consommateur ou consommatrice, vous ne pouvez engager de procédure judiciaire relative aux présentes Conditions de paiement que devant le tribunal compétent de votre adresse de résidence ou devant un tribunal en Angleterre. Si Airbnb souhaite faire valoir l'un de ses droits à votre encontre, en tant que consommateur ou consommatrice, nous ne pouvons le faire que devant les tribunaux du territoire où vous résidez. Si vous agissez en tant qu'entreprise, vous acceptez de vous soumettre à la compétence exclusive des tribunaux anglais.

14.2 Si vous concluez un contrat avec Airbnb Payments Luxembourg, les présentes Conditions de paiement seront interprétées conformément au droit luxembourgeois. Si vous agissez en tant que consommateur ou consommatrice et si la réglementation impérative de protection des consommateurs ou consommatrices de votre pays de résidence contient des dispositions qui sont plus avantageuses pour vous, ces dispositions s'appliquent indépendamment du choix du droit luxembourgeois. En tant que consommateur ou consommatrice, vous pouvez engager toute procédure judiciaire relative aux présentes Conditions de paiement devant le tribunal compétent de votre adresse de résidence ou devant un tribunal au Luxembourg. Si Airbnb souhaite faire valoir l'un de ses droits à votre encontre, en tant que consommateur ou consommatrice, nous ne pouvons le faire que devant les tribunaux du territoire où vous résidez. Si vous agissez en tant qu'entreprise, vous acceptez de vous soumettre à la compétence exclusive des tribunaux luxembourgeois.

15. Convention d'arbitrage aux États-Unis

VEUILLEZ LIRE ATTENTIVEMENT LES PARAGRAPHES SUIVANTS, CAR ILS PRÉVOIENT QUE VOUS ET AIRBNB PAYMENTS ACCEPTEZ DE RÉSOUDRE TOUS LES LITIGES ENTRE VOUS PAR LE BIAIS D'UN ARBITRAGE INDIVIDUEL CONTRAIGNANT ET COMPRENNENT UNE RENONCIATION AUX RECOURS COLLECTIFS ET UNE RENONCIATION AUX PROCÈS DEVANT JURY. Cette Convention d'arbitrage remplace toutes les versions précédentes.

15.1 Application. La présente Convention d'arbitrage ne s'applique à vous que si vous signez un contrat avec Airbnb Payment US. Si vous ne concluez pas de contrat avec Airbnb Payments US, et que vous tentez néanmoins de poursuivre une action en justice contre Airbnb Payments aux États-Unis, la présente Convention d'arbitrage s'appliquera pour déterminer la question préliminaire de savoir si le présent article 15 s'applique à vous, et toutes les autres questions préliminaires, y compris la résidence, la possibilité d'arbitrage, le lieu et le droit applicable.

15.2 Vue d'ensemble du processus de résolution des litiges. Airbnb Payments s'engage à résoudre les litiges de façon optimale pour les consommateurs et consommatrices. À cette fin, les présentes Conditions de paiement prévoient un processus en deux parties pour les individus auxquels s'applique le présent article 15 : (1) une négociation informelle directement avec l'équipe d'assistance utilisateurs d'Airbnb (décrite à l'article 15.3, ci-dessous), et si nécessaire (2) un arbitrage obligatoire conformément aux termes de la présente Convention d'arbitrage. Vous et Airbnb Payments conservez chacun le droit de chercher à résoudre le litige devant un tribunal acceptant les actions en recouvrement de petites créances comme alternative à l'arbitrage.

15.3 Résolution obligatoire des litiges avant arbitrage et notification. Au moins 30 jours avant d'initier une procédure d'arbitrage, vous et Airbnb Payments acceptez chacun d'envoyer par écrit à l'autre partie une notification individualisée du litige (une « Notification préalable au litige ») et à tenter de bonne foi de négocier une résolution informelle de la réclamation individuelle. Vous devez envoyer votre Notification préalable au litige à Airbnb Payments en l'adressant par courrier à l'agent d'Airbnb Payments pour notification : CSC Lawyers Incorporating Service, 2710 Gateway Oaks Drive, Suite 150N, Sacramento, CA 95833, États-Unis. Airbnb Payments enverra sa Notification préalable au litige à l'adresse e-mail associée à votre compte Airbnb. Une Notification préalable au litige doit comprendre : la date, votre nom, votre adresse postale, votre nom d'utilisateur Airbnb, l'adresse e-mail que vous avez utilisée pour configurer votre compte Airbnb, votre signature, une brève description du litige et la mesure demandée. Si les parties ne parviennent pas à résoudre le litige dans le délai de 30 jours, alors seulement l'une ou l'autre des parties peut entamer une procédure d'arbitrage en déposant une demande écrite d'arbitrage auprès du service d'arbitrage désigné conformément à l'article 15.6, ci-dessous. L'exigence de Notification préalable au litige d'un demandeur est une condition préalable à tout arbitrage, et une copie de la Notification préalable au litige et la preuve qu'elle a été envoyée comme requis par le présent article doivent être jointes à toute demande d'arbitrage.

15.4 Convention d'arbitrage. Vous et Airbnb Payments convenez d'un commun accord que tout litige, réclamation ou différend lié directement ou indirectement aux présentes Conditions de paiement, ou à l'applicabilité, violation, résiliation, validité, application ou interprétation de ce celles-ci, ou à toute utilisation des Services de paiement (collectivement, les « Litiges ») sera réglé par voie d'arbitrage contraignant sur une base individuelle (la « Convention d'arbitrage »). En cas de litige sur la question de savoir si la présente Convention d'arbitrage peut être appliquée ou s'applique à notre Litige, vous et Airbnb Payments acceptez que l'arbitre statue sur cette question. Pour éviter toute ambiguïté, vous et Airbnb acceptez que toute question concernant l'arbitrabilité et la formation, le caractère exécutoire, la validité, la portée ou l'interprétation de tout ou partie du présent article 15, y compris tout litige concernant la conformité avec la Notification préalable au litige et la responsabilité d'une partie de payer des frais d'arbitrage, soit résolue exclusivement par un arbitre.

15.5 Exceptions à la Convention d'arbitrage. Vous et Airbnb Payments acceptez chacun que les réclamations et/ou causes d'action suivantes sont des exceptions à la Convention d'arbitrage et seront introduites dans une procédure judiciaire devant un tribunal compétent (tel que défini par l'article 15) : (i) toute réclamation ou cause d'action demandant une mesure injonctive d'urgence basée sur des circonstances urgentes (par exemple, danger imminent ou commission de crime, piratage, cyberattaque) ; ou (ii) une demande de réparation d'une mesure injonctive publique ; ou (iii) toute réclamation ou cause d'action pour contentieux vexatoire ou (iv) toute réclamation individuelle d'agression sexuelle ou de harcèlement sexuel découlant de votre utilisation de la Plateforme Airbnb ou des Services d'hôte. Vous et Airbnb Payments convenez que toute demande pour la mesure injonctive publique se forme après l'arbitrage de l'ensemble des réclamations, recours ou causes d'action arbitrables, et sera suspendue en attendant le résultat de l'arbitrage conformément à l'article 3 de la Loi fédérale sur l'arbitrage.

15.6 Forum d'arbitrage, règlement et droit applicable. Cette Convention d'arbitrage atteste d'une transaction de commerce entre États, et la loi fédérale sur l'arbitrage régit l'interprétation et l'application de la présente Convention d'arbitrage sur le fond et la procédure, et non la loi de l'État. L'arbitrage sera administré par ADR Services, Inc. (« ADR ») (www.adrservices.com) conformément aux Règles 1, 6-7, 8-9 et 11-12, 45, 54 et 56 des Règles fédérales de procédure civile (les « Règles fédérales sélectionnées ») (https://www.uscourts.gov/rules-policies/current-rules-practice-procedure/federal-rules-civil-procedure) et au Règlement d'arbitrage d'ADR alors en vigueur (le « Règlement d'ADR »), sauf si les Règles fédérales sélectionnées ou le Règlement d'ADR sont modifiés par ou en conflit avec la présente Convention d'arbitrage. Le Règlement d'ADR est disponible sur www.adrservices.com. Si une demande d'arbitrage est envoyée à ADR Services conformément à la présente convention et au Règlement d'ADR, et qu'ADR Services ne peut ou ne veut pas administrer l'arbitrage, l'arbitrage sera administré par l'American Arbitration Association (« AAA ») conformément aux Règles fédérales sélectionnées et au Règlement d'arbitrage des consommateurs de l'AAA et/ou à d'autres règlements d'arbitrage de l'AAA jugés applicables par l'AAA (le « Règlement de l'AAA ») alors en vigueur, à l'exception des dispositions modifiées dans les présentes. Le Règlement de l'AAA sont disponibles sur www.adr.org. Si l'AAA ne peut pas et ne veut pas administrer l'arbitrage, vous et Airbnb Payments devez vous concerter et choisir un autre forum d'arbitrage, et si nous ne parvenons pas à nous accorder, vous ou Airbnb Payments pouvez demander à un tribunal de nommer un arbitre conformément au paragraphe 5 du titre 9 du Code des États-Unis. Dans ce cas, l'arbitrage sera mené conformément au règlement du forum arbitral désigné, à moins que ce règlement ne soit incompatible avec les dispositions de la présente Convention d'arbitrage.

15.7 Modification du Règlement d'arbitrage ; Audience/Lieu de l'arbitrage. Afin de rendre l'arbitrage le plus rentable, efficace et pratique possible, toute audience arbitrale requise dans un arbitrage où le montant en litige ne dépasse pas 1 million de dollars US sera conduite à distance par vidéoconférence, sauf accord contraire des parties ou instruction de l'arbitre. Toute audience arbitrale requise dans un arbitrage où le montant en litige dépasse 1 million de dollars US sera conduite dans le comté de San Francisco, sauf accord contraire des parties ou instruction de l'arbitre. Si le montant en jeu du litige est de 10 000 dollars US ou moins, les parties conviennent de procéder uniquement par remise de documents à l'arbitre.

15.8 Modification du Règlement d'arbitrage ; Frais et coûts d'arbitrage. Les frais d'arbitrage et votre part de la rémunération de l'arbitre sont régis par le Règlement d'ADR et le barème des frais d'ADR Services (disponibles sur www.adrservices.com). Si votre revenu mensuel brut est inférieur à 300 % des directives fédérales sur la pauvreté, vous avez droit à une renonciation aux frais et honoraires d'arbitrage, à l'exclusion des honoraires d'arbitre. Vous pouvez demander une dispense de frais en fournissant au fournisseur d'arbitrage une déclaration sous serment indiquant votre revenu mensuel et le nombre de personnes dans votre ménage. Si une renonciation aux honoraires est accordée par le fournisseur d'arbitrage et que vous fournissez à Airbnb Payments les documents nécessaires pour prouver que votre revenu mensuel brut est inférieur à 300 % des directives fédérales sur la pauvreté, Airbnb Payments paiera votre part des honoraires d'arbitre.

15.9 Modification du Règlement d'arbitrage ; Réclamations déposées dans un but inapproprié ou en violation de la présente Convention d'arbitrage. Chaque partie peut demander à l'arbitre d'imposer des sanctions en prouvant que l'autre partie, son ou ses avocats ont fait valoir une réclamation ou une défense non fondée en fait ou en droit, présentée de mauvaise foi ou dans un but de harcèlement, ou qui est autrement frivole. Comme le permet le droit applicable, l'arbitre imposera des sanctions égales aux honoraires et frais d'avocat raisonnables de la partie requérante en constatant qu'une réclamation ou une défense est non fondée en fait ou en droit, présentée de mauvaise foi ou dans un but de harcèlement, alléguée en violation des Règles fédérales de procédure civile p. 11(b) (assimilant l'arbitre au « tribunal »), ou est autrement frivole. L'une ou l'autre des parties peut demander le rejet de tout arbitrage déposé en violation d'une disposition de la présente Convention d'arbitrage. L'une ou l'autre des parties peut faire valoir en arbitrage une demande reconventionnelle pour l'ouverture par l'autre partie d'une procédure concernant un Litige arbitrable sans se conformer ou en violation des exigences de la présente Convention d'arbitrage. En constatant qu'une partie a engagé une procédure concernant un Litige arbitrable sans se conformer à ou en violation des exigences de la présente Convention d'arbitrage, l'arbitre accordera à l'autre partie ses dommages-intérêts réels, y compris, mais sans s'y limiter, les honoraires et frais d'avocat raisonnables.

15.10 Décision de l'arbitre. L'arbitre rendra une décision écrite qui inclura les constatations et conclusions essentielles sur lesquelles l'arbitre aura fondé la sentence. Le jugement de la décision arbitrale pourra être porté devant tout tribunal compétent. L'arbitre peut accorder toute réparation autorisée par la loi ou le Règlement de l'AAA, mais les mesures déclaratoires ou injonctives ne peuvent être accordées qu'au cas par cas et uniquement dans la mesure où elles sont nécessaires pour apporter une réparation justifiée par la demande individuelle du demandeur.

15.11 Renonciation à un procès devant jury. Vous et Airbnb Payments reconnaissez et convenez de renoncer tous deux au droit à un procès devant un jury s'agissant de l'ensemble des litiges pouvant être résolus par arbitrage.

15.12 Renonciation aux actions collectives ou recours collectifs. Dans les limites les plus étendues autorisées par la loi, vous et Airbnb Payments reconnaissez et convenez que chacun renonce au droit de participer en tant que plaignant ou en tant que simple membre du groupe à un recours collectif ou à une action collective, un arbitrage collectif, un recours privé devant le procureur général ou toute autre procédure représentative ou consolidée. Sauf accord écrit ou disposition prévue dans la présente convention, l'arbitre ne pourra pas regrouper les plaintes de plus d'une partie et ne pourra pas accepter d'arbitrer une action collective ou un recours collectif de quelque nature que ce soit. Dans le cas d'une décision judiciaire finale selon laquelle le droit applicable empêche l'application de la renonciation contenue dans ce paragraphe pour les réclamations, les motifs de recours ou les réparations demandées, alors cette réclamation, ce motif de recours ou cette réparation demandée, et seulement cette réclamation, ce motif de recours ou cette réparation demandée, seront séparés de cette convention d'arbitrage et seront portés devant un tribunal compétent. Dans le cas où une réclamation, un motif de recours ou une réparation demandée est supprimé conformément à ce paragraphe, vous et nous acceptons que les réclamations, les motifs de recours ou les réparations demandées qui ne sont pas soumis à une Convention d'arbitrage seront suspendus jusqu'à ce que les réclamations, les motifs de recours et les réparations demandées arbitrables soient résolus par l'arbitre.

15.13 Renonciation à une action collective. Vous et Airbnb Payments reconnaissez et acceptez que les avantages et l'efficacité relatifs de l'arbitrage peuvent être perdus lorsque 100 demandes d'arbitrage ou plus sont déposées dans les 180 jours qui (1) impliquent les mêmes parties ou des parties se trouvant dans une situation similaire ; (2) sont basées sur des demandes identiques ou similaires qui découlent de transactions, d'incidents, de violations présumées ou d'événements identiques ou substantiellement identiques nécessitant la détermination de questions de droit ou de fait identiques ou substantiellement identiques ; et (3) impliquent les mêmes avocats ou des avocats coordonnés pour les parties (une « Action collective »). En conséquence, vous et Airbnb Payments acceptez de renoncer au droit de faire administrer, arbitrer ou résoudre tout Litige dans le cadre d'une Action collective (bien que les articles 15 et 15.12 des présentes Conditions continueront de s'appliquer au Litige). En cas de litige, l'arbitre désigné pour le premier contentieux introduit dans le cadre d'un ensemble de réclamations identifiées par l'une ou l'autre des parties détermine si ces réclamations font partie d'une action collective. Si aucun arbitre n'a encore été nommé, un arbitre sera nommé uniquement pour déterminer si les réclamations identifiées par l'une ou l'autre des parties font partie d'une Action collective. Rien dans cette disposition n'empêche vous ou Airbnb Payments de participer à un règlement collectif des réclamations.

15.14 Modification du Règlement d'arbitrage ; Exigences de regroupement dans le cadre d'une action collective. Si, pour quelque raison que ce soit, nonobstant l'article 15.13, un arbitrage se déroule dans le cadre d'une Action collective, les parties regrouperont les demandes d'arbitrage en groupes ne dépassant pas 200. Les groupes doivent être déterminés en établissant une liste alphabétique des demandeurs par ordre alphabétique (par nom de famille ou nom professionnel, selon le cas), par exemple, les 200 premiers demandeurs énumérés seront le premier groupe, les 200 suivants seront le deuxième groupe, et ainsi de suite. Les parties attribueront au hasard à chaque groupe un numéro séquentiel et arbitreront les groupes un par un, dans l'ordre séquentiel. Pendant qu'un groupe est en cours d'arbitrage, le fournisseur de services d'arbitrage laisse les autres groupes en suspens, sauf accord contraire des parties ou instructions du fournisseur de services d'arbitrage. Chaque groupe doit voir sa question résolue dans les 240 jours suivant la conférence préparatoire à l'audience pour ce groupe. Nonobstant ce qui précède, si la demande d'un demandeur n'a pas fait l'objet d'une conférence préparatoire à l'audience dans les 2 ans suivant la dernière demande déposée dans le cadre de l'action collective, ce demandeur peut choisir de poursuivre les réclamations formulées dans la demande du demandeur devant le tribunal, sous réserve des articles 14 et 15.12 des présentes Conditions.

15.15 Modifications du Règlement d'arbitrage ; Offres de jugement. Au moins dix jours avant la date fixée pour l'audience d'arbitrage, vous ou Airbnb pouvez signifier une offre écrite de jugement à l'autre partie pour permettre un jugement à des conditions spécifiées. Si l'offre est acceptée, l'offre avec preuve d'acceptation sera envoyée au fournisseur d'arbitrage, qui émettra une sentence en conséquence. Si l'offre n'est pas acceptée avant l'audience d'arbitrage ou dans les trente jours suivant sa présentation, selon la première éventualité, elle sera réputée retirée et ne pourra être présentée en preuve dans le cadre de l'arbitrage, sauf en ce qui concerne les frais (y compris tous les frais payés au fournisseur d'arbitrage). Si une offre faite par une partie n'est pas acceptée par l'autre partie et que l'autre partie n'obtient pas une sentence plus favorable, l'autre partie ne recouvrera pas ses frais postérieurs à l'offre et paiera les frais de l'offre (y compris tous les frais payés au fournisseur d'arbitrage) à compter de la date de l'offre.

15.16 Divisibilité. Sauf dans les cas prévus à l'article 15.12, si une partie de la présente Convention d'arbitrage est jugée illégale ou inapplicable, cette disposition sera supprimée et le reste de la Convention d'arbitrage sera pleinement applicable.

15.17 Modification à la convention d'arbitrage. Si Airbnb Payments modifie le présent article 15 après la date à laquelle vous avez accepté les présentes Conditions de paiement (ou accepté toute modification ultérieure des présentes Conditions de paiement), vous pouvez refuser la modification en nous envoyant une notification écrite au plus tard trente (30) jours à compter de la date d'entrée en vigueur de la modification. Votre notification doit inclure votre nom, votre adresse postale, la date de la notification, votre nom d'utilisateur Airbnb, l'adresse e-mail que vous avez utilisée pour configurer votre compte Airbnb, votre signature et une déclaration sans équivoque indiquant que vous souhaitez vous désengager de l'article 15 modifié. Vous devez envoyer votre notification par courrier à l'adresse suivante : 888 Brannan St, San Francisco, CA 94103, États-Unis, à l'attention de : Arbitration Opt-Out, ou envoyer la notification de désinscription par e-mail à arbitration.opt.out@airbnb.com. Toutefois, refuser une nouvelle modification ne révoquera ni ne modifiera votre consentement antérieur à tout contrat précédemment conclu d'arbitrer tout Litige entre vous et Airbnb Payments (ou votre consentement antérieur à toute modification ultérieure de ce contrat), qui restera applicable à tout Litige entre vous et Airbnb Payments.

15.18 Survie. Sauf tel que prévu dans l'article 15.16 et sous réserve de l'article 13.7, le présent article 15 survivra à toute résiliation des présentes Conditions de paiement et continuera à s'appliquer même si vous cessez d'utiliser les Services de paiement ou résiliez votre compte Airbnb.

16. Divers

16.1 Interprétation des présentes Conditions de paiement. Sauf tel qu'elles peuvent être complétées par des conditions additionnelles, politiques, instructions ou normes qui les complètent, les présentes Conditions de paiement constituent l'intégralité du contrat entre Airbnb Payments et vous s'agissant de l'objet des présentes, et remplacent tous les accords et ententes préalables oraux ou écrits entre Airbnb Payments et vous concernant les Services de paiement. Si toute disposition des présentes Conditions de paiement est considérée comme nulle ou inapplicable, ladite disposition sera annulée sans que son annulation n'affecte la validité et l'applicabilité des dispositions restantes.

16.2 Absence de renonciation. Le manquement d'Airbnb Payments à faire appliquer tout droit ou toute disposition des présentes Conditions de paiement ne constituera pas une renonciation audit droit ou à ladite disposition sauf si nous le reconnaissons et en convenons par écrit. Sauf stipulation expresse dans les présentes Conditions de paiement, l'exercice par l'une ou l'autre des parties d'un quelconque recours à leurs dispositions sera sans préjudice des autres recours dont elle dispose en vertu des présentes Conditions de paiement ou de la loi.

16.3 Cession. Vous ne pouvez céder, transférer ni déléguer le présent contrat ainsi que vos droits et obligations en vertu des présentes sans le consentement écrit préalable d'Airbnb Payments. Airbnb Payments peut céder, transférer ou déléguer ce contrat et tous les droits et obligations, à sa seule discrétion, avec un préavis de deux (2) mois à condition que cela ne réduise pas vos droits ou avantages en vertu des présentes conditions.

16.4 Notifications. Sauf mention contraire, toutes les notifications ou autres communications autorisées ou requises par le présent contrat devront être effectuées par écrit et remises par Airbnb Payments par e-mail, par notification sur la Plateforme Airbnb, et en fonction de vos paramètres de notification, par service de messagerie (y compris par SMS et WeChat). La date de réception sera considérée comme la date à laquelle Airbnb Payments transmet la notification.

16.5 Langue. Le présent contrat est conclu dans la langue appliquée par les Conditions et toutes les communications faites dans le cadre de cette relation contractuelle seront faites dans cette langue.

17. Clauses supplémentaires pour les utilisateurs qui concluent un contrat avec Airbnb Payments UK

Le présent article 17 s'applique si vous passez un contrat avec Airbnb Payments UK. Dans la mesure où il existe un conflit entre le présent article 17 et toute autre disposition des présentes Conditions de paiement, les dispositions du présent article 17 s'appliquent.

17.1 Utilisateur du Service de paiement

17.1.1 Les Services de paiement incluent le service de recouvrement des paiements offert aux Hôtes concluant un contrat avec Airbnb Payments UK. Le service de recouvrement des paiements constitue un « Service de paiement » réglementé par les Payment Services Regulations 2017 (réglementations des Services de paiement de 2017) et, à ces fins, Airbnb Payments UK considère les Hôtes comme « utilisateur de service de paiement ».

17.1.2 En acceptant les présentes Conditions de paiement, vous, en tant qu'Hôte, avez consenti au paiement par Airbnb Payments UK de chaque Versement sur votre Mode de versement choisi. Les Hôtes peuvent changer de Mode de versement jusqu'à un (1) jour avant le moment convenu du Versement tel que prévu à l'article 3.3. Airbnb Payments UK sera réputé avoir reçu l'ordre de paiement de l'Hôte à l'Hôte à la date à laquelle Airbnb Payments UK accepte d'initier le Versement conformément à l'article 3.3.

17.1.3 Airbnb Payments UK prendra les mesures nécessaires pour garantir que les Hôtes situés au Royaume-Uni reçoivent chaque Versement avant la fin du jour ouvré suivant l'initiation du Versement par Airbnb Payments UK.

17.1.4 Communication. Airbnb Payments informera l'Hôte par e-mail lorsque chaque Versement sera initié. Nous enverrons également une notification à l'adresse e-mail enregistrée d'un Hôte si le Versement nous est renvoyé en raison d'une erreur. Il relève de votre responsabilité en tant qu'Hôte de vous assurer que vous nous avez fourni une adresse e-mail à jour, exacte et valide.

17.2 Paiements détournés et réclamations

17.2.1 Si, en tant qu'Hôte, vous pensez ou apprenez qu'un Versement vous étant dû a été ou pourrait être détourné sans votre autorisation (un « Versement détourné »), car votre mot de passe ou d'autres identifiants pour vous connecter à votre compte Airbnb (les « Identifiants ») ont été perdus, volés ou détournés, vous devez en notifier immédiatement Airbnb Payments UK sans délai conformément à l'article 20.

17.2.2 Si en tant qu'Hôte, vous alléguez ne pas avoir reçu correctement un Versement vous étant dû par le biais du Mode de versement choisi (y compris en cas de Versement détourné), Airbnb Payments UK s'efforcera immédiatement (si vous le demandez sans retard indu, en prenant connaissance du Versement non autorisé ou mal exécuté et en tout état de cause dans les 13 mois suivant sa survenance) de retrouver le paiement et vous notifiera du résultat. Sous réserve de l'article 17.2.3, à moins que nous puissions prouver que (i) le Versement a été reçu par l'intermédiaire du Mode de versement que vous avez choisi, ou (ii) que nous avons effectué le Versement correctement en utilisant les informations du Mode de versement que vous avez fournies mais que les informations que vous avez fournies étaient incorrectes, nous rembourserons le montant. Si vous nous avez donné des informations incorrectes, nous ne serons pas responsables du défaut ou de la non-exécution du Versement, cependant, nous ferons des efforts raisonnables pour récupérer les fonds du Versement.

17.2.3 Vous devez utiliser vos Identifiants conformément aux présentes Conditions de paiement et prendre toutes les mesures raisonnables pour protéger vos Identifiants. En tant qu'Hôte, vous pouvez être responsable de pertes relatives à tout Versement détourné naissant de l'utilisation d'Identifiants perdus, volés ou détournés (y compris la perte d'un téléphone portable sur lequel vous avez installé l'Application) ou lorsque vous n'avez pas protégé vos Identifiants, jusqu'à concurrence de 35 £. Cela ne s'appliquera pas si la perte, le vol ou le détournement de vos Identifiants n'était pas détectable par vous avant le Versement, à moins que vous n'ayez agi de manière frauduleuse ou que la perte ait été causée par des actes ou des omissions du personnel d'Airbnb ou d'un fournisseur de services. Vous pouvez toutefois être responsable de toutes les pertes liées à un Versement détourné si nous pouvons démontrer que vous avez agi frauduleusement ou si, avec intention ou négligence grave, vous n'avez pas utilisé la Plateforme Airbnb et/ou les Services de paiement en conformité avec les Conditions ou les présentes Conditions de paiement (y compris l'obligation de protéger vos Identifiants). Sauf si vous avez agi de manière frauduleuse, vous ne serez pas responsable des pertes subies à l'égard d'un Versement détourné survenant après la notification par vous de la perte, du vol ou du détournement de vos Identifiants ou de l'utilisation non autorisée de vos Identifiants, lorsque nous n'avons pas fourni à tout moment les moyens appropriés pour une telle notification, ou lorsque nous n'exigeons pas d'authentification forte du client, le cas échéant.

17.2.4 Toute plainte concernant les Services de paiement doit être adressée à Airbnb Payments UK (conformément à l'article 20). Si vous n'êtes pas satisfait du résultat d'une réclamation et qu'en tant qu'Hôte, vous avez reçu des Services de paiement réglementés d'Airbnb Payments UK, vous pouvez également adresser votre réclamation au Financial Ombudsman. Toutes les plaintes adressées au Financial Ombudsman Service sont soumises au règlement du Financial Ombudsman Service, y compris en ce qui concerne les conditions d'éligibilité. 18. Clauses supplémentaires pour les Utilisateurs qui concluent un contrat avec Airbnb Payments Luxembourg

Le présent article 18 s'appliquera si vous concluez un contrat avec Airbnb Payments Luxembourg. Dans la mesure où il existe un conflit entre le présent article 18 et toute autre disposition des présentes Conditions de paiement, les dispositions du présent article 18 s'appliquent.

18.1 Utilisateur du Service de paiement

18.1.1 Les Services de paiement incluent le service de paiement fourni aux Hôtes qui concluent un contrat avec Airbnb Payments Luxembourg. Ces services constituent des « services de paiement » régis par la loi modifiée du 10 novembre 2009 relative aux services de paiement (« Loi de 2009 »), et pour les besoins de ces services de paiement, Airbnb Payments Luxembourg considère les Hôtes comme un « Utilisateur du service de paiement » au sens de la Loi de 2009.

18.1.2 En acceptant les présentes Conditions de paiement, vous consentez, en tant qu'Hôte, à ce qu'Airbnb Payments Luxembourg paie chaque Versement avec le Mode de versement que vous avez choisi. Les Hôtes peuvent changer de Mode de versement jusqu'à un (1) jour avant le moment convenu du Versement tel que prévu à l'article 3.3. Airbnb Payments Luxembourg sera réputé avoir reçu l'ordre de paiement de l'Hôte à l'Hôte à la date à laquelle Airbnb Payments Luxembourg accepte d'initier le Versement conformément à l'article 3.3.

18.1.3 Entre vous et Airbnb Payments Luxembourg, les dispositions légales relatives à la forme et à la procédure d'octroi du consentement à l'initiation d'un ordre de paiement ou à l'exécution d'une opération de paiement et de retrait de ce consentement conformément aux articles 81 et 93 de la Loi de 2009 s'appliquent à tout moment.

18.1.4 Airbnb Payments Luxembourg prendra les mesures nécessaires pour garantir que les Hôtes situés dans l'EEE reçoivent chaque Versement avant la fin du jour ouvré suivant l'initiation du Versement par Airbnb Payments Luxembourg.

18.1.5 Communication. Airbnb Payments informera l'Hôte par e-mail lorsque chaque Versement sera initié. Nous enverrons également une notification à l'adresse e-mail enregistrée d'un Hôte si le Versement nous est renvoyé en raison d'une erreur. Il relève de votre responsabilité en tant qu'Hôte de vous assurer que vous nous avez fourni une adresse e-mail à jour, exacte et valide.

18.1.6 Nonobstant les dispositions de l'article 1341 du Code civil, Airbnb Payments sera en droit, chaque fois que cela sera utile ou nécessaire, de prouver ses allégations par tout moyen légalement admissible en matière commerciale, tel que des déclarations de témoins, des déclarations sous serment, des enregistrements électroniques et tout autre document approprié.

18.2 Procédures de résolution en cas de Versements détournés

18.2.1 Si, en tant qu'Hôte, vous pensez ou apprenez qu'un Versement vous étant dû a été ou pourrait être détourné sans votre autorisation (« Versement détourné »), car votre mot de passe ou d'autres identifiants pour vous connecter à votre compte Airbnb (« Identifiants ») ont été perdus ou volés, ou en cas de transaction de paiement non autorisée, ou initiée ou exécutée de manière incorrecte, vous devez en notifier immédiatement Airbnb Payments Luxembourg conformément à l'article 20. Vous devez notifier Airbnb Payments immédiatement après avoir pris connaissance du Versement non autorisé ou exécuté de manière incorrecte, et au plus tard 13 mois après sa date de débit. Dans le cas d'une telle transaction de paiement non autorisée, Airbnb Payments vous remboursera le montant de la transaction de paiement non autorisée avant la fin du jour ouvré suivant la notification de la transaction, ou conformément à l'article 20. Airbnb Payments n'est pas soumis à de telles obligations s'il existe des motifs raisonnables de soupçonner une fraude. Vous devrez prendre en charge les pertes liées à un Versement non autorisé jusqu'à hauteur de 50 euros si ce Versement non autorisé résulte de la perte ou du vol de vos Identifiants ou du détournement de vos Identifiants. Vous ne serez pas obligé de prendre les pertes en charge si : (a) vous n'étiez pas en mesure de détecter la perte, le vol ou le détournement de vos Identifiants avant un Versement, sauf si vous avez agi de manière frauduleuse ; ou (b) la perte a été causée par des actions ou un manque d'action de la part d'Airbnb Payments. Vous serez responsable de toutes les pertes subies concernant un Versement effectué par Airbnb Payments et que vous n'aviez pas autorisé si vous avez agi de manière frauduleuse ou si vous n'avez pas notifié Airbnb Payments à temps conformément au présent article et à l'article 20. Vous ne subirez aucune conséquence financière résultant de la perte, du vol ou du détournement de vos Identifiants après nous en avoir informés, conformément au présent article et à l'article 20.

18.2.2 Nous ne serons pas responsables de toute perte : (i) résultant de Versements détournés lorsque vous avez agi frauduleusement ou lorsque, avec intention ou négligence grave, vous n'avez pas utilisé la Plateforme Airbnb et/ou les Services de paiement conformément aux Conditions ou aux présentes Conditions de paiement (y compris l'obligation de garder vos Identifiants en sécurité) ; (ii) si Airbnb Payments prouve que vous ou votre prestataire de services de paiement avez reçu l'intégralité du Versement dans les délais impartis ; ou (iii) résultant de toute transaction de paiement que nous avons facilité conformément aux informations fournies par vous lorsque les informations que vous avez fournies étaient incorrectes. Dans ces circonstances, vous pouvez demander à Airbnb Payments de s'efforcer, en utilisant les moyens appropriés à sa disposition, de récupérer le montant du paiement. Si le recouvrement du montant du paiement n'est pas possible, Airbnb Payments vous fournira, sur demande écrite, toutes les informations à sa disposition et qui sont pertinentes afin d'intenter une action en justice pour faire valoir votre demande de remboursement du montant. Airbnb Payments peut facturer des frais pour ce recouvrement.

18.2.3 Si, en tant qu'Hôte, vous alléguez ne pas avoir reçu correctement un Versement vous étant dû par le biais du Mode de versement choisi, Airbnb Payments Luxembourg s'efforcera immédiatement (sur demande) de retrouver le paiement et vous notifiera du résultat.

18.3 Réclamations extrajudiciaires

Toute réclamation, notamment en cas de perte, de vol, de détournement ou d'utilisation non autorisée en rapport avec les Services de paiement, ou de transactions non autorisées ou erronées, doit être adressée par écrit à Airbnb Payments Luxembourg conformément à l'article 20. Si vous n'êtes pas satisfait du résultat d'une réclamation et qu'en tant qu'Hôte, vous avez reçu des Services de paiement réglementés d'Airbnb Payments Luxembourg, vous pouvez adresser votre demande à l'autorité de surveillance d'Airbnb Payments Luxembourg, la CSSF (telle que définie à l'article 20), dans l'année suivant le dépôt de votre réclamation auprès d'Airbnb Payments Luxembourg. La CSSF agira en tant qu'organe de résolution des litiges extrajudiciaire. La demande doit être déposée auprès de la CSSF par écrit, par courrier ou par e-mail envoyé à l'adresse pertinente disponible sur le site de la CSSF, ou en ligne sur le site de la CSSF. La demande doit être déposée en anglais, en français, en allemand ou en luxembourgeois. La demande doit être étayée par un exposé des motifs sur lesquels elle se fonde, et être accompagnée des documents suivants :

  • un exposé détaillé et chronologique des faits à la base de la réclamation et des démarches que vous avez déjà entreprises ;
  • une copie de la réclamation précédente adressée à Airbnb Payments Luxembourg ;
  • une copie de la réponse à la réclamation précédente ou la confirmation que vous n'avez pas reçu de réponse un mois après l'envoi de votre précédente réclamation ;
  • la déclaration selon laquelle vous n'avez pas renvoyé l'affaire à un tribunal, à un arbitre ou à un autre organe de résolution extrajudiciaire des litiges au Luxembourg ou à l'étranger ;
  • votre accord avec les conditions de traitement des demandes de la CSSF en tant qu'organe responsable du règlement extrajudiciaire de votre réclamation ;
  • votre autorisation expresse permettant à la CSSF de transmettre sa demande (y compris les pièces jointes) ainsi que toute correspondance ou information future à Airbnb Payments Luxembourg ;
  • dans le cas où une personne agit en votre nom, un document prouvant qu'elle est légalement habilitée à le faire ; et
  • une copie de votre document d'identité valide.

18.4. Pour les Voyageurs ayant la France comme pays de résidence.

Nonobstant toute disposition contraire figurant dans les Conditions de paiement, afin d'éliminer tout doute quant aux Voyageurs résidant en France, le Prix total, les Versements ou les Paiements périodiques, incluant les Paiements récurrents, collectés par Airbnb Payments depuis ces Voyageurs sont des acomptes (« Acomptes ») conformément au droit français.

18.5 Externalisation.

Nous faisons appel à divers prestataires (certains appartenant au groupe Airbnb et d'autres étant des prestataires tiers) dans le cadre d'accords d'externalisation pour nous aider à proposer des services de qualité de manière efficace. Le recours à ces prestataires de service nécessite que nous leur transférions ou mettions à leur disposition certaines données. Vous acceptez de tels accords d'externalisation et nous demandez de transférer ou de rendre accessibles des données (telles que définies ci-dessous) vous concernant et, le cas échéant, concernant des personnes liées à vous (fournies dans le cadre de votre compte Airbnb) telles que votre ou vos bénéficiaires effectifs et représentants, à un certain nombre de prestataires de services dans le cadre d'accords d'externalisation concernant les aspects techniques (y compris informatiques), opérationnels, le traitement des paiements, le contrôle interne, la vigilance à l'égard de la clientèle (y compris les vérifications d'antécédents ou vérifications de police), la prévention des fraudes, l'évaluation des risques, le développement de produits, la maintenance et le débogage, la publicité, le traitement des réclamations d'assurance, l'assistance utilisateurs et d'autres services. Les données pouvant être transférées ou mises à disposition comprennent, si vous êtes une personne physique, votre nom, prénom, adresse, date et lieu de naissance, nationalité et, si vous êtes une personne morale, votre raison sociale, siège social, forme juridique, numéro RCS des personnes morales, ainsi que les données susmentionnées sur les personnes physiques pour votre ou vos bénéficiaires effectifs et représentants. Les données pouvant être transférées ou mises à disposition comprennent également, pour toute personne, ses coordonnées, notamment ses numéros de téléphone et adresses e-mail, ainsi que les données financières et les données d'utilisation relatives à nos services (y compris le mode de paiement, le mode de versement et les transactions financières). Les destinataires des données se trouvent aux États-Unis, au Royaume-Uni, en Irlande, en Inde, au Luxembourg, aux Pays-Bas, en Allemagne et en Espagne, ainsi que dans d'autres pays d'Europe, d'Asie Pacifique et d'Amérique du Nord et du Sud. Ces transferts de données auront lieu pendant toute la durée de la relation commerciale qui existe entre nous et vous, ainsi que pour une période supplémentaire autorisée par la loi après la fin de la relation commerciale. Vous reconnaissez que les données transférées ne sont plus protégées par le secret professionnel luxembourgeois après leur transfert.

19. Clauses supplémentaires pour les utilisateurs professionnels

Les clauses suivantes s'appliquent également si vous utilisez les Services de paiement en tant que représentant (« Représentant ») d'une entreprise, d'une société ou de toute autre personne morale (auquel cas, pour les besoins des Conditions de paiement, « vous » et « votre » renvoient et s'appliquent à cette entreprise, société ou autre personne morale).

19.1 Vous acceptez les Conditions de paiement et vous assumez la responsabilité de toute action ou omission des employés ou mandataires du Représentant qui utilise le Service de paiement en votre nom.

19.2 Vous et votre Représentant affirmez individuellement que vous êtes autorisé à fournir les informations décrites aux articles 2.1 et 3.2 et que votre Représentant a le pouvoir de vous engager à respecter les présentes Conditions de paiement. Nous pourrions vous demander des informations ou documents supplémentaires attestant du pouvoir de votre Représentant.

19.3 Vous nous déclarez et garantissez que : (i) votre entreprise est dûment constituée, reconnue et en règle en vertu des lois du pays dans lequel elle a été constituée, et que vous vous enregistrez pour recevoir les Services de paiement ; et (ii) vous avez tous les droits et pouvoirs nécessaires pour conclure le présent contrat, exécuter vos obligations et octroyer les droits, licences et autorisations dans le cadre du présent contrat.

19.4 Si vous utilisez votre Mode de paiement au profit de vos employés ou de tiers autorisés en lien avec Airbnb for Work, comme votre compte le permet, vous autorisez Airbnb Payments à débiter votre Mode de paiement pour toute réservation demandée par des employés de votre société ou autre tiers autorisé.

19.5 Pour tout Mode de versement associé à votre compte Airbnb, vous autorisez Airbnb Payments à enregistrer le Mode de versement, à faire des paiements en utilisant le Mode de versement pour les réservations associées à votre compte Airbnb, et à prendre toute autre mesure autorisée par les Conditions de paiement en lien avec le Mode de versement.

19.6 Si vous gérez, stockez ou traitez des informations de cartes de paiement pour le compte de tiers, vous vous engagez à respecter en permanence les exigences applicables en matière de confidentialité et de sécurité des données de la norme de sécurité de l'industrie des cartes de paiement (Payment Card Industry Data Security Standard) dans le cadre de l'utilisation, de l'accès à et de la conservation de ces informations de cartes de crédit. Payments Terms of Service for Non-European Users

If you reside in, or the organization you are acting for is established in, the United States, the arbitration agreement and class actions waiver in Section 15 apply to you. Please read them carefully.

These Payments Terms of Service for Non-European Users (“Payments Terms”) are a binding legal agreement between you and Airbnb Payments that govern the Payment Services (defined below) conducted through or in connection with the Airbnb Platform. When these Payments Terms mention “Airbnb Payments,” “we,” “us,” or “our,” it refers to the Airbnb Payments company you are contracting with for Payment Services.

Airbnb Payments provides payments services to Members publishing, offering and booking Accommodations, Experiences or other Host Services, including services in connection with the Open Homes Program and other current and future services provided via the Airbnb Platform. These payment services may include (if available) the following (collectively, “Payment Services”):

  • Collecting payments from Guests (“Payin”), by charging the payment method associated with their Airbnb account, such as credit card, debit card, bank account or PayPal account (“Payment Method”);
  • Effecting payments to Hosts (“Payout”) to a financial instrument associated with their Airbnb account, such as a PayPal account, bank account, a prepaid card, or a debit card (“Payout Method”);
  • Effecting payments to a third-party Payout Method designated by a Host;
  • Collection and payment of charitable donations;
  • Payment collection services; and
  • Other payment related services in connection with Host Services.

In order to use the Payment Services, you must be at least 18 years old, must have an Airbnb account in good standing in accordance with the Airbnb Terms of Service (“Terms”), and must keep your payment and personal information accurate and complete.

Payment Services will be provided by the contracting entity based on your country of residence subject to any exceptions described below:

  • if you accept a booking from a Guest who is a resident of India, regardless of your country of residence, you are contracting with Airbnb Payments India; and
  • if you accept a booking from a Guest who is not a resident of India, regardless of your country of residence, you are contracting with Airbnb Payments UK.

If you change your country of residence, the Airbnb company you contract with and the applicable version of the Payment Terms will be determined by your new country of residence from the date on which your country of residence changes. Please note, however, that the Airbnb Payments company with whom you contract will stay the same for all bookings made prior to your change of residence.

The Terms separately govern your use of the Airbnb Platform. If you see an undefined term in these Payment Terms, it has the same definition as in the Terms.

1. Your use of the Payment Services

1.1 Airbnb Payment Services. By using the Payments Services, you agree to comply with these Payments Terms. Airbnb Payments may temporarily limit or suspend your access to or use of the Payment Services, or its features, to carry out maintenance measures that ensure the proper functioning of the Payment Services. Airbnb Payments may improve, enhance and modify the Payment Services and introduce new Payment Services from time to time. Airbnb Payments will provide notice to Members of any changes to the Payment Services, unless such changes do not materially increase the Members’ contractual obligations or decrease the Members’ rights under these Payments Terms.

1.2 Third Party Services. The Payment Services may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services are subject to different terms of service and privacy policies, and Members should review them. Airbnb Payments is not responsible or liable for the use of such Third-Party Services. Links to any Third-Party Services are not an endorsement by Airbnb Payments of those Third-Party Services.

1.3 Your Airbnb Account. Airbnb Payments may enable features that allow you to authorize other Members or third parties to take certain actions that affect your Airbnb account. You may authorize a third party to use your Airbnb account if the feature is enabled for your Airbnb account. You acknowledge and agree that anyone you authorize to use your Airbnb account may use the Payment Services on your behalf and that you will be responsible for any payments made by such person.

1.4 Verification. You authorize Airbnb Payments, directly or through third parties, to make any inquiries we consider necessary to verify your identity and information you provide. This may include (i) screening you against third-party databases or other sources, (ii) requesting reports from service providers, (iii) asking you to provide a form of government identification (e.g., driver’s license or passport), your date of birth, your address, and other information; or (iv) requiring you to take steps to confirm ownership of your email address, Payment Method(s) or Payout Method(s). Airbnb Payments reserves the right to terminate, suspend, or limit access to the Payment Services in the event we are unable to obtain or verify any of this information.

1.5 Additional Terms. Your access to or use of certain Payment Services may be subject to, or require you to accept, additional terms and conditions. If there is a conflict between these Payments Terms and terms and conditions applicable to a specific Payment Service, the latter terms and conditions will take precedence with respect to your use of or access to that Payment Service, unless specified otherwise.

2. Guest Terms

2.1 Adding a Payment Method. When you add a Payment Method to your Airbnb account, you will be asked to provide billing information such as name, billing address, and financial instrument information either to Airbnb Payments or its third-party payment processor(s). You authorize Airbnb Payments and its payment service providers to collect and store your Payment Method information.

2.2 Payment Method Verification. When you add or use a new Payment Method, Airbnb Payments may verify the Payment Method by (i) authorizing your Payment Method for one or two nominal amounts via a payment service provider, and asking you to confirm those amounts, or (ii) requiring you to upload a billing statement. We may, and retain the right to, initiate refunds of these amounts from your Payment Method. When you add a Payment Method during checkout, we will automatically save and add that Payment Method to your Airbnb account so it can be used for a future transaction. You can remove the Payment Method from your Airbnb account as long as it is not associated with an active or future reservation.

2.3 Payment Authorization. You allow Airbnb Payments to charge your Payment Method (including charging more than one payment method), either directly or indirectly, for all fees due (including any applicable taxes) in connection with your Airbnb account.

2.4 Automatic Update of Payment Method. If your Payment Method’s account information changes (e.g., account number, routing number, expiration date) as a result of re-issuance or otherwise, we may acquire that information from our financial services partners or your bank and automatically update your Payment Method on file.

2.5 Timing of Payment. Airbnb Payments generally charges the Total Price due after the Host accepts your booking request. However, if you pay with a push Payment Method (such as Sofort), Airbnb Payments will collect the Total Price due at the time of your booking request or after the Host accepts your booking request. Airbnb Payments may offer alternative options for the timing and manner of payment. Any additional fees for using those alternative payment options will be displayed via the Airbnb Platform and included in the Total Price, and you agree to pay such fees by selecting the payment option. Additional terms and conditions may apply for the use of an alternative payment option. If Airbnb Payments is unable to collect the Total Price due, as scheduled, Airbnb Payments will collect the Total Price due at a later point in accordance with Section 5.3. Once the payment for your requested booking is successfully completed, you will receive a confirmation email.

2.6 Currency. Airbnb Payments will process each transaction in the currency you select via the Airbnb Platform. The currencies available to make payments may be limited for regulatory or operational reasons based on factors such as your selected Payment Method, your country of residence, and/or your Airbnb Payments contracting entity(ies). Any such limitations will be communicated via the Airbnb Platform, and you will be prompted to select a different currency or Payment Method. Note that if your Airbnb Payments contracting entity’s location is different than the country of your Payment Method, or your selected currency is different than your Payment Method's billing currency, your payment may be processed outside of your country of residence. As a result, certain fees may apply and the amount listed on your card statement may be different from the amount shown at checkout. For example, if you make a booking using a U.S. issued card, but select Euro as your currency, your payment may be processed outside the U.S., and banks and credit card companies may impose international transaction fees and foreign exchange fees. In addition, if you select to pay with a currency that is different than your Payment Method's billing currency, your bank or credit card company may convert the payment amount to your billing currency associated with your Payment Method, based on an exchange rate and fee amount determined solely by your bank. Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Please contact your bank or credit card company if you have any questions about these fees or the applicable exchange rate.

2.7 Booking Request Status. If a requested booking is declined either because it is not accepted by the Host or you cancel the booking request before it is accepted by the Host, any amounts collected by Airbnb Payments will be refunded to you, and any pre-authorization of your Payment Method will be released (if applicable). The timing to receive the refund or for the pre-authorization to be released will vary based on the Payment Method and any applicable payment system (e.g., Visa, MasterCard, etc.) rules.

2.8 Payment Restrictions. Airbnb Payments reserves the right to decline or limit payments that we believe (i) may violate Airbnb Payments’ risk management policies or procedures, (ii) may violate these Payments Terms or the Terms, (iii) are unauthorized, fraudulent or illegal; or (iv) expose you, Airbnb, Airbnb Payments, or others to risks unacceptable to Airbnb Payments.

2.9 Payment Service Providers. Payment Methods may involve the use of third-party payment service providers. These payment service providers may charge you additional fees when processing payments in connection with the Payment Services, and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Your Payment Method may also be subject to additional terms of use. Please review them before using your Payment Method.

2.10 Your Payment Method, Your Responsibility. Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payment Method information provided by you.

2.11 Different Ways to Pay

2.11.1 Payment Plan

2.11.1.1 Airbnb Payments may make available to Guests the option to pay a portion of the booking’s Total Price at the time of booking and pay the remainder of the Total Price at a later time prior to check-in (“Payment Plan”). Availability of this option may depend on the Listing and/or Payment Method.

2.11.1.2 If you choose a Payment Plan, the Airbnb Platform will notify you during check out of the amount, currency and schedule of each payment due. On the following payments due date, Airbnb Payments will automatically charge the original Payment Method you used to make the booking.

2.11.1.3 If you make a modification to a booking made with a Payment Plan, Airbnb Payments will notify you of the revised payment schedule, as applicable. If the modification increases your Total Price, you may be required to make an additional partial payment of the new Total Price at the time of the modification.

2.11.1.4 You agree that by selecting a Payment Plan, you may not be able to pay for the booking with a different Payment Method or pursuant to a different payment schedule.

2.11.1.5 If Airbnb Payments is unable to collect your payment, Airbnb Payments will notify you of such declined payment, and require you to complete the payment using an alternative Payment Method within 72 hours of the notice. If you fail to complete the payment, you authorize Airbnb to cancel the booking on your behalf. If the booking is canceled, you will be refunded based on the Host’s cancellation policy. You acknowledge that you may incur fees for cancellations pursuant to the Host’s cancellation policy.

2.11.2 Recurring Payments

2.11.2.1 For certain bookings (such as for Accommodation bookings of twenty-eight (28) nights or more), Airbnb Payments may require a Guest to make recurring, incremental payments toward the Total Price owed (“Recurring Payments”). More information on Recurring Payments (including the amount and the frequency of payments) will be made available via the Airbnb Platform if applicable to a booking.

2.11.2.2 If Recurring Payments apply to a confirmed booking, then the Guest authorizes Airbnb Payments to collect the Total Price due.

2.11.2.3 Guests may stop a Recurring Payment by notifying Airbnb Payments orally or in writing at least three (3) business days before the scheduled date of the payment. Airbnb Payments may require you to give written confirmation of a stop-payment order within fourteen (14) days of an oral notification. If you fail to provide written confirmation within those fourteen (14) days, Airbnb Payments is not obligated to honor your request to stop any future Recurring Payments. 3. Host Terms

3.1 Payment Collection. Airbnb Payments generally collects the Total Price of a booking at the time the Guest’s booking request is accepted by the Host, unless noted otherwise.

3.2 Valid Payout Method. In order to receive a Payout you must have a valid Payout Method linked to your Airbnb account. When you add a Payout Method to your Airbnb account, you will be asked to provide information such as name, government identification, tax ID, billing address, and financial instrument information either to Airbnb Payments or its third-party payment processor(s). Depending on the Payout Method selected additional information may be required, such as: residential address, name on the account, account type, routing number, account number, email address, payout currency, identification number and account information associated with a particular payment processor. Providing requested information is required for a Payout Method to be valid. The information Airbnb Payments requires for a valid Payout Method may change, and Airbnb Payments may request additional information at any time; failing to provide requested information may result in Airbnb Payments temporarily placing a hold, suspending, or canceling any Payout until the information is provided and, if necessary, validated. You authorize Airbnb Payments to collect and store your Payout Method information. Airbnb Payments may also share your information with governmental authorities as required by applicable law.

3.3 Timing of Payout

3.3.1 Subject to and conditional upon successful receipt of the payments from Guest, Airbnb Payments will generally initiate Payouts to your selected Payout Method: (i) for Accommodations, 24 hours after the Guest’s scheduled check-in time (or 24 hours after 3:00 pm local time - or 3:00 pm UTC if local time is unknown - if the check-in time is flexible or not specified); (ii) for Experiences, 24 hours after the start of the Experience; and (iii) for all other Host Services, at the time specified via the Airbnb Platform. For Accommodation bookings of twenty-eight (28) nights or more, Airbnb Payments will generally initiate the first payout 24 hours after the Guest’s scheduled check-in time, and will initiate future payouts every 30 days after the initial payout, for the duration of the reservation.

3.3.2 Airbnb Payments may offer you a different Payout time or trigger for payment, which may be subject to additional terms and conditions. For example, certain Hosts in China will receive Payouts 48 hours after the Guest’s scheduled check-out time or 7 days after the Guest’s scheduled check-in time, whichever is earlier. Such Payout timeline may be updated once the Host meets certain eligibility criteria. The time it takes to receive Payouts once released by Airbnb Payments may depend upon the Payout Method you select.

3.4 Payout. Your Payout for a booking will be the Total Price less applicable fees like Airbnb service fees and applicable taxes. In the event of cancellation of a confirmed booking, Airbnb Payments will remit the amount you are due (if any) as provided in the Terms and applicable cancellation policy.

3.5 Payout Restrictions. Airbnb Payments may temporarily place a hold, suspend, or cancel any Payout for purposes of preventing unlawful activity or fraud, risk assessment, security, or completing an investigation; or if we are unable to verify your identity, or to obtain or verify requested information. Furthermore, Airbnb Payments may temporarily place a hold on, suspend, or delay initiating or processing any Payout due to you under the Terms as a result of high volume Booking cancellations or modifications arising from a Force Majeure Event (as defined below).

3.6 Currency Conversion. Airbnb Payments will remit your Payouts in the currency you select via the Airbnb Platform. The currencies available may be limited for regulatory or operational reasons based on factors such as your selected Payout Method, your country of residence, and/or your Airbnb contracting entity(ies). Any such limitations will be communicated via the Airbnb Platform, and you will be prompted to select a different currency or Payout Method. Note that payment service providers may impose transaction, currency conversion or other fees based on the currency or Payout Method you select, and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard.

3.7 Limits on Payouts. For compliance or operational reasons, Airbnb Payments may limit the amount of a Payout. If you are due an amount above that limit, Airbnb Payments may make a series of Payouts (potentially over multiple days) in order to provide your full Payout amount.

3.8 Payment Service Providers. Payout Methods may involve the use of third-party payment service providers. These payment service providers may charge you additional fees when processing Payouts in connection with the Payment Services (including deducting charges from the Payout amount), and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Your Payout Method may also be subject to additional terms of use. Please review them before using your Payout Method.

3.9 Handling of Funds. Airbnb Payments may combine amounts that it collects from Guests and invest them as permitted under applicable laws. Airbnb Payments will retain any interest it earns on those investments.

3.10 Your Payout Method, Your Responsibility. Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payout Method information provided by you.

3.11 Different ways to get paid

3.11.1 Split Payouts

If you provide Host Services jointly with one or more other Hosts as part of a team, business or other organization (“Host Team”), Airbnb may make available to such Hosts the option to allocate between the members of the Host Team the total Host Payout for a booking. Airbnb Payments will execute such payments at the instruction of one or more members of the Host Team and is not responsible for any losses related to errors or omissions made by the Hosts in providing such payment instructions.

4. Appointment of Airbnb Payments as Limited Payment Collection Agent

4.1 Each Host, including each Host Team member, hereby appoints Airbnb Payments as the Host’s payment collection agent solely for the limited purpose of accepting and processing funds from Guests purchasing Host Services on the Host’s behalf.

4.2 Each Host, including each Host Team member, agrees that payment made by a Guest through Airbnb Payments, shall be considered the same as a payment made directly to the Host, and the Host will provide the Host Service booked by the Guest in the agreed-upon manner as if the Host has received the payment directly from the Guest. Each Host agrees that Airbnb Payments may refund the Guest in accordance with the Terms. Each Host understands that Airbnb Payments’ obligation to pay the Host is subject to and conditional upon successful receipt of the associated payments from Guest. Airbnb Payments guarantees payments to Host(s) only for such amounts that have been successfully received by Airbnb Payments from Guests in accordance with these Payments Terms. In accepting appointment as the limited payment collection agent of the Host, Airbnb Payments assumes no liability for any acts or omissions of the Host.

4.3 Each Guest acknowledges and agrees that, notwithstanding the fact that Airbnb Payments is not a party to the agreement between you and the Host(s), including each Host Team member, Airbnb Payments acts as each Host’s payment collection agent for the limited purpose of accepting payments from you on behalf of the Host(s). Upon a Guest’s payment of the funds to Airbnb Payments, the Guest’s payment obligation to the Host(s) for the agreed upon amount is extinguished, and Airbnb Payments is responsible for remitting the funds successfully received by Airbnb Payments to the Host(s) in the manner described in these Payments Terms. In the event that Airbnb Payments does not remit any such amounts, the Host(s) will have recourse only against Airbnb Payments and not the Guest directly.

5. General Terms

5.1 Fees. Airbnb Payments may charge fees for use of certain Payment Services and any applicable fees will be disclosed to you in the Terms or via the Airbnb Platform.

5.2 Payment Authorizations. You authorize Airbnb Payments to collect from you amounts due pursuant to these Payment Terms and/or the Terms by either (i) charging the Payment Method associated with the relevant booking, or any other Payment Method on file that you authorize in your Airbnb account (unless you have previously removed the authorization to charge such Payment Method(s)), or (ii) by withholding the amount from your future Payout. Specifically, you authorize Airbnb Payments to collect from you:

  • Any amount due to Airbnb or Airbnb Payments (e.g., as a result of your bookings, Booking Modifications, cancellations, or other actions as a Guest, Host or user of the Airbnb Platform), including reimbursement for costs prepaid by Airbnb or Airbnb Payments on your behalf. Any funds collected by Airbnb Payments will set off the amount owed by you to Airbnb or Airbnb Payments and extinguish your obligation to Airbnb or Airbnb Payments.
  • Any amount due to a Host from a Guest which Airbnb collects as the Host’s payment collection agent as further set out in Section 4 above.
  • Taxes, where applicable and as set out in the Terms.
  • Any amount you pay through the Resolution Center in connection with your Airbnb account.
  • Overstay penalties payable under the Terms, including any cost and expenses incurred in collecting the overstay penalty.
  • Any service fees or cancellation fees imposed pursuant to the Terms (e.g., if, as a Host, you cancel a confirmed booking).
  • Any amounts already paid to you as a Host despite a Guest cancelling a confirmed booking or Airbnb deciding that it is necessary to cancel a booking in accordance with the Terms, Guest Refund Policy, Experiences Guest Refund Policy, Extenuating Circumstances Policy, or other applicable cancellation policy. You agree that in the event you have already been paid, Airbnb Payments will be entitled to recover the amount of any such guest refund from you, including by subtracting such refund amount out from any future Payouts due to you.

In addition to any amount due as outlined above, if there are delinquent amounts or chargebacks associated with your Payment Method, you may be charged fees that are incidental to Airbnb Payments collection of these delinquent amounts and chargebacks. Such fees or charges may include collection fees, convenience fees or other third-party charges.

5.3 Collections

5.3.1 If Airbnb Payments is unable to collect any amounts you owe under these Payments Terms, Airbnb Payments may engage in collection efforts to recover such amounts from you.

5.3.2 Airbnb Payments will deem any owed amounts overdue when: (a) for authorized charges, one hundred and twenty (120) days have elapsed after Airbnb Payments first attempts to charge your Payment Method or the associated services have been provided, whichever is later; and (b) for withholdings from a Host’s future Payouts, two hundred and seventy (270) days have elapsed after the adjustment is made to the Host’s Airbnb account or the associated services have been provided, whichever is later.

5.3.3 Airbnb Payments will deem any overdue amounts not collected to be in default when three hundred and sixty five (365) days have elapsed: (a) for authorized charges, after Airbnb Payments first attempts to charge your Payment Method or the associated services have been provided, whichever is later; and (b) for withholdings from a Host’s future Payouts, after the adjustment is made to the Host’s Airbnb account or the associated services have been provided, whichever is later.

5.3.4 You hereby explicitly agree that all communications in relation to amounts owed will be made by electronic mail or by phone, as provided to Airbnb and/or Airbnb Payments by you. Such communications may be made by Airbnb, Airbnb Payments, or by anyone on their behalf, including but not limited to a third-party collection agent.

5.4 Payment Processing Errors

5.4.1 Airbnb Payments will take the necessary steps to rectify any payment processing errors that we become aware of. These steps may include crediting or debiting (as appropriate) the original Payout Method or Payment Method used or selected by you, so that you end up receiving or paying the correct amount. This may be performed by Airbnb Payments or a third party such as your financial institution. We may also take steps to recover funds sent to you in error (including but not limited to an event of duplicate payments made to you due to a processing error), by reducing, setting off and/or debiting the amount of such funds from any future Payouts owed to you.

5.4.2 To the extent you receive any funds in error, you agree to immediately return such funds to Airbnb Payments.

5.5 Refunds

5.5.1 Any refunds or credits due to a Member pursuant to the Terms, Extenuating Circumstances Policy, Guest Refund Policy, and Experiences Guest Refund Policy will be initiated and remitted by Airbnb Payments in accordance with these Payments Terms.

5.5.2 Subject to this Section 5.5.2, Airbnb Payments will process refunds immediately, however, the timing to receive any refund will depend on the Payment Method and any applicable payment system (e.g., Visa, Mastercard, etc.) rules. In the event of a Force Majeure Event that may affect the processing and settlement of refunds, Airbnb Payments will initiate and process the refund as soon as is practicable.

6. Damage Claims and Security Deposits

6.1 If you as a Guest (i) agree to pay the Host in connection with a Damage Claim, or (ii) Airbnb determines that you are responsible for damaging any real or personal property at a Listing pursuant to the Terms, you authorize Airbnb Payments to charge the Payment Method used to make the booking in order to collect any security deposit associated with the Listing, as well as any fees, costs and/or expenses associated with the Damage Claim. If Airbnb Payments is unable to collect from the Payment Method used to make the booking, you agree that Airbnb Payments may charge any other Payment Method on file in your Airbnb account at the time of the Damage Claim (unless you have previously removed the authorization to charge such Payment Method(s)).

6.2 You agree that Airbnb Payments may seek to recover from you under any insurance policies you maintain and that Airbnb Payments may also pursue against you any remedies it may have available, including, but not limited to, in relation to any payment requests made by Hosts under the Airbnb Host Guarantee.

7. Abandoned Property

If Airbnb Payments holds funds due to you (e.g., because we are unable to issue you a Payout or refund) or you do not use a gift card or gift credit for the relevant period of time set forth by your state, country, or other governing body in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by reporting and escheating (sending) such funds to the appropriate governing body as required by applicable unclaimed property laws.

8. Prohibited Activities

8.1 You are solely responsible for compliance with any and all laws, rules, regulations, and tax obligations that may apply to your use of the Payment Services. In connection with your use of the Payment Services, you may not and you agree that you will not and will not assist or enable others to:

  • breach or circumvent any applicable laws or regulations;
  • breach or circumvent any agreements with third parties, third-party rights, or the Terms, Policies, or Standards;
  • use the Payment Services for any commercial or other purposes that are not expressly permitted by these Payments Terms;
  • register or use any Payment Method or Payout Method with your Airbnb account that is not yours or you do not have authorization to use;
  • avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Airbnb Payments or any of Airbnb Payments’ providers or any other third party to protect the Payment Services;
  • take any action that damages or adversely affects, or could damage or adversely affect, the performance or proper functioning of the Payment Services;
  • attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Payment Services; or
  • violate or infringe anyone else’s rights or otherwise cause harm to anyone.

8.2 You may not use or assist others to use the Payment Services to send or receive funds: (i) into any United States embargoed countries; or (ii) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce’s Denied Persons List or Entity List. You represent and warrant that: (i) neither you nor your Host Services are located or take place in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. In addition to complying with the above, you must also comply with any relevant export control laws in your local jurisdiction.

9. Force Majeure

Airbnb Payments shall not be liable for any delay or failure to fulfill any obligation under these Payments Terms resulting from causes outside the reasonable control of Airbnb or Airbnb Payments, including, but not limited to, acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor or materials (“Force Majeure Event”).

10. Disclaimers

10.1 If you choose to use the Payment Services, you do so voluntarily and at your sole risk. To the maximum extent permitted by law, the Payment Services are provided “as is”, without warranty of any kind, either express or implied.

10.2 Notwithstanding Airbnb Payments’ appointment as the limited payment collection agent of Hosts pursuant to Section 4, Airbnb Payments explicitly disclaims all liability for any act or omission of any Member or other third party. Airbnb Payments does not have any duties or obligations as agent for each Host except to the extent expressly set forth in these Payments Terms, and any additional duties or obligations as may be implied by law are, to the maximum extent permitted by applicable law, expressly excluded.

10.3 If we choose to conduct identity verification on any Member, to the extent permitted by applicable law, we disclaim warranties of any kind, either express or implied, that such checks will identify prior misconduct by a Member or guarantee that a Member will not engage in misconduct in the future.

10.4 The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights or warranties which cannot lawfully be excluded. However, the duration of any statutorily required warranties shall be limited to the maximum extent (if any) permitted by law.

11. Liability

11.1 Except as provided in Section 11.2, you acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Payment Services remains with you. If you permit or authorize another person to use your Airbnb account in any way, you are responsible for the actions taken by that person. Neither Airbnb Payments nor any other party involved in creating, producing, or delivering the Payment Services will be liable for any incidental, special, exemplary, or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Payments Terms, (ii) from the use of or inability to use the Payment Services, or (iii) from any communications, interactions, or meetings with other Members or other persons with whom you communicate, interact, transact, or meet with as a result of your use of the Payment Services, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not Airbnb Payments has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose. Except for our obligations to pay amounts to applicable Hosts pursuant to these Payments Terms or an approved payment request under the Airbnb Host Guarantee or Japan Host Insurance, in no event will Airbnb Payments’ aggregate liability arising out of or in connection with these Payments Terms and your use of the Payment Services including, but not limited to, from your use of or inability to use the Payment Services, exceed (i) the amounts you have paid or owe for bookings via the Airbnb Platform as a Guest in the twelve (12) month period prior to the event giving rise to the liability, or if you are a Host, the amounts paid by Airbnb Payments to you in the twelve (12) month period prior to the event giving rise to the liability, or (ii) one hundred U.S. dollars (US$100), if no such payments have been made, as applicable. The limitations of damages set forth above are fundamental elements of the basis of the bargain between Airbnb Payments and you. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. If you reside outside of the U.S., this does not affect Airbnb Payments’ liability for death or personal injury arising from its negligence, nor for fraudulent misrepresentation, misrepresentation as to a fundamental matter, or any other liability which cannot be excluded or limited under applicable law.

11.2 If you reside in Australia and contract with Airbnb Payments Australia, Section 11.1 does not apply, and Airbnb Payments is liable under statutory provisions for intent and gross negligence by us, our legal representatives, directors, or other vicarious agents. The same applies to the assumption of guarantees or any other strict liability, or in case of a culpable injury to life, limb, or health. Airbnb Payments is liable for any negligent breaches of essential contractual obligations by us, our legal representatives, directors, or other vicarious agents; such liability is limited to the typically occurring foreseeable damages. Essential contractual obligations are such duties of Airbnb Payments in whose proper fulfillment you regularly trust and must trust for the proper execution of the contract. Any additional liability of Airbnb Payments is excluded to the maximum extent allowed by applicable law.

12. Indemnification

To the maximum extent permitted by applicable law, you agree to release, defend (at Airbnb Payments’ option), indemnify, and hold Airbnb Payments and its affiliates and subsidiaries, and their officers, directors, employees, and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your breach of these Payments Terms; (ii) your improper use of the Payment Services; (iii) your failure, or our failure at your direction, to accurately report, collect or remit taxes; or (iv) your breach of any laws, regulations, or third-party rights.

13. Modification, Term, Termination, and other Measures

13.1 Modification. Except as otherwise required by applicable law, Airbnb Payments may modify these Payments Terms at any time. If we make material changes to these Payment Terms, we will post the revised Payment Terms on the Airbnb Platform and update the “Last Updated” date at the top of these Payment Terms. If you are affected by the modification, we will also provide you with notice of the modifications at least thirty (30) days before the date they become effective. If you are contracting with Airbnb Payments UK, or Airbnb Payments Australia, you will receive at least two (2) months advance notice. If you do not terminate your agreement before the date the revised Payment Terms become effective, your continued use of the Payment Services will constitute acceptance of any changes to the revised Payments Terms.

13.2 Term. This agreement between you and Airbnb Payments reflected by these Payment Terms is effective when you create an Airbnb account or use the Payment Services and remains in effect until either you or we terminate this agreement in accordance with Section 13.3.

13.3 Termination. You may terminate this agreement at any time by sending us an email or by deleting your Airbnb account. Terminating this agreement will also serve as notice to cancel your Airbnb account pursuant to the Terms. Without limiting our rights specified below, Airbnb Payments may terminate this agreement for convenience at any time by giving you thirty (30) days' notice via email to your registered email address (or two (2) months’ prior notice for Members contracting with Airbnb Payments UK). Airbnb Payments may also terminate this agreement immediately without notice if (i) you have materially breached your obligations under this agreement; (ii) you have provided inaccurate, fraudulent, outdated, or incomplete information; (iii) you have violated applicable laws, regulations, or third-party rights; or (iv) Airbnb Payments believes in good faith that such action is reasonably necessary to protect other Members, Airbnb, Airbnb Payments, or third parties.

13.4 Suspension and Other Measures. Airbnb Payments may limit or temporarily or permanently suspend your use of or access to the Payment Services (i) to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, (ii) if you have breached these Payments Terms, the Terms, applicable laws, regulations or third-party rights, (iii) if you have provided inaccurate, fraudulent, outdated, or incomplete information regarding a Payment Method or Payout Method, (iv) for any amounts you owe under these Payments Term that are overdue or in default, or (v) if Airbnb Payments believes in good faith that such action is reasonably necessary to protect the personal safety or property of Airbnb, its Members, Airbnb Payments, or third parties, or to prevent fraud or other illegal activity. Further, for unsuccessful payment due to card expiration, insufficient funds, or otherwise, we may temporarily suspend your access to the Payment Services until we can charge a valid Payment Method

13.5 Appeal. If Airbnb Payments takes any of the measures described in Section 13.3 and 13.4 you may appeal such a decision by contacting customer service.

13.6 Effect of Termination. If you cancel your Airbnb account as a Host or Airbnb Payments takes any of the measures described above, Airbnb Payments may provide a full refund to any Guests with confirmed booking(s), and you will not be entitled to any compensation for pending or confirmed bookings that were cancelled. If you cancel your Airbnb account as a Guest, Airbnb Payments will initiate a refund for any confirmed booking(s) based on the Listing’s cancellation policy. If your access to or use of the Payment Services has been suspended or limited or this agreement has been terminated by us, you may not register a new Airbnb account or attempt to access and use the Payment Services through an Airbnb account of another Member.

13.7 Survival. Sections 5 through 20 of these Payments Terms shall survive any termination or expiration of this agreement.

14. Governing Law and Dispute Resolution

14.1 If you are contracting with Airbnb Payments US, these Payments Terms will be interpreted in accordance with the laws of the State of California and the United States of America, without regard to conflict-of-law provisions. Legal proceedings (other than small claims actions) that are excluded from the Arbitration Agreement in Section 15 must be brought in state or federal court in San Francisco, California, unless we both agree to some other location. You and we both consent to venue and personal jurisdiction in San Francisco, California.

14.2 If you are contracting with Airbnb China, these Payments Terms will be governed by and construed in accordance with the laws of the People’s Republic of China (“China Laws”). In this situation, any dispute arising from or in connection with these Payments Terms or use of the Payment Services shall be submitted to the China International Economic and Trade Arbitration Commission (“CIETAC”) for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties. The tribunal shall consist of three (3) arbitrators. The seat of the arbitration shall be Beijing. The language of the arbitration shall be English. This section does not limit any rights which Airbnb Payments may have to apply to any court of competent jurisdiction for an order requiring you to perform or be prohibited from performing certain acts and other provisional relief permitted under China Laws or any other laws that may apply to you.

14.3 If you are contracting with Airbnb Payments UK, these Payments Terms will be interpreted in accordance with English law. If you are acting as a consumer and if mandatory statutory consumer protection regulations in your country of residence contain provisions that are more beneficial for you, such provisions shall apply irrespective of the choice of English law. As a consumer, you may bring any judicial proceedings relating to these Payments Terms before the competent court of your place of residence or a court in England. If Airbnb wishes to enforce any of its rights against you as a consumer, we may do so only in the courts of the jurisdiction in which you are a resident. If you are acting as a business, you agree to submit to the exclusive jurisdiction of the English courts.

14.4 If you are contracting with Airbnb Payments India, these Payments Terms will be interpreted in accordance with the laws of India. Any dispute arising from or in connection with these Payments Terms must be submitted to the International Chamber of Commerce (“ICC”) for arbitration in New Delhi, which shall be the seat and venue of arbitration. Such arbitration shall be conducted in accordance with the arbitration rules of the ICC in effect at the time of applying for arbitration, provided that this section shall not be construed to limit any rights which Airbnb Payments may have to apply to any court of competent jurisdiction for an order requiring you to perform or be prohibited from performing certain acts and other provisional relief permitted under the laws of India or any other laws that may apply to you. In the event one or more of the parties to the dispute are non-resident, the parties agree to exclude (for the avoidance of any doubt) the applicability of the provisions of Part I (save and except Section 9, Section 27, Section 37(1)(a) and Section 37(3) thereof) of the Indian Arbitration and Conciliation Act 1996 to any arbitration under this section. The arbitration proceedings shall be conducted in English. The arbitral award rendered is final and binding upon both parties. Each party shall bear its own costs in relation to the arbitration.

14.5 If you are contracting with Airbnb Payments Australia, these Payments Terms will be governed by the laws of the State of New South Wales, Australia. The parties agree to submit to the non-exclusive jurisdiction of the courts of that State and courts of appeal of that State in respect of any proceedings arising out of or in connection with this agreement.

14.6 If you are contracting with Airbnb Payments Brazil, these Payments Terms will be interpreted in accordance with the laws of Brazil. If you are acting as a consumer, judicial proceedings that you are able to bring against us arising from or in connection with these Payments Terms may only be brought in a court located in the city of Sao Paulo, State of Sao Paulo, Brazil or in a court with jurisdiction in your place of residence. If you are acting as a business, you agree to submit to the exclusive jurisdiction of a court located in the city of Sao Paulo, State of Sao Paulo, Brazil.

15. United States Arbitration Agreement

15.1 Application. This Arbitration Agreement only applies to you if you are contracting with Airbnb Payment US. If you are not contracting with Airbnb Payments US, and you nevertheless attempt to bring any legal claim against Airbnb Payments in the United States, this Arbitration Agreement will apply for determination of the threshold issue of whether this Section 15 applies to you, and all other threshold determinations, including residency, arbitrability, venue, and applicable law.

15.2 Overview of Dispute Resolution Process. Airbnb Payments is committed to participating in a consumer-friendly dispute resolution process. To that end, these Payment Terms provide for a two-part process for individuals to whom this Section 15 applies: (1) an informal negotiation directly with Airbnb’s customer service team (described in paragraph 15.3, below), and if necessary (2) a binding arbitration administered by the American Arbitration Association (“AAA”). You and Airbnb Payments each retain the right to seek relief in small claims court as an alternative to arbitration

15.3 Mandatory Pre-Arbitration Dispute Resolution and Notification. At least 30 days prior to initiating an arbitration, you and Airbnb Payments each agree to notify the other party of the dispute in writing and attempt in good faith to negotiate an informal resolution. You must send your notice of dispute to Airbnb Payments by mailing it to Airbnb Payments’ agent for service: CSC Lawyers Incorporating Service, 2710 Gateway Oaks Drive, Suite 150N, Sacramento, California 95833. Airbnb Payments will send its notice of dispute to the email address associated with your Airbnb account. A notice of dispute must include: the party’s name and preferred contact information, a brief description of the dispute, and the relief sought. If the parties are unable to resolve the dispute within the 30-day period, only then may either party commence arbitration by filing a written Demand for Arbitration (available at www.adr.org) with the AAA and providing a copy to the other party as specified in the AAA Rules (available at www.adr.org).

15.4 Agreement to Arbitrate. You and Airbnb Payments mutually agree that any dispute, claim or controversy arising out of or relating to these Payments Terms or the applicability, breach, termination, validity, enforcement or interpretation thereof, or any use of the Payment Services (collectively, “Disputes”) will be settled by binding individual arbitration (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to our Dispute, you and Airbnb Payments agree that the arbitrator will decide that issue.

15.5 Exceptions to Arbitration Agreement. You and Airbnb Payments each agree that the following causes of action and/or claims for relief are exceptions to the Arbitration Agreement and will be brought in a judicial proceeding in a court of competent jurisdiction (as defined by Section 15): (i) any claim or cause of action seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack); or (ii) a request for the remedy of public injunctive relief. You and Airbnb Payments agree that the remedy of public injunctive relief will proceed after the arbitration of all arbitrable claims, remedies, or causes of action, and will be stayed pending the outcome of the arbitration pursuant to section 3 of the Federal Arbitration Act.

15.6 Arbitration Rules and Governing Law. This Arbitration Agreement evidences a transaction in interstate commerce and the Federal Arbitration Act governs all substantive and procedural interpretation and enforcement of this provision. The arbitration will be administered by AAA in accordance with the Consumer Arbitration Rules and/or other AAA arbitration rules determined to be applicable by the AAA (the “AAA Rules”) then in effect, except as modified here. The AAA Rules are available at www.adr.org. In order to initiate arbitration, a completed written demand (available at www.adr.org) must be filed with the AAA and provided to the other party, as specified in the AAA rules.

15.7 Modification to AAA Rules - Arbitration Hearing/Location. In order to make the arbitration most convenient to you, Airbnb Payments agrees that any required arbitration hearing may be conducted, at your option: (a) in the U.S county where you reside; (b) in San Francisco County; (c) via phone or video conference; or (d) if all parties agree, by solely the submission of documents to the arbitrator.

15.8 Modification of AAA Rules - Attorney’s Fees and Costs. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, Airbnb Payments will pay all arbitration fees and expenses. Either party may make a request that the arbitrator award attorneys’ fees and costs upon proving that the other party has asserted a claim, cross-claim or defense that is groundless in fact or law, brought in bad faith or for the purpose of harassment, or is otherwise frivolous, as allowed by applicable law and the AAA Rules.

15.9 Arbitrator’s Decision. The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award any relief allowed by law or the AAA Rules, but declaratory or injunctive relief may be awarded only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim.

15.10 Jury Trial Waiver. You and Airbnb Payments acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable Disputes.

15.11 No Class Actions or Representative Proceedings. You and Airbnb Payments acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, private attorney general action, or any other representative or consolidated proceeding. Unless we agree in writing, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If there is a final judicial determination that applicable law precludes enforcement of the waiver contained in this paragraph as to any claim, cause of action or requested remedy, then that claim, cause of action or requested remedy, and only that claim, cause of action or requested remedy, will be severed from this agreement to arbitrate and will be brought in a court of competent jurisdiction. In the event that a claim, cause of action or requested remedy is severed pursuant to this paragraph, then you and we agree that the claims, causes of action or requested remedies that are not subject to arbitration will be stayed until all arbitrable claims, causes of action and requested remedies are resolved by the arbitrator.

15.12 Severability. Except as provided in Section 15.11, in the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable, such provision shall be severed and the remainder of the Arbitration Agreement will be given full force and effect.

15.13 Changes to Agreement to Arbitrate. If Airbnb Payments changes this Section 15 after the date you last accepted these Payments Terms (or accepted any subsequent changes to these Payments Terms), you may reject that change by sending us written notice (including by email) within thirty (30) days of the date the change is effective. Rejecting a new change, however, does not revoke or alter your prior consent to any earlier agreements to arbitrate any Dispute between you and Airbnb Payments (or your prior consent to any subsequent changes thereto), which will remain in effect and enforceable as to any Dispute between you and Airbnb Payments.

15.14 Survival. Except as provided in Section 15.12 and subject to Section 13.7, this Section 15 will survive any termination of these Payments Terms and will continue to apply even if you stop using the Payment Services or terminate your Airbnb account.

16. Miscellaneous

16.1 Interpreting these Payments Terms. Except as they may be supplemented by additional terms and conditions, policies, guidelines, or standards, these Payments Terms constitute the entire agreement between Airbnb Payments and you regarding the subject matter hereof, and supersede any and all prior oral or written understandings or agreements between Airbnb Payments and you regarding the Payment Services. If any provision of these Payments Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

16.2 No Waiver. Airbnb Payments’ failure to enforce any right or provision in these Payments Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Payments Terms, the exercise by either party of any of its remedies under these Payments Terms will be without prejudice to its other remedies under these Payments Terms or otherwise permitted under law.

16.3 Assignment. You may not assign, transfer, or delegate this agreement or your rights and obligations hereunder without Airbnb Payments’ prior written consent. Airbnb Payments may without restriction assign, transfer, or delegate this agreement and any rights and obligations, at its sole discretion, with thirty (30) days’ prior notice (or two (2) months’ prior notice for Members contracting with Airbnb Payments UK).

16.4 Notices. Unless specified otherwise, any notices or other communications permitted or required under this agreement, will be in writing and given by Airbnb Payments via email or Airbnb Platform notification, and depending on your notification setting, messaging service (including SMS and WeChat). The date of receipt will be deemed the date on which Airbnb Payments transmits the notice.

17. Additional Clauses for Users Contracting with Airbnb Payments UK

The following paragraphs will apply if you are contracting with Airbnb Payments UK:

17.1 Payment Service User

17.1.1 The Payment Services include the payment collection service provided to Hosts contracting with Airbnb Payments UK. The payment collection service constitutes a “payment service” regulated under the Payment Services Regulations and for these purposes Airbnb Payments UK treats Hosts as the “payment service user.”

17.1.2 By agreeing to these Payments Terms you as a Host have consented to Airbnb Payments UK’s payment of each Payout to your chosen Payout Method. Hosts may change a Payout Method up to one (1) day before the time agreed for the Payout as set out in Section 3.3. Airbnb Payments UK will be deemed to have received the Host's payment order to the Host on the same date Airbnb Payments UK agrees to initiate the Payout in accordance with Section 3.3

17.1.3 Airbnb Payments UK will endeavor to ensure that Hosts based in the UK will receive each Payout by the end of the business day following Airbnb Payments UK’s initiation of the Payout.

17.1.4 Communication. Airbnb Payments will provide the Host notice via email when we initiate each Payout. We will also provide notice to a Host’s registered email address if the Payout is returned to us because of an error. It is your responsibility as a Host to ensure that you provide us with a current, accurate, and valid email address.

17.2 Resolution Procedures for Diverted Payouts

17.2.1 If you as a Host believe that a Payout properly due to you has been or may be diverted without your permission (“Diverted Payout”) because your password or other credentials to log into your Airbnb account (“Credentials”) are lost or stolen, you should notify Airbnb Payments UK pursuant to Section 20 immediately. As a Host you may be liable for losses relating to any Diverted Payout arising from the use of lost, stolen, or misappropriated Credentials (including the loss of a mobile phone on which you have installed the Application) or where you have failed to keep your Credentials safe, up to a maximum of £50. Provided that you notify us of any Diverted Payout without delay and at the very latest within 13 months of the date of the payment, you may be entitled to a refund of that payment.

17.2.2 We will not be liable for any loss arising from: (i) Diverted Payouts where you acted fraudulently or where, with intent or gross negligence, you failed to use the Airbnb Platform and/or Payment Services in accordance with the Terms or these Payments Terms (including the obligation to keep your Credentials safe); (ii) or any payout transaction which we facilitated in accordance with information provided by you where the information you provided was incorrect.

17.2.3 If you as Host claim not to have received a Payout properly due to you via your chosen Payout Method, Airbnb Payments UK will (if requested) make immediate efforts to trace the payment and will notify you of the outcome. Unless we can prove that the payment was received by you via your chosen Payout Method, we will refund the amount.

17.2.4 Any complaints about the Payment Services should be made to Airbnb Payments UK pursuant to Section 20. Complaints that are made in accordance with this section that relate to the provision of Payment Services by Airbnb Payments UK will be eligible for referral to the Financial Ombudsman and will be subject to the Rules of the Financial Ombudsman Service. The UK Financial Ombudsman Service offers a free complaints resolution service to individuals, micro-enterprises, small charities, and trustees of small trusts. You can contact the UK Financial Ombudsman by (i) telephone from inside the UK: 0300 123 9123 or 0800 023 4567; from other countries: +44 20 7964 0500, on Monday to Friday, 8am to 8pm and on Saturday 9am to 1pm; (ii) post: South Quay Plaza, 183 Marsh Wall, London E14 9SR; or (iii) email: enquiries@financial-ombudsman.org.uk. The UK Financial Ombudsman Service is also available in a number of different languages and if you need it you will be put in touch with a translator when you contact the UK Financial Ombudsman Service.

17.3 For Hosts and Guests with Mexico As Country of Residence

If Mexico is your country of residence, (i) upon successful receipt of payment from the Guest following a Host's acceptance of the Guest’s booking request, Airbnb Payments generally holds such funds due to the Host in temporary custody until it is released to the Host in accordance with Section 3.3.1, and (ii) the payment to the Host will be effective only upon the start of the Host's Services and in accordance with Section 3.3.1. Airbnb may be required to withhold taxes per applicable local laws, and such taxes will be due upon Airbnb Payment’s release of the Host Payout.

18. Additional Clauses for Users Contracting with Airbnb Payments Brazil

The following paragraph will apply if you are contracting with Airbnb Payments Brazil:

18.1 Installment Feature for Users with Brazil As Country of Residence

Section 2, “Guest Terms”, shall be amended by adding the following subsection: “You acknowledge that if your country of residence is Brazil and you are paying by credit card, you may pay for your booking in multiple installments as long as your credit card supports installments and is issued in Brazil. The number of installments may vary, but will be presented to you before you complete your booking transaction. You acknowledge that the Total Price may be increased when you choose to pay for your booking in installments. Your use of the installment feature may be subject to additional terms and conditions imposed by the applicable third-party payment service provider.”

18.2 Depending on the country of residence of guests and hosts, payments due to hosts and applicable fees like Airbnb Service Fees may require the execution of foreign exchange agreements or other related measures, as per applicable legislation.

18.3 If you are a resident in Brazil, by using the Payment Services you acknowledge and agree that Airbnb Payments Brazil acts as an agent of the Airbnb entity providing Airbnb Services to you and that you are contracting international services provided by such entity, as set forth in the Terms.

18.4 You authorize Airbnb Payments Brazil, directly or through third parties, to make any inquiries we consider necessary to verify your identity. This may include (i) screening you against third-party databases or other sources, (ii) requesting reports from service providers, (iii) asking you to provide a form of government identification (e.g., driver’s license or passport), tax ID, your date of birth, your address, and other information; or (iv) requiring you to take steps to confirm ownership of your email address, Payment Method(s) or Payout Method(s). Airbnb Payments Brazil reserves the right to terminate, suspend, or limit access to the Payment Services in the event we are unable to obtain or verify any of this information.

18.5 When processing payments from a Member, Airbnb Payments Brazil (and/or third parties contracted by it) may retain and/or report to the competent authorities (when applicable) information relating to the Member and/or the respective transaction to comply with applicable legislation and certain regulatory controls, and prevention of money laundering activities.

19. Additional Clauses for Users that are Businesses

The following paragraphs also apply if you are using the Payment Services as a representative (“Representative”) acting on behalf a business, company or other legal entity (in such event, for purposes of the Payments Terms, “you” and “your” will refer and apply to that business, company or other legal entity).

19.1 You accept the Payment Terms and you will be responsible for any act or omission of employees or third-party agents using the Payment Service on your behalf.

19.2 You and your Representative individually affirm that you are authorized to provide the information described in Section 2.1 and Section 3.2 and your Representative has the authority to bind you to these Payments Terms. We may require you to provide additional information or documentation demonstrating your Representative’s authority.

19.3 You represent and warrant to us that: (i) you are duly organized, validly existing and in good standing under the laws of the country in which your business is registered and that you are registering for receiving the Payment Services; and (ii) you have all requisite right, power, and authority to enter into this agreement, perform your obligations, and grant the rights, licenses, and authorizations in this agreement.

19.4 If you are using your Payment Method for the benefit of your employees or other authorized third-party in connection with Airbnb for Work, as permitted by your account, you authorize Airbnb Payments to charge your Payment Method for bookings requested by employees at your company or other permitted third-party.

19.5 For any Payout Method linked to your Airbnb account, you authorize Airbnb Payments to store the Payout Method, remit payments using the Payout Method for bookings associated with your Airbnb account and take any other action as permitted in the Payments Terms in respect of the Payout Method.

19.6 If you handle, store or otherwise process payment card information on behalf of anyone or any third-party, you agree to comply on an ongoing basis with applicable data privacy and security requirements under the current Payment Card Industry Data Security Standard with regards to the use, access, and storage of such credit card information. Payments Terms of Service for Australian Users

If your country of residence or establishment is within Australia, these Payments Terms for Australian Users (“Payments Terms”) are subject to the Australian Consumer Law. Our services come with guarantees that cannot be excluded under the Australian Consumer Law and other Australian laws. These Payments Terms (including clauses 10.1, 10.2, 11 and 12) apply to the maximum extent permitted by Australian law, including the Australian Consumer Law.

If you attempt to bring any legal claim against Airbnb Payments in the United States, the arbitration agreement and class actions waiver in Section 15 apply to you. Please read them carefully.

The Airbnb Terms of Service (“Terms”) govern your use of the Airbnb Platform. Capitalized terms not defined in these Payments Terms have the meaning ascribed to them in the Terms

These Payments Terms and the documents, policies and standards referred within them, form a binding legal agreement between you and Airbnb Payments that govern the Payment Services (defined below) conducted through or in connection with the Airbnb Platform.

Documents referred to within these Payments Terms include but are not limited to our:

  • Terms of Service, which govern your right to use the websites, applications, and other offerings from Airbnb (collectively, the “Airbnb Platform”).
  • Re-booking and Refund Policy, which explains how Airbnb will assist with rebooking a reservation and how Airbnb handles refunds when a Host cancels a reservation or another Travel Issue disrupts a stay.
  • Experiences Guest Refund Policy, which explains how refunds are handled for Experiences when a Host cancels or a Travel Issue occurs.
  • Extenuating Circumstances Policy, which explains how cancellations are handled when unforeseen events beyond your control arise after booking and make it impractical or illegal to complete your Reservation.
  • Host Damage Protection Policy, which explains the terms, exclusions and limitations under which Airbnb will agree to pay a Host to repair or replace Covered Property as a result of a Covered Loss.
  • Community Policies, which sets out expectations of Members of the Airbnb Community.
  • Content Policy, which governs the posting by Members of content on the Airbnb Platform.

For convenience, we have set out above several terms and policies that are referred to in these Payments Terms. However, it is important to note that there are other supplemental policies and terms linked from our Additional Legal Terms page, which apply to your use of the Airbnb Platform, and are incorporated by reference, and also form part of the binding legal agreement between you and Airbnb.

Our terms and policies are organized based on the topic(s) to which they relate so as to make it easy for you to find the terms or policy relevant to your query or event.

When these Payments Terms mention “Airbnb Payments,” “we,” “us,” or “our,” it refers to:

Airbnb Payments UK Ltd. (“Airbnb Payments UK”), except when you book a Host Service, in which case you are contracting with Airbnb Payments Australia Pty Ltd (“Airbnb Payments Australia”).

Airbnb Payments provides payments services to Members publishing, offering and booking Accommodations, Experiences or other Host Services, including services in connection with the Open Homes Program and other current and future services provided via the Airbnb Platform. These payment services are provided for the benefit of Hosts and may include (if available) the following (collectively, “Payment Services”):

  • Collecting payments from Guests (“Payin”), by charging the payment method provided by the Guest or associated with their Airbnb account, such as credit card, debit card, bank account, PayPal account, digital wallet or installments product provided by a credit provider (“Payment Method”);
  • Effecting payments to Hosts (“Payout”) to a financial instrument associated with their Airbnb account, such as a PayPal account, bank account, a prepaid card, or a debit card (“Payout Method”);
  • Effecting payments to a third-party Payout Method designated by a Host;
  • Collection and payment of charitable donations;
  • Payment collection services; and
  • Other payment related services in connection with Host Services.

Airbnb Payments provides regulated Payment Services only to Hosts as the Host’s limited payment collection agent by accepting and processing funds from Guests purchasing Host Services on the Host’s behalf.

In order to use the Payment Services, you must be at least 18 years old, must have an Airbnb account in good standing in accordance with the Terms, and must keep your payment and personal information accurate and complete and provide us with identity and other information as requested by us.

If you change your country of residence, the Airbnb company you contract with and the applicable version of the Payments Terms will be determined by your new country of residence from the date on which your country of residence changes. By continuing to use the Payment Services after your change of country of residence, you agree to such change of contracting party and terms. Please note, however, that the Airbnb Payments company with whom you contract will stay the same for all bookings made prior to your change of residence.

1. Your use of the Payment Services

1.1 Airbnb Payment Services. By using the Payments Services, you agree to comply with these Payments Terms. Airbnb Payments may temporarily limit or suspend your access to or use of the Payment Services, or its features, to carry out maintenance measures that ensure the proper functioning of the Payment Services.

1.2 Third Party Services. The Payment Services may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services are subject to different terms of service and privacy policies, and Members should review them. Airbnb Payments is not responsible or liable for the use of such Third-Party Services. Links to any Third-Party Services are not an endorsement by Airbnb Payments of those Third-Party Services.

1.3 Your Airbnb Account. Airbnb Payments may enable features that allow you to authorize other Members or third parties to take certain actions that affect your Airbnb account. You may authorize a third party to use your Airbnb account if the feature is enabled for your Airbnb account. You acknowledge and agree that anyone you authorize to use your Airbnb account may use the Payment Services on your behalf and that you will be responsible for any payments made by such person.

1.4 Identification and Verification. You authorize Airbnb Payments, directly or through third parties, to make any inquiries we consider necessary to verify your identity and information you provide, and if applicable, verifying the identity of the representative(s) and beneficial owner(s). This may include (i) screening you and, if applicable, your representative(s) and beneficial owner(s) against third-party databases or other sources, (ii) requesting reports from service providers, (iii) asking you and, if applicable, your representative(s) and beneficial owner(s) to provide a form of government identification (e.g., driver’s license or passport) to check your name, place and date of birth, your address, nationality and/or other information which we deem necessary under applicable laws. If you are providing information for identification and verification about your representative(s) and/or beneficial owner(s) on their behalf, by providing such information, you are confirming that you have the authority and requisite rights to provide their information (including consent, where applicable) to Airbnb Payments for Airbnb Payments to carry out the purposes set out in this Section 1.4; or (iv) requiring you to take steps to confirm ownership of your email address, Payment Method(s) or Payout Method(s). Airbnb Payments reserves the right to terminate, suspend, or limit access to the Payment Services in the event we are unable to obtain or verify any of this information.

1.5 Additional Terms. Your access to or use of certain Payment Services may be subject to you first having to agree to or to accept (expressly or by conduct) additional terms and conditions, including those of third party providers of Payment Services. If there is a conflict between these Payments Terms and terms and conditions applicable to a specific Payment Service, the terms and conditions applicable to the specific Payment Service will take precedence with respect to your use of or access to that Payment Service, unless specified otherwise in the terms and conditions applicable to the specific Payment Service.

2. Guest Terms

2.1 Adding a Payment Method. When you add a Payment Method to your Airbnb account, you will be asked to provide billing information such as name, billing address, and financial instrument information either to Airbnb Payments or its third-party payment processor(s). You authorize Airbnb Payments and its payment processor(s) to collect and store your Payment Method information in accordance with Airbnb’s privacy policy.

2.2 Payment Method Verification. When you add or use a new Payment Method, Airbnb Payments may verify the Payment Method by (i) authorizing your Payment Method for one or two nominal amounts via a payment service provider, and asking you to confirm those amounts, or (ii) requiring you to upload a billing statement. We may, and retain the right to, initiate refunds of these amounts from your Payment Method. When you add a Payment Method during checkout, we will automatically save and add that Payment Method to your Airbnb account so it can be used for a future transaction. You may not remove the Payment Method associated with a reservation, during the period commencing from the date of your booking and ending fourteen (14) days following your check-out date, nor during any additional period of time needed to resolve any outstanding Damage Claim associated with such booking.

2.3 Payment Authorization. You allow Airbnb Payments to charge your Payment Method (including charging more than one Payment Method), either directly or indirectly, for all fees and other amounts due (including any applicable taxes) in connection with your Airbnb account, including Damage Claim amounts in accordance with the Terms and with Sections 5 and 6.

2.4 Automatic Update of Payment Method. If your Payment Method’s account information changes (e.g., account number, routing number, expiration date or CVV or CVC number) as a result of re-issuance or otherwise, we may acquire that information from our financial services partners or your bank and automatically update your Payment Method on file.

2.5 Timing of Payment. Airbnb Payments generally charges the Total Price due after the Host accepts your booking request. However, if you pay with a push Payment Method (such as Sofort), Airbnb Payments will collect the Total Price due at the time of your booking request or after the Host accepts your booking request. Airbnb may offer alternative options for the timing and manner of payment. Any additional fees for using those alternative payment options will be displayed via the Airbnb Platform and included in the Total Price, and you agree to pay such fees by selecting the payment option. Additional terms and conditions may apply for the use of an alternative payment option. If Airbnb Payments is unable to collect the Total Price due, as scheduled, Airbnb Payments will collect the Total Price due at a later point in accordance with Section 5.3. Once the payment for your requested booking is successfully completed, you will receive a confirmation email.

2.6 Currency.

    2.6.1 You are able to select your currency in your settings. The currencies available to make payments may be limited for regulatory or operational reasons based on factors such as your selected Payment Method, your country of residence and/or your Airbnb Payments contracting entity(ies). Any such limitations will be communicated via the Airbnb Platform, and you will be prompted to select a different currency or Payment Method if your preferred currency is not available.

    2.6.2. Note that if the country in which your Airbnb Payments contracting entity is located is different from the country of your Payment Method provider or the preferred currency in your settings is different than your Payment Method's billing currency, your payment may be processed outside of your country of residence. As a result, your Payment Method provider may impose certain fees and the amount listed on your Payment Method statement may be different from the amount shown at checkout. For example, if you make a booking using an Australian issued card, but the preferred currency in your settings is set to US dollars, your payment may be processed outside Australia, and banks and credit card companies may impose international transaction fees and foreign exchange fees. In addition, if the preferred currency in your settings is different from your Payment Method's billing currency, your bank or credit card company may convert the payment amount to your billing currency associated with your Payment Method, based on an exchange rate and fee amount determined solely by your bank. Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Please contact your Payment Method provider if you have any questions about these fees or any exchange rate imposed by your Payment Method provider.

    2.7 Booking Request Status. If a requested booking is declined because it is not accepted by the Host, you cancel the booking request before it is accepted by the Host, or Airbnb cancels the booking, any amounts collected by Airbnb Payments and due to you pursuant to the policies described in Section 5.5 will be refunded to you, and any pre-authorization of your Payment Method will be released (if applicable) in accordance with Section 5.5.2.

    2.8 Payment Restrictions. Airbnb Payments reserves the right to decline or limit payments that we reasonably believe (i) may violate Airbnb Payments’ risk management policies or procedures, (ii) may violate these Payments Terms or the Terms, (iii) are unauthorized, fraudulent or illegal; or (iv) expose you, Airbnb, Airbnb Payments, or others to risks reasonably unacceptable to Airbnb Payments.

    2.9 Payment Service Providers. Payment Methods may involve the use of third-party payment service providers. These payment service providers may charge you additional fees when processing payments in connection with the Payment Services, and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Your Payment Method may also be subject to additional terms of use. Please review them before using your Payment Method.

    2.10 Your Payment Method, Your Responsibility. Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payment Method information provided by you. Airbnb Payments does not provide any regulated Payment Services to you.

    2.11 Different Ways to Pay

    2.11.1 Pay Part Now, Part Later

    2.11.1.1 Airbnb may make available to Guests the option to pay a portion of the booking’s Total Price at the time of booking and pay the remainder of the Total Price at a later time prior to check-in (“Pay Part Now, Part Later”). Availability of this option may depend on the Listing and/or Payment Method.

    2.11.1.2 If you choose Pay Part Now, Part Later, the Airbnb Platform will notify you during checkout of the amount, currency and schedule of each payment due. On the following payments due date, Airbnb Payments will automatically charge the original Payment Method you used to make the booking.

    2.11.1.3 If you make a modification to a booking made with Pay Part Now, Part Later, Airbnb Payments will notify you of the revised payment schedule, as applicable, and Airbnb Payments will automatically charge the original Payment Method you used to make the booking on the revised payment due dates. If the modification increases your Total Price, you may be required to make an additional partial payment of the new Total Price at the time of the modification.

    2.11.1.4 You agree that by selecting Pay Part Now, Part Later, you may not be able to pay for the booking with a different Payment Method or pursuant to a different payment schedule.

    2.11.1.5 If Airbnb Payments is unable to collect your payment, Airbnb Payments will notify you of such declined payment, and require you to complete the payment using an alternative Payment Method within 72 hours of the notice. If you fail to complete the payment, you authorize Airbnb to cancel the booking on your behalf. If the booking is canceled, you will be refunded based on the Host’s cancellation policy.

    2.11.2 Recurring Payments

    2.11.2.1 For certain bookings (such as for Accommodation bookings of twenty-eight (28) nights or more), Airbnb Payments may require a Guest to make recurring, incremental payments toward the Total Price owed (“Recurring Payments”). More information on Recurring Payments (including the amount and the frequency of payments) will be made available via the Airbnb Platform if applicable to a booking.

    2.11.2.2 If Recurring Payments apply to a confirmed booking, then the Guest authorizes Airbnb Payments to collect the Total Price due.

    2.11.2.3 Guests may stop a Recurring Payment by notifying Airbnb Payments orally or in writing at least three (3) business days before the scheduled date of the payment. Airbnb Payments may require you to give written confirmation of a stop-payment order within fourteen (14) days of an oral notification. If you fail to provide written confirmation within those fourteen (14) days, Airbnb Payments is not obligated to honor your request to stop any future Recurring Payments. If you have any questions regarding your Recurring Payments, please contact Airbnb Payments.

      2.12 Buy now, pay later. 

      Guests may from time to time be offered the possibility to pay for an Accommodation Reservation on credit or other installment options, and pay for them over time ('buy now, pay later'). These Payment Methods will be provided by Klarna Australia Pty Ltd (or its affiliate), not Airbnb, subject to additional terms of use provided at checkout, and Klarna will become your creditor for the payment. Depending on the Payment Method, this may also create a separate relationship between you as the borrower and Klarna as the lender. Please review any applicable additional terms before using these Payment Methods.

      3. Host Terms

      3.1 Payment Collection. Airbnb Payments generally collects the Total Price of a booking at the time the Guest’s booking request is accepted by the Host, unless noted otherwise.

      3.2 Valid Payout Method. 

      3.2.1 In order to receive a Payout you must have a valid Payout Method linked to your Airbnb account. When you add a Payout Method to your Airbnb account, you will be asked to provide information, which may include name, government identification, tax identification, billing address, and financial instrument information either to Airbnb Payments or its third-party payment processor(s). Depending on the Payout Method selected additional information may be required, such as: residential address, name on the account, account type, routing number, account number, email address, payout currency, identification number and account information associated with a particular payment processor. Providing requested information is required for a Payout Method to be valid. The information Airbnb Payments requires for a valid Payout Method may change, and Airbnb Payments may request additional information at any time; failing to provide requested information may result in Airbnb Payments temporarily placing a hold, suspending, or canceling any Payout until the information is provided and, if necessary, validated.

      3.2.2 You authorize Airbnb Payments to collect and store your Payout Method information in accordance with Airbnb’s Privacy Policy. Airbnb Payments may also share your information with governmental authorities as required by applicable law.

      3.3 Timing of Payout

      3.3.1 Subject to and conditional upon successful receipt of the associated payments from Guests, Airbnb Payments will generally initiate Payouts to your selected Payout Method: (i) for Accommodations, 24 hours after the Guest’s scheduled check-in time (or 24 hours after 3:00 pm local time - or 3:00 pm UTC if local time is unknown - if the check-in time is flexible or not specified); (ii) for Experiences, 24 hours after the start of the Experience; and (iii) for all other Host Services, at the time specified via the Airbnb Platform. For Accommodation bookings of twenty-eight (28) nights or more, Airbnb Payments will generally initiate the first payout 24 hours after the Guest’s scheduled check-in time, and will initiate future payouts every 30 days after the initial payout, for the duration of the reservation.

      3.3.2 Airbnb Payments may offer you a different Payout time or trigger for payment via the Airbnb Platform. The time it takes to receive Payouts once released by Airbnb Payments may depend upon the Payout Method you select.

      3.4 Payout.

      Your Payout for a booking will be the Total Price less applicable fees like Airbnb service fees and applicable taxes and any amounts you agree to allocate to any co-host, or the owner(s) of an Accommodation, a homeowners’ association, and/or their agent (such as a building operator or property management company). In the event of cancellation of a confirmed booking, Airbnb Payments will remit the amount you are due (if any) as provided in the Terms and applicable cancellation policy.

      3.5 Payout Restrictions. Airbnb Payments may temporarily place a hold, suspend, or cancel any Payout for the purposes of preventing unlawful activity or fraud, risk assessment, security, or completing an investigation; or if we are unable to verify your identity or where applicable the identity of your representative(s) or beneficial owner(s), or to obtain or verify requested information. Furthermore, Airbnb Payments may temporarily place a hold on, suspend, or delay initiating or processing any Payout due to you under the Terms as a result of high volume booking cancellations or modifications arising from a Force Majeure Event (as defined below).

      3.6 Payout Currency. Airbnb Payments will remit your Payouts in the currency you select via the Airbnb Platform. The currencies available may be limited for regulatory or operational reasons based on factors such as your selected Payout Method, your country of residence, and/or your Airbnb contracting entity(ies). Any such limitations will be communicated via the Airbnb Platform, and you will be prompted to select a different currency or Payout Method. Note that payment service providers may impose transaction, currency conversion or other fees based on the currency or Payout Method you select, and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard.

      3.7 Limits on Payouts. For compliance or operational reasons, Airbnb Payments may limit the amount of a Payout. If you are due an amount above that limit, Airbnb Payments may make a series of Payouts (potentially over multiple days) in order to provide your full Payout amount.

      3.8 Payment Service Providers. Payout Methods may involve the use of third-party payment service providers. These payment service providers may charge you additional fees when processing Payouts in connection with the Payment Services (including deducting charges from the Payout amount), and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Your Payout Method may also be subject to additional terms of use from such third-party payment service providers. Please review them before using your Payout Method.

      3.9 Handling of Funds. Airbnb Payments may combine amounts that it collects from Guests and invest them as permitted under applicable laws. Airbnb Payments will retain any interest it earns on those investments.

      3.10 Your Payout Method, Your Responsibility. Subject to Section 17, Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payout Method information provided by you.

      3.11 Different ways to get paid

      3.11.1 Split Payouts If you provide Host Services jointly with one or more other Hosts as part of a team, business or other organization (“Host Team”), Airbnb may make available to such Hosts the option to allocate between the members of the Host Team the total Host Payout for a booking. Airbnb Payments will execute such payments at the instruction of one or more members of the Host Team, and Hosts are responsible for the accuracy of their instructions.

      3.12 Buy now, pay later. If a Guest in Germany chooses to pay for an Accommodation Reservation using a Klarna "buy now, pay later" option (other than a Pay-in-3 option), these additional Host terms apply.

      4. Appointment of Airbnb Payments as Limited Payment Collection Agent

      4.1 Each Host, including each Host Team member, hereby appoints Airbnb Payments as the Host’s payment collection agent solely for the limited purpose of accepting and processing funds from Guests purchasing Host Services on the Host’s behalf.

      4.2 Each Host, including each Host Team member, agrees that payment made by a Guest through Airbnb Payments, shall be considered the same as a payment made directly to the Host, and the Host will provide the Host Service booked by the Guest in the agreed-upon manner as if the Host has received the payment directly from the Guest. Each Host agrees that Airbnb Payments may refund the Guest in accordance with the Terms. Each Host understands that Airbnb Payments’ obligation to pay the Host is subject to and conditional upon successful receipt of the associated payments from Guests. Airbnb Payments guarantees payments to Host(s) only for such amounts that have been successfully received by Airbnb Payments from Guests in accordance with these Payments Terms. In accepting appointment as the limited payment collection agent of the Host, Airbnb Payments assumes no liability for any acts or omissions of the Host, except for acts or omissions the Host is directed to engage in by Airbnb Payments.

      4.3 Each Guest acknowledges and agrees that, notwithstanding the fact that Airbnb Payments is not a party to the agreement between you and the Host(s), including each Host Team member, Airbnb Payments acts as each Host’s payment collection agent for the limited purpose of accepting payments from you on behalf of the Host(s). Upon a Guest’s payment of the funds to Airbnb Payments, the Guest’s payment obligation to the Host(s) for the agreed upon amount is extinguished, and Airbnb Payments is responsible for remitting the funds successfully received by Airbnb Payments to the Host(s) in the manner described in these Payments Terms. In the event that Airbnb Payments does not remit any such amounts, the Host(s) will have recourse only against Airbnb Payments and not the Guest directly.

      4.4 At no point in time is Airbnb Payments holding funds on behalf of the Guest or providing the Guest a payment service.

      5. General Terms

      5.1 Fees. Airbnb Payments may charge fees for use of certain Payment Services and any applicable fees will be disclosed to you in the Terms or via the Airbnb Platform prior to being charged.

      5.2 Payment Authorizations. You authorize Airbnb Payments to collect from you amounts due pursuant to these Payments Terms and/or the Terms by either (i) charging the Payment Method associated with the relevant booking, or any other Payment Method on file that you authorize in your Airbnb account (unless you have previously removed the authorization to charge such Payment Method(s)), or (ii) by withholding the amount from your future Payout. Specifically, you authorize Airbnb Payments to collect from you:

        • Any amount due to Airbnb or Airbnb Payments (e.g., as a result of your bookings, Booking Modifications, cancellations, or other actions as a Guest, Host or user of the Airbnb Platform), including reimbursement for costs prepaid by Airbnb or Airbnb Payments on your behalf. Any funds collected by Airbnb Payments will set off the amount owed by you to Airbnb or Airbnb Payments and extinguish your obligation to Airbnb or Airbnb Payments.
        • Any amount due to a Host from a Guest which Airbnb collects as the Host’s payment collection agent as further set out in Section 4 above.
        • Taxes, where applicable and as set out in the Terms.
        • Any amount you pay through the Resolution Center in connection with your Airbnb account.
        • Any Damage Claim amounts owed to Airbnb or Airbnb Payments in accordance with the Terms and Section 6.
        • Overstay penalties payable under the Terms, including any cost and expenses incurred in collecting the overstay penalty.
        • Any service fees or cancellation fees imposed pursuant to the Terms (e.g., if, as a Host, you cancel a confirmed booking).
        • Any amounts already paid to you as a Host despite a Guest canceling a confirmed booking or Airbnb deciding that it is necessary to cancel a booking in accordance with the Terms, Rebooking and Refund Policy, Experiences Guest Refund Policy, Extenuating Circumstances Policy, or other applicable cancellation policy. You agree that in the event you have already been paid, Airbnb Payments will be entitled to recover the amount of any such Guest refund from you, including by subtracting such refund amount out from any future Payouts due to you.

        If you owe an amount at any time after a booking, such as with Payment Plan or Recurring Payment charges, Booking Modifications, Resolution Center payments or Damage Claims (“Additional Amounts”), you authorize Airbnb Payments to collect payments for such Additional Amounts by charging your Payment Method associated with the relevant booking without any further action on your part. Airbnb Payments will notify you in writing before any Additional Amounts are charged.

        If your Payment Method associated with the relevant booking is expired, invalid or otherwise not able to be charged for any reason (such as insufficient funds), you remain responsible for any uncollected amounts and Airbnb Payments may charge the Payment Method related to your booking again or use any other Payment Method on file associated with your Airbnb account, if available, to collect such Additional Amounts. Any amount not collected for any reason will be subject to any remedies that may be available, including, but not limited to, referral to a collections agency, or pursuit of available causes of action or claims against you.

        If Airbnb has reason to believe that you as a Host participated in fraudulent activity, such as an overpayment scam, booking fraud or other fraud, and Airbnb Payments released the payout for such stay, Airbnb Payments may recoup from you such amount by reducing, setting off or debiting the amount from any future Payouts owed to you.

        In addition to any amount due as outlined above, if there are amounts which you owe us but are unpaid or chargebacks associated with your Payment Method, you may be charged fees or costs for reasonable steps taken by Airbnb and/or Airbnb Payments to collect, recover or process these amounts and chargebacks (“Collection Fees”). The Collection Fees will be limited to: (a) reasonable costs directly incurred by Airbnb Payments and/or Airbnb (such as costs associated with the time our personnel spend collecting, recovering or processing the relevant amounts); and (b) collection fees, convenience fees or other fees or costs that are charged to Airbnb Payments and/or Airbnb by third parties.

        5.3 Collections from Guests and Hosts

        5.3.1 If Airbnb Payments is unable to collect any amounts you owe, as a Guest or as a Host, under the Terms and these Payments Terms, Airbnb Payments may engage in collection efforts to recover such amounts from you.

        5.3.2 Airbnb Payments will deem any owed amounts overdue when: (a) for authorized charges, one hundred and twenty (120) days have elapsed after Airbnb Payments first attempts to charge your Payment Method or the associated services have been provided, whichever is later; and (b) for withholdings from a Host’s future Payouts, two hundred and seventy (270) days have elapsed after the adjustment is made to the Host’s Airbnb account or the associated services have been provided, whichever is later.

        5.3.3 Airbnb Payments will deem any overdue amounts not collected to be in default when three hundred and sixty five (365) days have elapsed: (a) for authorized charges to your Payment Method with respect to a Guest transaction, after Airbnb Payments first attempts to charge your Payment Method or the associated services have been provided, whichever is later; and (b) for withholdings from a Host’s future Payouts, after the adjustment is made to the Host’s Airbnb account or the associated services have been provided, whichever is later.

        5.3.4 You hereby explicitly agree that all communications in relation to amounts owed will be made by electronic mail or by phone, as provided to Airbnb and/or Airbnb Payments by you. Such communications may be made by Airbnb, Airbnb Payments, or by anyone on their behalf, including but not limited to a third-party collection agent.

        5.4 Payment Processing Errors

          5.4.1 Airbnb Payments will take the necessary steps to rectify any payment processing errors that we become aware of. These steps may include crediting or debiting (as appropriate) the original Payout Method or Payment Method used or selected by you, so that you end up receiving or paying the correct amount. This may be performed by Airbnb Payments or a third party such as your financial institution. We may also take steps to recover funds sent to you in error (including but not limited to an event of duplicate payments made to you due to a processing error). For Hosts, this may include, by reducing, setting off and/or debiting the amount of such funds from any future Payouts owed to you.

          5.4.2 To the extent you receive any funds in error, you agree to promptly return such funds to Airbnb Payments after you become aware that you have received such funds in error.

            5.5 Refunds

            5.5.1 Any refunds or credits due to a Member pursuant to the Terms, Extenuating Circumstances Policy, Rebooking and Refund Policy, and Experiences Guest Refund Policy, will be initiated and remitted by Airbnb Payments in accordance with these Payments Terms.

            5.5.2 Subject to this Section 5.5.2, Airbnb Payments will initiate the refund process immediately. In the case of a cancellation by a Host, Airbnb Payments will hold the funds for up to 72 hours until the Guest is either refunded or the funds are used to rebook with another Host. In certain instances, the refund process may include the option to receive credit in lieu of a cash refund; if this option is made available to you, the timing of your refund will be communicated via the Airbnb Platform. The time it takes to receive any cash refund or for any pre-authorization of your Payment Method to be released will vary based on the Payment Method and any applicable payment system (e.g., Visa, Mastercard, etc.) rules. In the event of a Force Majeure Event that may affect the processing and settlement of refunds, Airbnb Payments will initiate and process the refund as soon as is practicable.

            6. Damage Claims and Damage Amounts

            6.1 If you are responsible for Damage Claim amounts, pursuant to Section 14 of the Terms, Airbnb via Airbnb Payments may, on reasonable notice to you, charge the Payment Method used to make the booking or any other Payment Method associated with your Airbnb account at the time of the Damage Claim or within a reasonable period thereafter in order to collect the Damage Claim amounts, up to a maximum amount as defined in Section 14 of the Terms. To facilitate this charge, when you book a Listing, you are agreeing that Airbnb via Airbnb Payments may charge the Payment Method used to book the Listing in order to collect Damage Claim amounts.

            6.2 To the maximum extent permitted by law, you agree that Airbnb Payments may seek to recover from you under any insurance policies you maintain and that Airbnb Payments may also pursue against you any remedies it may have available, including, but not limited to, referral to a collections agency, or pursuit of causes of action or claims against you, including in relation to a Damage Claim, or payment requests made by Hosts under the Host Damage Protection.

            7. Abandoned Property

            If Airbnb Payments holds funds due to you (e.g., because we are unable to issue you a Payout or refund) or you do not use a gift card or gift credit for the relevant period of time set forth by your state, country, or other governing body in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by reporting and escheating (sending) such funds to the appropriate governing body as required by applicable unclaimed property laws.

            8. Prohibited Activities

            8.1 You are solely responsible for compliance with any and all laws, rules, regulations, and tax obligations that may apply to your use of the Payment Services. In connection with your use of the Payment Services, you may not and you agree that you will not and will not assist or enable others to:

              • breach or circumvent any applicable laws or regulations, including to facilitate anyone else to breach or circumvent any applicable laws or regulations;
              • breach or circumvent any agreements with third parties, third-party rights, or the Terms, Additional Legal Terms, Policies, or Standards;
              • use the Payment Services for any commercial or other purposes that are not expressly permitted by these Payments Terms;
              • register or use any Payment Method or Payout Method with your Airbnb account that is not yours or you do not have authorization to use;
              • avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Airbnb Payments or any of Airbnb Payments’ service providers or any other third party to protect the Payment Services;
              • take any action that damages or adversely affects, or could damage or adversely affect, the performance or proper functioning of the Payment Services;
              • attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Payment Services; or
              • violate or infringe anyone else’s rights or otherwise cause harm to anyone.

              8.2  We are required to act in accordance with our internal policies and the laws of various jurisdictions relating to the prevention of money laundering and the implementation of sanctions including: (i) economic or financial sanctions or trade embargoes imposed, administered or enforced from time to time by the U.S. government, including those administered by the Office of Foreign Asset Control or the U.S. Department of State; or (ii) by the United Nations Security Council, the European Union or His Majesty’s Treasury of the United Kingdom. You will comply with any relevant financial sanctions and any relevant export control laws applicable to you and to your local jurisdiction.

              9. Force Majeure

              As between Airbnb and a Member, neither shall be liable to the other for any delay or failure to perform resulting from causes outside their reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor or materials (“Force Majeure Event”). For the avoidance of doubt, this clause does not: (i) apply to a Reservation, which is subject to the Host’s cancellation policy and the Extenuating Circumstances Policy; or (ii) operate to extend deadlines applicable to a Resolution Centre Request, a Host Damage Protection claim, an Aircover for guests claim, a Travel Issue under the Rebooking and Refund Policy or an Experiences Issue under the Experiences Guest Refund Policy, or other requests, claims or reporting under similar policies that are incorporated by reference into these Terms.

              10. Disclaimers

              10.1 If you choose to use the Payment Services, you do so voluntarily and at your sole risk. 

              10.2 Notwithstanding Airbnb Payments’ appointment as the limited payment collection agent of Hosts pursuant to Section 4 and subject to Section 11, Airbnb Payments explicitly disclaims all liability for any act or omission by you, any Member or other third party. Airbnb Payments does not have any duties or obligations as agent for each Host except to the extent expressly set forth in these Payments Terms, and any additional duties or obligations as may be implied by law are, to the maximum extent permitted by applicable law, expressly excluded.

              10.3 If we choose or are required to conduct identity verification on any Member, to the extent permitted by applicable law, we disclaim warranties of any kind, either express or implied, that such checks will identify prior misconduct by a Member or guarantee that a Member will not engage in misconduct in the future. We are not responsible for prior misconduct by a Member where such misconduct was unknown by us.

              10.4 The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights or warranties which cannot lawfully be excluded. However, the duration of any statutorily required warranties shall be limited to the maximum extent (if any) permitted by law.

              11. Liability

              11.1 You acknowledge and agree that, to the maximum extent permitted by law, the risk arising out of your access to and use of the Payment Services remains with you. If you permit or authorize another person to use your Airbnb account in any way, you are responsible for the actions taken by that person. To the maximum extent permitted by law, no party, including Airbnb’s affiliates and personnel, or any other party involved in or delivering the Payment Services will be liable for any incidental, special, exemplary, or consequential damages. Incidental, special, exemplary or consequential damages, include, to the maximum extent permitted by law, lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services. Neither is Airbnb Payments liable nor any other party liable, to the extent permitted by law, for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Payments Terms, (ii) from the use of or inability to use the Payment Services, or (iii) from any communications, interactions, or meetings with other Members or other persons with whom you communicate, interact, transact, or meet with as a result of your use of the Payment Services, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not Airbnb Payments has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.

              11.2 Except for: (i) Airbnb’s obligation to pay amounts to applicable Hosts pursuant to these Payments Terms; (ii) Airbnb’s obligation to make payments under the Airbnb Host Damage Protection, which contains its own limitation of liability; and/or (iii) Airbnb Payments’ wilful breach of these Terms, to the maximum extent permitted by law, in no event shall Airbnb Payments’ aggregate liability arising out of or in connection with these Payments Terms and your use of the Payment Services including, but not limited to, from your use of or inability to use the Payment Services, exceed (A) to Guests, three (3) times the amount you paid for the relevant Reservation(s) giving rise to the liability, or (B) to Hosts, three (3) times the amount paid to you for the relevant Reservation(s) giving rise to the liability. The limitations of damages set forth above are fundamental elements of the basis of the bargain between Airbnb Payments and you.

              11.3 Except in the case of a Member’s wilful breach of these Terms, to the maximum extent permitted by law, in no event shall a Member’s liability to Airbnb or any other party involved in creating, producing, or delivering the Airbnb Platform or any Content for any claim or dispute arising out of or in connection with these Payments Terms, interaction with any Member, or your use of or inability to use the Airbnb Platform, any Content, or any Host Service exceed: (A) in the case of Guests, three (3) times the amount you paid for the relevant Reservation(s) giving rise to the liability, or (B) in the case of Hosts, three (3) times the amount paid to you for the relevant Reservation(s) giving rise to the liability.

                12. Indemnification

                To the maximum extent permitted by applicable law, you agree to release, defend (at Airbnb Payments’ option), indemnify, and hold Airbnb (including Airbnb Payments, other affiliates and subsidiaries, and their officers, directors, employees, and agents) harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of (i) your breach of these Payments Terms (including any supplemental or additional terms that apply to a product or feature) or our Additional Legal Terms, Policies, or Standards; (ii) your improper use of the Payment Services; (iii) your failure, or our failure at your direction, to accurately report, collect or remit Taxes; or (iv) your breach of any laws, regulations, or third-party rights, such as intellectual property or privacy rights. The indemnification obligation only applies if and to the extent that the claims, liabilities, damages, losses, and expenses have been adequately caused by your negligence or breach of a contractual obligation.

                13. Modification, Term, Termination, and other Measures

                13.1 Modification. Airbnb Payments may modify these Payments Terms at any time. If we make material changes to these Payments Terms, we will post the revised Payments Terms on the Airbnb Platform and update the “Last Updated” date at the top of these Payments Terms. If you are affected by the modification, we will also provide you with notice of the modifications at least two (2) months before the date they become effective. If you do not terminate your agreement before the date the revised Payments Terms become effective, your continued use of the Payment Services will constitute acceptance of any changes to the revised Payments Terms.

                13.2 Term. This agreement between you and Airbnb Payments is effective (i) if you are a Guest, from when you make your first booking; or (ii) if you are a Host, from when a Guest first books a Listing made available by you and you use the Payment Services and remains in effect until either you or we terminate this agreement in accordance with Section 13.3.

                13.3 Termination. You may terminate this agreement at any time by sending us an email or by deleting your Airbnb account. Without limiting our rights specified below, Airbnb Payments may terminate this agreement for convenience at any time by giving you thirty (30) days' notice via email to your registered email address (or two (2) months’ prior notice for Members contracting with Airbnb Payments UK). Airbnb Payments may also terminate this agreement immediately without notice if (i) you have materially breached your obligations under this agreement; (ii) you have provided inaccurate, fraudulent, outdated, or incomplete information; (iii) you have violated applicable laws, regulations, or third-party rights; or (iv) Airbnb Payments believes in good faith that such action is reasonably necessary to protect other Members, Airbnb, Airbnb Payments, or third parties. In case of non-material breaches or where otherwise reasonable, you will be given reasonable notice of any actions that Airbnb proposes to take and an opportunity to remedy the non-material breach (if it is capable of remedy) unless such notification would (i) prevent or impede the detection or prevention of fraud or other illegal activities, (ii) harm the legitimate interests of other Members or third parties, or (iii) contravene applicable laws. Terminating this agreement will also serve as notice to cancel your Airbnb account pursuant to the Terms.

                13.4 Suspension and Other Measures. Airbnb Payments may limit or temporarily or permanently suspend your use of or access to the Payment Services (i) to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, (ii) if you have materially breached these Payments Terms, the Terms, applicable laws, regulations or third-party rights, (iii) if you have provided inaccurate, fraudulent, outdated, or incomplete information regarding a Payment Method or Payout Method, (iv) for any amounts you owe under these Payments Term that are overdue or in default, or (v) if Airbnb Payments believes in good faith that such action is reasonably necessary to protect the personal safety or property of Airbnb, its Members, Airbnb Payments, or third parties, or to prevent fraud or other illegal activity. Further, for unsuccessful payment due to card expiration, insufficient funds, or otherwise, we may temporarily suspend your access to the Payment Services until we can charge a valid Payment Method.

                13.5 Appeal. If Airbnb Payments takes any of the measures described in Section 13.3 you may appeal such a decision by contacting customer service.

                13.6 Effect of Termination. If you cancel your Airbnb account as a Host or Airbnb Payments takes any of the measures described above, Airbnb Payments may provide a full refund to any Guests with confirmed booking(s), and you will not be entitled to any compensation for pending or confirmed bookings that were cancelled. If you cancel your Airbnb account as a Guest, Airbnb Payments will initiate a refund for any confirmed booking(s) based on the Listing’s cancellation policy. If your access to or use of the Payment Services has been suspended or limited or this agreement has been terminated by us, you may not register a new Airbnb account or attempt to access and use the Payment Services through an Airbnb account of another Member.

                  13.7 Survival. Sections 1.2, 2.2, 2.3, 2.4, 2.5, 2.6, 2.7, 2.8, 2.9, 2.10, 2.11, 3, 4, 5, 6, 7, 8, 9, 10, 11, 12, 13, 14, 15, 16, 17 and 19, survive expiry or termination, together with any other terms that, by reasonable implication or to give them efficacy are, or are intended, to be performed in whole or in part after the expiry or termination of this agreement.

                  14. Governing Law and Dispute Resolution

                  14.1 If you are contracting with Airbnb Payments UK, these Payments Terms will be interpreted in accordance with English law. If you are acting as a consumer and if mandatory statutory consumer protection regulations in your country of residence contain provisions that are more beneficial for you, such provisions shall apply irrespective of the choice of English law. As a consumer, you may only bring proceedings relating to these Payments Terms before the competent court of your place of residence or a court in England. If Airbnb wishes to enforce any of its rights against you as a consumer, we may do so only in the courts of the jurisdiction in which you are a resident. If you are acting as a business, you agree to submit to the exclusive jurisdiction of the English courts.

                  14.2 If you are contracting with Airbnb Payments Australia, these Payments Terms will be governed by the laws of the State of New South Wales, Australia. The parties agree to submit to the non-exclusive jurisdiction of the courts of that State and courts of appeal of that State in respect of any proceedings arising out of or in connection with this agreement.

                  15. United States Arbitration Agreement

                  PLEASE READ THE FOLLOWING PARAGRAPHS CAREFULLY BECAUSE THEY PROVIDE THAT YOU AND AIRBNB PAYMENTS AGREE TO RESOLVE ALL DISPUTES BETWEEN US THROUGH BINDING INDIVIDUAL ARBITRATION AND INCLUDE A CLASS ACTION WAIVER AND JURY TRIAL WAIVER. This Arbitration Agreement supersedes all prior versions.

                  15.1 Application. This Arbitration Agreement only applies to you if you are contracting with Airbnb Payment US. If you are not contracting with Airbnb Payments US, and you nevertheless attempt to bring any legal claim against Airbnb Payments in the United States, this Arbitration Agreement will apply for determination of the threshold issue of whether this Section 15 applies to you, and all other threshold determinations, including residency, arbitrability, venue, and applicable law.

                  15.2 Overview of Dispute Resolution Process. Airbnb Payments is committed to participating in a consumer-friendly dispute resolution process. To that end, these Payments Terms provide for a two-part process for individuals to whom this Section 15 applies: (1) an informal negotiation directly with Airbnb’s customer service team (described in Section 15.3), and if necessary (2) a binding arbitration in accordance with the terms of this Arbitration Agreement. You and Airbnb Payments each retain the right to seek resolution of the dispute in small claims court as an alternative to arbitration.

                  15.3 Mandatory Pre-Arbitration Dispute Resolution and Notification. At least 30 days prior to initiating an arbitration, you and Airbnb Payments each agree to send the other party an individualized notice of the dispute in writing (“Pre-Dispute Notice”) and attempt in good faith to negotiate an informal resolution of an individual claim. You must send your Pre-Dispute Notice to Airbnb Payments by mailing it to Airbnb Payments’ agent for service: CSC Lawyers Incorporating Service, 2710 Gateway Oaks Drive, Suite 150N, Sacramento, California 95833. Airbnb Payments will send its Pre-Dispute Notice to the email address associated with your Airbnb account. A notice of dispute must include: the date, your name, mailing address, your Airbnb username, the email address you used to set up your Airbnb account, your signature, a brief description of the dispute, and the relief sought. If the parties are unable to resolve the dispute within the 30-day period, only then may either party commence arbitration by filing a written demand for arbitration with the arbitration provider designated pursuant to Section 15.6, below. A claimant’s Pre-Dispute Notice requirement is a prerequisite to any arbitration, and a copy of the Pre-Dispute Notice and evidence that it was sent as required by this Section must be attached to any arbitration demand.

                  15.4 Agreement to Arbitrate. You and Airbnb Payments mutually agree that any dispute, claim or controversy arising out of or relating to these Payments Terms or the applicability, breach, termination, validity, enforcement or interpretation thereof, or any use of the Payment Services (collectively, “Disputes”) will be settled by binding arbitration on an individual basis (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to our Dispute, you and Airbnb Payments agree that the arbitrator will decide that issue. For the avoidance of doubt, you and Airbnb agree that any question regarding arbitrability and the formation, enforceability, validity, scope, or interpretation of all or part of this Section 15, including any dispute over compliance with the Pre-Dispute Notice requirement and a party’s responsibility to pay arbitration fees, shall be resolved by an arbitrator.

                  15.5 Exceptions to Arbitration Agreement. You and Airbnb Payments each agree that the following causes of action and/or claims for relief are exceptions to the Arbitration Agreement and will be brought in and will be brought in a judicial proceeding in state or federal court in San Francisco, California, unless we both agree to some other location: (i) any claim or cause of action seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack); (ii) a request for the remedy of public injunctive relief; (iii) any claim or cause of action for vexatious litigation; or (iv) any individual claim of sexual assault or sexual harassment arising from your use of the Airbnb Platform or Host Services. You and Airbnb Payments agree that any request for the remedy of public injunctive relief will proceed after the arbitration of all arbitrable claims, remedies, or causes of action, and will be stayed pending the outcome of the arbitration pursuant to section 3 of the Federal Arbitration Act.

                  15.6 Arbitration Forum, Rules and Governing Law. This Arbitration Agreement evidences a transaction in interstate commerce and the Federal Arbitration Act governs all substantive and procedural interpretation and enforcement of this Arbitration Agreement, and not state law. The arbitration will be administered by ADR Services, Inc. (“ADR”) (www.adrservices.com) in accordance with Rules 1, 6–7, 8–9, and 11–12, 45, 54, and 56 of the Federal Rules of Civil Procedure (“Selected Federal Rules") (https://www.uscourts.gov/rules-policies/current-rules-practice-procedure/federal-rules-civil-procedure) and ADR’s Arbitration Rules then in effect (the “ADR Rules”), except as the Selected Federal Rules or ADR Rules are modified by or conflict with this Arbitration Agreement. The ADR Rules are available at www.adrservices.com. If an arbitration demand is submitted to ADR Services in accordance with this agreement and the ADR Rules, and ADR Services cannot or will not administer the arbitration, the arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the Selected Federal Rules and the AAA’s Consumer Arbitration Rules and/or other AAA arbitration rules determined to be applicable by the arbitrator (the “AAA Rules”) then in effect, except as modified here. The AAA Rules are available at www.adr.org. If the AAA cannot and will not administer the arbitration, you and Airbnb Payments shall confer and select an alternative arbitral forum, and if we are unable to agree, either you or Airbnb Payments may ask a court to appoint an arbitrator pursuant to 9 U.S.C. § 5. In that event, the arbitration will be conducted in accordance with the rules of the appointed arbitral forum, unless those rules are inconsistent with the provisions of this Arbitration Agreement.

                  15.7 Modification of Arbitration Rules - Arbitration Hearing/Location. In order to make the arbitration most cost-effective, efficient, and convenient to you, any required arbitration hearing in an arbitration wherein the amount in controversy does not exceed US $1,000,000, shall be conducted remotely via video conference except as otherwise agreed by the parties or instructed by the arbitrator. Any required arbitration hearing in an arbitration wherein the amount in controversy exceeds US $1,000,000 shall be conducted in San Francisco County except as otherwise agreed by the parties or instructed by the arbitrator. If the amount in controversy is US $10,000 or less, the parties agree to proceed solely on the submission of documents to the arbitrator.

                  15.8 Modification of Arbitration Rules - Arbitration Fees and Costs. Your arbitration fees and your share of arbitrator compensation shall be governed by the ADR Rules and the ADR Services fee schedule (available at www.adrservices.com). If you have a gross monthly income of less than 300% of the federal poverty guidelines, you are entitled to a waiver of arbitration fees and costs, exclusive of arbitrator fees. You may request a fee waiver by providing the arbitration provider with a declaration under oath stating your monthly income and the number of persons in your household. If a fee waiver is granted by the arbitration provider and you provide Airbnb Payments with documents necessary to prove that your gross monthly income is less than 300% of the federal poverty guidelines, Airbnb Payments will pay your share of any arbitrator fees.

                  15.9 Modification of Arbitration Rules - Claims Brought for an improper Purpose or in Violation of This Arbitration Agreement. Either party may make a request that the arbitrator impose sanctions upon proving that the other party or its attorney(s) has asserted a claim, or defense that is groundless in fact or law, brought in bad faith or for the purpose of harassment, or is otherwise frivolous. As allowed by applicable law and the AAA Rules the arbitrator shall impose sanctions equal to the requesting party’s reasonable attorneys’ fees and costs upon finding that a claim or defense is groundless in fact or law, brought in bad faith or for the purpose of harassment, asserted in violation of Fed. R. Civ. P. 11(b) (treating the arbitrator as “the court”), or is otherwise frivolous. Either party may seek dismissal of any arbitration filed in violation of any provision of this Arbitration Agreement. Either party may assert in arbitration a counterclaim for the other party’s initiation of proceedings concerning an arbitrable Dispute without complying with or otherwise in violation of the requirements of this Arbitration Agreement. Upon finding that a party has initiated proceedings concerning an arbitrable Dispute without complying with or otherwise in violation of the requirements of this Arbitration Agreement, the arbitrator shall award the other party its actual damages, including but not limited to reasonable attorneys’ fees and costs.

                  15.10 Arbitrator’s Decision. The arbitrator will issue a written decision which shall include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award any relief allowed by law or the AAA Rules, but declaratory or injunctive relief may be awarded only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim.

                  15.11 Jury Trial Waiver. You and Airbnb Payments acknowledge and agree that both parties are each waiving the right to a trial by jury as to all arbitrable Disputes.

                  15.12 No Class Actions or Representative Proceedings. You and Airbnb Payments acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class- wide arbitration, private attorney general action, or any other representative or consolidated proceeding. Unless we agree in writing or as provided in this agreement, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If there is a final judicial determination that applicable law precludes enforcement of the waiver contained in this paragraph as to any claim, cause of action or requested remedy, then that claim, cause of action or requested remedy, and only that claim, cause of action or requested remedy, will be severed from this agreement to arbitrate and will be brought in a court of competent jurisdiction. In the event that a claim, cause of action or requested remedy is severed pursuant to this paragraph, then you and we agree that the claims, causes of action or requested remedies that are not subject to arbitration will be stayed until all arbitrable claims, causes of action and requested remedies are resolved by the arbitrator.

                  15.13 Mass Action Waiver. You and Airbnb Payments acknowledge and agree that the relative benefits and efficiencies of arbitration may be lost when 100 or more arbitration claims are filed within 180 days which (1) involve the same or similarly situated parties; (2) are based on the same or similar claims which arise from the same or substantially identical transactions, incidents, alleged violations or events requiring the determination of the same or substantially identical questions of law or fact; and (3) involve the same or coordinated counsel for the parties (“Mass Action”). Accordingly, you and Airbnb Payments agree to waive the right to have any Dispute administered, arbitrated, or resolved as part of a Mass Action (though Sections 15 and 15.12 will continue to apply to the Dispute). In case of a dispute, the appointed arbitrator for the first matter instituted within a set of claims identified by either party shall decide whether those claims are part of a Mass Action. If no arbitrator has yet been appointed, an arbitrator shall be appointed solely to determine whether claims identified by either party are part of a Mass Action. Nothing in this provision prevents you or Airbnb Payments from participating in a mass settlement of claims.

                  15.14 Modification of Arbitration Rules – Mass Action Batching Requirements. If for any reason, notwithstanding Section 15.13, an arbitration proceeds as part of a Mass Action, the parties shall group the arbitration demands into batches of no more than 200. The batches shall be determined by listing the claimants’ alphabetically (by last name or business name, as applicable)—for example, the first 200 claimants listed will be the first batch, the next 200 claimants listed will be the second batch, and so forth. The parties shall randomly assign each batch a sequential number and arbitrate the batches one at a time, in sequential order. While one batch is being arbitrated, the arbitration provider shall hold the remainder in abeyance unless otherwise agreed by the parties or instructed by the arbitration provider. Each batch shall be resolved within 240 days of the pre-hearing conference for that batch. Notwithstanding the forgoing, if any claimant’s demand has not been the subject of a pre-hearing conference within 2 years of the latest-filed demand in the Mass Action, such claimant may elect to pursue the claims asserted in the claimant’s demand in court subject to Sections 14 and 15.12.

                  15.15 Modifications of Arbitration Rules - Offers of Judgment. At least 10 days before the date set for the arbitration hearing, you or Airbnb Payments may serve a written offer of judgment on the other party to allow judgment on specified terms. If the offer is accepted, the offer with proof of acceptance shall be submitted to the arbitration provider, who shall issue an award accordingly. If the offer is not accepted prior to the arbitration hearing or within 30 days after it is made, whichever occurs first, it shall be deemed withdrawn and cannot be given as evidence in the arbitration, other than with respect to costs (including all fees paid to the arbitration provider). If an offer made by one party is not accepted by the other party, and the other party fails to obtain a more favorable award, the other party shall not recover their post-offer costs and shall pay the offering party’s costs (including all fees paid to the arbitration provider) from the time of the offer.

                  15.16 Severability. Except as provided in Section 15.12, in the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable, such provision shall be severed and the remainder of the Arbitration Agreement will be given full force and effect.

                  15.17 Amendment to Agreement to Arbitrate. If Airbnb Payments amends this Section 15 after the date you last accepted these Payments Terms (or accepted any subsequent changes to these Payments Terms), you may reject the change by sending us written notice no later than thirty (30) days of the date the change is effective. Your notice must include your name, mailing address, the date of the notice, your Airbnb username, the email address you used to set up your Airbnb account, your signature, and an unequivocal statement that you want to opt out of the amended Section 15. You must either mail your notice to this address: 888 Brannan St, San Francisco, CA 94103, Attn: Arbitration Opt-Out, or email the opt-out notice to arbitration.opt.out@airbnb.com. Rejecting a new change, however, does not revoke or alter your prior consent to any earlier agreements to arbitrate any Dispute between you and Airbnb Payments (or your prior consent to any subsequent changes thereto), which will remain in effect and enforceable as to any Dispute between you and Airbnb Payments.

                  15.18 Survival. Except as provided in Section 15.12 and subject to Section 13.7, this Section 15 will survive any termination of these Payments Terms and will continue to apply even if you stop using the Payment Services or terminate your Airbnb account.

                  16. Miscellaneous

                  16.1 Interpreting these Payments Terms. Except as they may be supplemented by additional terms and conditions, policies, guidelines, or standards, these Payments Terms constitute the entire agreement between Airbnb Payments and you regarding the subject matter hereof, and supersede any and all prior oral or written understandings or agreements between Airbnb Payments and you regarding the Payment Services. This clause does not exclude a party’s liability for prior false, misleading or deceptive statements or misrepresentations, whether oral or written. If any provision of these Payments Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

                  16.2 No Waiver. Subject to any limitation expressly stated in these Payments Terms or the Terms, or any document, policy or standard incorporated into them, Airbnb Payments’ or a Member’s failure to enforce any right or provision in these Payments Terms will not constitute a waiver of such right or provision unless acknowledged and agreed between the relevant parties in writing. Except as expressly set forth in these Payments Terms, the exercise by Airbnb Payments or a Member of any of its remedies under these Payments Terms will be without prejudice to its other remedies under these Payments Terms or otherwise permitted under law.

                  16.3 Assignment. You may not assign, transfer, or delegate this agreement or your rights and obligations hereunder without Airbnb Payments’ prior written consent (not to be unreasonably withheld or delayed). Airbnb Payments may assign, transfer, or delegate this agreement and any rights and obligations, at its sole discretion, with thirty (30) days’ prior notice (or two (2) months’ prior notice (for Members contracting with Airbnb Payments UK) provided that this would not reduce your rights or benefits under these terms.

                  16.4 Notices. Unless specified otherwise, any notices or other communications permitted or required under this agreement, will be in writing and given by Airbnb Payments via email or Airbnb Platform notification, and depending on your notification setting, messaging service (including SMS and WeChat). The date of receipt will be deemed the date on which Airbnb Payments transmits the notice.

                    17. Additional Clauses for Users Contracting with Airbnb Payments UK

                    This Section 17 will apply if you are contracting with Airbnb Payments UK. To the extent that there is any conflict between this Section 17 and any other provision of these Payment Terms, the provisions of this Section 17 shall apply

                    17.1 Payment Service User

                    17.1.1 The Payment Services include the payment collection service provided to Hosts contracting with Airbnb Payments UK. The payment collection service constitutes a “payment service” regulated under the Payment Services Regulations and for these purposes Airbnb Payments UK treats Hosts as the “payment service user.”

                    17.1.2 By agreeing to these Payments Terms you as a Host have consented to Airbnb Payments UK’s payment of each Payout to your chosen Payout Method. Hosts may change a Payout Method up to one (1) day before the time agreed for the Payout as set out in Section 3.3. Airbnb Payments UK will be deemed to have received the Host's payment order to the Host on the same date Airbnb Payments UK agrees to initiate the Payout in accordance with Section 3.3.

                    17.1.3 Airbnb Payments UK will endeavor to ensure that Hosts based in the UK will receive each Payout by the end of the business day following Airbnb Payments UK’s initiation of the Payout.

                    17.1.4 Communication. Airbnb Payments will provide the Host notice via email when we initiate each Payout. We will also provide notice to a Host’s registered email address if the Payout is returned to us because of an error. It is your responsibility as a Host to ensure that you provide us with a current, accurate, and valid email address.

                    17.2 Diverted Payouts and Complaints

                    17.2.1 If you as a Host believe or become aware that a Payout properly due to you has been or may be diverted without your authorization (“Diverted Payout”) because your password or other credentials to log into your Airbnb account (“Credentials”) have been lost, stolen, or misappropriated, you should notify Airbnb Payments UK without undue delay. As a Host you may be liable for losses relating to any Diverted Payout arising from the use of lost, stolen, or misappropriated Credentials (including the loss of a mobile phone on which you have installed the Application) or where you have failed to keep your Credentials safe, up to a maximum of £35. Provided that you notify us of any Diverted Payout without delay and at the very latest within 13 months of the date of the payment, you may be entitled to a refund of that payment.

                    17.2.2 If you as Host claim not to have received a Payout properly due to you via your chosen Payout Method (including where there has been a Diverted Payout), Airbnb Payments UK will (if requested by you without undue delay, on becoming aware of the unauthorized or incorrectly executed Payout and in any event within 13 months of it happening) make immediate efforts to trace the payment and will notify you of the outcome. Subject to Section 17.2.3, unless we can prove that (i) the Payout was received by you via your chosen Payout Method, or (ii) we made the Payout correctly using the Payout Method information you provided but the information you provided was incorrect, we will refund the amount. Where you have given us incorrect information, we will not be liable for the defective or non-execution of the Payout, however, we will make reasonable efforts to recover the Payout funds.

                    17.2.3 You must use your Credentials in accordance with these Payment Terms, and take all reasonable steps to keep your Credentials safe. As a Host you may be liable for losses suffered by Airbnb Payments UK in attempting to trace and recover a Diverted Payout (up to a maximum of £35) arising from the use of lost, stolen, or misappropriated Credentials including where due to the loss of a mobile phone on which you have installed the Application or where you have failed to keep your Credentials safe. You will not be liable for losses suffered by Airbnb Payments UK in attempting to trace and recover a Diverted Payout where the loss, theft or misappropriation of your Credentials was not detectable by you prior to the Diverted Payout (unless you acted fraudulently in connected with the Diverted Payout), or where the loss suffered by Airbnb Payments UK was caused by acts or omissions of Airbnb personnel or a service provider. You may however be liable to Airbnb Payments UK for all losses relating to attempted tracing and recovery of a Diverted Payout if we can produce reasonable evidence that you acted fraudulently or where you failed to use the Airbnb Platform and/or Payment Services in accordance with the Terms or these Payment Terms (including the obligation to keep your Credentials safe). Except where you have acted fraudulently, you will not be liable to Airbnb Payments UK for any losses incurred in respect of the attempted tracing and recovery of a Diverted Payout arising after notification by you of the loss, theft, or misappropriation of your Credentials or of the unauthorized use of your Credentials, where we have failed at any time to provide appropriate means for such notification, or where we do not require strong customer authentication, where required.

                    17.2.4 Any complaints about the Payment Services should be made to Airbnb Payments UK. If you are not happy with the outcome of a complaint and you as a Host have received regulated Payment Services from Airbnb Payments UK, you may also be able to refer your complaint to the Financial Ombudsman. All complaints to the Financial Ombudsman Service are subject to the rules of the Financial Ombudsman Service, including in relation to eligibility requirements. The UK Financial Ombudsman Service offers a free complaints resolution service. You may obtain further information regarding the Financial Ombudsman Services and contact details at: http://www.financial-ombufsman.org.uk.

                    18. Additional Clauses for Users Contracting with Airbnb Payments UK

                    The following paragraphs also apply if you are using the Payment Services as a representative (“Representative”) acting on behalf a business, company or other legal entity (in such event, for purposes of the Payments Terms, “you” and “your” will refer and apply to that business, company or other legal entity).

                    18.1 You accept the Payments Terms and you will be responsible for any act or omission of employees or third-party agents using the Payment Service on your behalf.

                    18.2 You and your Representative individually affirm that you are authorized to provide the information described in Section 2.1 and Section 3.2 and your Representative has the authority to bind you to these Payments Terms. We may require you to provide additional information or documentation demonstrating your Representative’s authority.

                    18.3 You represent and warrant to us that: (i) you are duly organized, validly existing and in good standing under the laws of the country in which your business is registered and that you are registering for receiving the Payment Services; and (ii) you have all requisite right, power, and authority to enter into this agreement, perform your obligations, and grant the rights, licenses, and authorizations in this agreement.

                    18.4 If you are using your Payment Method for the benefit of your employees or other authorized third-party in connection with Airbnb for Work, as permitted by your account, you authorize Airbnb Payments to charge your Payment Method for bookings requested by employees at your company or other permitted third-party.

                    18.5 For any Payout Method linked to your Airbnb account, you authorize Airbnb Payments to store the Payout Method, remit payments using the Payout Method for bookings associated with your Airbnb account and take any other action as permitted in the Payments Terms in respect of the Payout Method.

                      18.6 If you handle, store or otherwise process payment card information on behalf of anyone or any third-party, you agree to comply on an ongoing basis with applicable data privacy and security requirements under the current Payment Card Industry Data Security Standard with regards to the use, access, and storage of such credit card information.
