Les présentes Conditions de service pour les utilisateurs européens (les « Conditions ») sont un contrat juridique contraignant entre vous et Airbnb qui régit votre droit d'utilisation des sites web, applications et autres offres d'Airbnb (appelés collectivement, la « Plate-forme Airbnb »). Lorsqu'ils sont utilisés dans ces conditions, les termes « Airbnb », « nous », « nos » ou « notre » désignent l'entité Airbnb mentionnée à l'Annexe 1 avec laquelle vous concluez un contrat.

La Plate-forme Airbnb offre un outil en ligne permettant aux utilisateurs (« Membres ») de publier, de proposer, de rechercher et de réserver des services. Les Membres qui publient et proposent des services sont des « Hôtes » et les Membres qui recherchent, réservent ou utilisent des services sont des « Voyageurs ». Les Hôtes offrent des hébergements (« Hébergements »), des activités, des excursions et des événements (« Expériences »), ainsi qu'une variété de services de voyage et autres (collectivement, les « Services d'hôte », et chaque offre de Service d'hôte, une « Annonce »). Vous devez créer un compte pour accéder à de nombreuses fonctionnalités de la Plate-forme Airbnb et les utiliser. Vous devez également veiller à ce que les informations de votre compte demeurent exactes. En tant que fournisseur de la Plate-forme Airbnb, Airbnb ne possède, ne contrôle, ne propose et ne gère ni les annonces, ni les Services d'hôte ni aucun service touristique. Airbnb n'est pas partie aux contrats conclus directement entre les Hôtes et les Voyageurs, et Airbnb n'est pas agent immobilier, agence de voyage, ni assureur, pas non plus organisateur ou détaillant de voyages organisés en vertu de la directive (UE) 2015/2302. Conditions relatives aux Voyageurs

1. Notre mission.

Nous avons pour mission de créer un monde où chacun puisse se sentir chez soi, ailleurs. Des cabanes aux châteaux en passant par les cours de cuisine, parcourez des millions d'Annonces pour trouver celles qui correspondent à votre façon de voyager. Pour en savoir plus sur une Annonce, consultez sa description, ses photos, le profil de l'Hôte et les commentaires des Voyageurs. Si vous avez des questions, envoyez un message à l'Hôte.

2. Recherche et réservation sur Airbnb.

2.1 Recherche. Vous pouvez rechercher des Services d'hôte en utilisant des critères tels que le type de Service d'hôte, la destination du voyage, les dates du voyage et le nombre de Voyageurs. Vous pouvez également utiliser des filtres pour affiner vos résultats de recherche. Les résultats de la recherche sont basés sur leur pertinence par rapport à votre recherche et à d'autres critères. La pertinence tient compte de facteurs tels que le prix, la disponibilité, les commentaires, l'historique de la relation avec l'assistance utilisateurs et celui des annulations, la popularité, les voyages précédents et les Annonces sélectionnées, les exigences de l'hôte (par exemple, nombre de nuits minimum ou maximum), et plus encore. 2.2 Réservation. Lorsque vous réservez une Annonce, vous acceptez de payer tous les frais relatifs à votre réservation, y compris le prix du logement fixé dans l'Annonce, les frais applicables tels que les frais de service d'Airbnb, les frais perçus en personne, les taxes et tout autre élément identifié lors du paiement (collectivement, le « Prix total »). Lorsque vous recevez la confirmation de réservation, un contrat pour les Services d'hôte (une « Réservation ») est formé directement entre vous et l'Hôte. Outre les présentes Conditions, vous serez soumis et responsable du respect de toutes les conditions de la Réservation, y compris, mais sans s'y limiter, les conditions d'annulation et tous les autres règlements, normes, politiques ou exigences identifiés dans l'Annonce ou lors du paiement qui s'appliquent à la Réservation. Il est de votre responsabilité de lire et de comprendre ces règlements, normes, politiques et exigences avant de réserver une Annonce. Sachez que certains Hôtes travaillent avec un co-hôte ou en tant que membre d'équipe pour fournir leurs Services d'hôte.

2.3 Réservations d'hébergement. Une réservation d'Hébergement est une licence limitée pour entrer, occuper et utiliser l'Hébergement. L'Hôte se réserve le droit de réintégrer l'Hébergement pendant votre séjour, le cas échéant si : (i) cela est raisonnablement nécessaire, (ii) cela est autorisé en vertu de votre contrat avec l'Hôte, et (iii) cela est conforme au droit applicable. Si vous restez après l'heure de départ, l'Hôte a le droit de vous faire partir d'une manière conforme au droit applicable, y compris en vous imposant des sanctions raisonnables pour séjour indûment prolongé. Vous ne pouvez pas dépasser le nombre maximal autorisé de Voyageurs.

2.4 Réservations d'Expériences et d'autres Services d'hôte. Une réservation d'Expérience ou d'un autre Service d'hôte vous permet de participer à ce Service d'hôte, d'y assister ou de l'utiliser. Il vous incombe de confirmer que vous, et toute personne que vous invitez, remplissez les conditions d'âge minimum, de compétence, d'aptitude ou autres. Vous êtes responsable d'informer l'Hôte de votre état de santé ou condition physique, ou de toute autre circonstance qui pourrait avoir un impact sur votre capacité à participer au Service d'hôte, d'y assister ou de l'utiliser. Sauf autorisation expresse, vous ne pouvez pas permettre à une personne de se joindre à un Service d'hôte à moins que cette personne n'ait été incluse comme Voyageur supplémentaire lors de la procédure de réservation.

3. Annulations, problèmes de voyage, remboursements et modifications de réservation.

3.1 Annulations, problèmes de voyage, remboursements et modifications de réservation. En règle générale, si vous annulez une réservation, le montant qui vous est remboursé est déterminé par les conditions d'annulation applicables à cette réservation. Mais, dans certaines situations, d'autres conditions sont prioritaires et déterminent le montant qui vous est remboursé. Si un événement indépendant de votre volonté vous oblige à annuler une réservation, vous êtes susceptible d'être éligible à un remboursement partiel ou intégral en vertu de notre Politique relative aux cas de force majeure. Si l'Hôte annule ou si vous rencontrez un problème lié à un voyage (tel que défini dans notre Politique de remplacement d'hébergement et de remboursement), vous pouvez être éligible à une aide pour une nouvelle réservation, ou à un remboursement partiel ou intégral en vertu de la Politique de remplacement d'hébergement et de remboursement. Différentes politiques s'appliquent à certaines catégories d'Annonces ; par exemple, les réservations d'Expériences sont régies par la Politique de remboursement des voyageurs pour les expériences, et les réservations Luxe sont régies par la Politique Luxe de remplacement d'hébergement et de remboursement. 3.2 Modifications de réservation. Les Hôtes et les Voyageurs sont responsables de toute Modification de réservation qu'ils acceptent d'apporter par le biais de la plateforme Airbnb ou demandent à l'assistance utilisateurs d'Airbnb d'effectuer en leur nom (« Modifications de réservations »), et acceptent de payer tout montant, frais ou taxes supplémentaires associés à toute Modification de réservation.

4. Vos responsabilités.

Vous êtes responsable de vos propres actes et omissions et êtes également responsable des actes et omissions de toute personne que vous invitez à vous rejoindre (ou à qui vous fournissez un accès) concernant un Hébergement ou une Expérience. Par exemple, cela signifie : (i) que vous avez la responsabilité de laisser un Hébergement (et les biens personnels associés) dans l'état dans lequel vous l'avez trouvé à votre arrivée, (ii) que vous avez la responsabilité de payer tous les montants de demande d'indemnisation nécessaires pour couvrir les dommages que vous, votre ou vos voyageurs ou votre ou vos animaux de compagnie avez causés à un Hébergement, et (iii) que vous devez agir avec intégrité, traiter les autres avec respect et vous conformer aux lois applicables en tout temps. Si vous réservez pour un Voyageur supplémentaire qui est mineur ou si vous faites venir un mineur dans un Service d'hôte, vous devez être légalement autorisé à agir au nom du mineur et vous êtes seul responsable de la supervision de ce mineur.

Conditions relatives aux Hôtes

5. Accueil de voyageurs avec Airbnb.

5.1 Hôte. En tant qu'hôte, Airbnb vous offre le droit d'utiliser la plateforme Airbnb pour partager votre Hébergement, Expérience ou autre Service d'hôte avec notre communauté de Voyageurs, et de gagner de l'argent ce faisant. Créer une Annonce est très facile. Vous contrôlez la façon dont vous accueillez les Voyageurs, et vous fixez votre prix, vos disponibilités et les règles pour chaque Annonce.

5.2 Contrat avec les Voyageurs. Lorsque vous acceptez une demande de réservation ou recevez une confirmation de réservation sur la plateforme Airbnb, vous concluez un contrat directement avec le Voyageur et êtes responsable de la prestation du Service d'hôte selon les conditions et au prix spécifiés dans votre Annonce. Vous acceptez également de payer les frais applicables tels que les frais de service Airbnb (et les taxes applicables) pour chaque réservation. Airbnb Payments déduira les montants dus de votre versement, à moins que vous et nous ne convenions d'une autre méthode. Toutes les conditions ou modalités que vous incluez dans un contrat supplémentaire avec les Voyageurs doivent : (i) être conformes à ces Conditions, à nos

conditions juridiques supplémentaires, à nos Politiques et aux informations fournies dans votre Annonce, et (ii) être divulguées de manière visible dans la description de votre Annonce.

5.3 Indépendance des Hôtes. Votre relation avec Airbnb est celle d'une entité ou d'un individu indépendant et non un salarié, agent, co-entrepreneur ou partenaire d'Airbnb, à l'exception du fait qu'Airbnb Payments agit en tant qu'agent de recouvrement des paiements comme décrit dans les Conditions de paiement. Airbnb ne dirige ni ne contrôle votre Service d'hôte. Vous comprenez que vous avez toute latitude pour décider si et quand vous souhaitez fournir des Services d'hôte, et à quel prix et à quelles conditions les offrir.

6. Gestion de votre Annonce.

6.1 Création et gestion de votre Annonce. La plateforme Airbnb fournit des outils qui vous permettent de configurer et de gérer facilement une Annonce. Votre Annonce doit inclure des informations complètes et précises sur votre Service d'hôte, votre prix, les autres frais éventuels tels que les frais de ménage, les frais de séjour, les frais perçus en personne et tous les règlements ou toutes les exigences qui s'appliquent à vos Voyageurs ou à votre Annonce. Vous êtes responsable de vos propres actes et omissions, ainsi que de la mise à jour et de l'exactitude des informations de votre Annonce (y compris les dates de disponibilité de votre calendrier) et de son contenu (comme les photos) à tout moment. Nous vous recommandons de souscrire une assurance appropriée pour vos Services d'hôte, dont nous vous suggérons également de lire attentivement les conditions générales de la police, y compris les modalités de couverture et les exclusions. Vous ne pouvez gérer qu'une seule Annonce par Hébergement, mais vous pouvez avoir plusieurs Annonces pour un même logement si celui-ci dispose de plusieurs Hébergements. Toute offre d'Expérience est soumise à nos Conditions supplémentaires pour les hôtes d'expériences.

6.2 Connaître ses obligations légales. Vous êtes tenu de comprendre et de respecter l'ensemble des lois, règlements, réglementations et contrats avec des tiers qui s'appliquent à votre Annonce ou vos Services d'hôte. Par exemple, certains propriétaires et baux, ou des règlements de copropriété, limitent ou interdisent la sous-location, les locations courte durée et les séjours longue durée. Certaines villes ont adopté des plans locaux d'urbanisme ou autres réglementations similaires qui restreignent la location courte durée de propriétés résidentielles. Certaines collectivités locales, notamment des villes, exigent des Hôtes qu'ils s'enregistrent, obtiennent un permis ou un agrément avant de fournir certains Services d'hôte (tels que des locations courte durée, des séjours longue durée, la préparation de nourriture, la vente d'alcool, des visites guidées ou l'utilisation d'un véhicule). Dans certains endroits, les Services d'hôte que vous pourriez vouloir proposer peuvent être interdits. Certaines collectivités locales exigent l'enregistrement des Voyageurs qui séjournent dans votre Hébergement. Des juridictions ont adopté des réglementations qui créent des droits de location pour les Voyageurs et des obligations supplémentaires pour les Hôtes. Par exemple, certaines lois peuvent réglementer la location, le contrôle des loyers et l'expulsion pour les séjours longue durée. Vérifiez la réglementation nationale et locale pour connaître les règles qui s'appliquent aux Services d'hôte que vous prévoyez d'offrir. Les informations que nous fournissons concernant les exigences légales sont uniquement à titre d'information. Vous devez vérifier vos obligations de manière indépendante. Vous êtes responsable du traitement et de l'utilisation des données personnelles des Voyageurs et d'autres personnes conformément aux lois sur la protection de la vie privée et aux présentes Conditions, y compris nos Règles de confidentialité applicables aux Hôtes. Si vous avez des questions sur la façon dont la législation locale s'applique, vous devez toujours consulter un conseiller juridique tel un avocat.

6.3 Classement dans les résultats de recherche. Le classement des Annonces dans les résultats de recherche sur la plateforme Airbnb dépend de plusieurs facteurs, principalement les suivants :

  • Paramètres de recherche indiqués par les Voyageurs (par exemple, nombre de Voyageurs, date et durée du voyage, fourchette de prix)
  • Caractéristiques de l'Annonce (par exemple, prix, disponibilité du calendrier, nombre et qualité des images, commentaires, type de Service d'hôte, statut de l'Hôte, ancienneté de l'annonce, popularité moyenne des Voyageurs)
  • Expérience de réservation du Voyageur (par exemple, l'historique des annulations et du recours à l'assistance utilisateurs de l'Hôte, la facilité de la réservation)
  • Exigences de l'Hôte (par exemple, nombre de nuits minimum ou maximum, heure limite de réservation)
  • Préférences du Voyageur (par exemple, voyages précédents, Annonces enregistrées, lieu à partir duquel le Voyageur effectue sa recherche)

Les résultats de recherche peuvent apparaître différemment sur notre application mobile et sur notre site web. Airbnb peut permettre aux Hôtes de promouvoir leurs Annonces dans les résultats de recherche ou ailleurs sur la plateforme Airbnb moyennant des frais supplémentaires. Vous trouverez de plus amples informations sur les facteurs qui déterminent le classement de votre Annonce dans les résultats de recherche, sur nos programmes de promotion actuels (le cas échéant) et sur la manière dont nous identifions le contenu promu dans notre Centre d'aide.

6.4 Vos responsabilités. Vous êtes responsable de vos propres actes et omissions ainsi que de ceux des personnes que vous autorisez à participer à la prestation de vos Services d'hôte. Vous êtes responsable des tarifs, du règlement et des exigences de votre annonce. Vous devez décrire tous les frais et éléments facturés dans la description de votre annonce, mais vous ne pouvez pas percevoir de frais ni facturer d'éléments supplémentaires en dehors de la plateforme Airbnb, à l'exception de ceux expressément autorisés par notre Politique qui régit les frais perçus en personne. N'encouragez pas les Voyageurs à créer des comptes tiers, à soumettre des commentaires, à fournir leurs coordonnées ou à mener d'autres actions en dehors de la plateforme Airbnb, en violation de notre Politique d'Airbnb sur l'utilisation hors plateforme.

6.5 Accueil de Voyageurs en tant qu'équipe ou organisation. Si vous travaillez avec un co-hôte ou un Hôte en tant que membre d'une équipe, d'une entreprise ou d'une autre organisation, l'entité et chaque individu qui participe à la fourniture des Services d'hôte sont responsables en tant qu'Hôte en vertu des présentes Conditions. Si vous acceptez des conditions ou si vous concluez des contrats, vous déclarez et garantissez que vous êtes autorisé à conclure des contrats pour votre équipe, votre entreprise ou toute autre organisation et que chaque entité que vous utilisez est en règle selon les lois du lieu où elle est établie. Si vous exercez d'autres fonctions, vous déclarez et garantissez être autorisé à exercer ces fonctions. Si vous demandez à Airbnb de transférer une partie de votre versement à un co-hôte ou à d'autres Hôtes, ou d'envoyer des paiements à un tiers, vous devez être autorisé à le faire. Vous êtes responsable des montants des paiements et de l'exactitude des informations que vous fournissez.

7. Annulations, problèmes de voyage et Modifications de réservation.

7.1 Annulations et problèmes de voyage. En général, si un Voyageur annule une réservation, le montant qui vous est payé est déterminé par les conditions d'annulation applicables à cette réservation. En tant qu'Hôte, vous ne devez pas annuler la réservation d'un Voyageur sans raison valable en vertu de notre Politique relative aux cas de force majeure ou de la loi applicable. Si vous annulez la réservation d'un Voyageur sans une telle raison valable, nous pouvons imposer des frais d'annulation et d'autres conséquences. Si : (i) un Voyageur rencontre un problème de voyage (tel que défini par la Politique de remplacement d'hébergement et de remboursement), (ii) un cas de force majeure survient, ou (iii) une réservation est annulée en vertu de l'article 13 des présentes Conditions, le montant qui vous est payé est réduit du montant que nous remboursons ou fournissons au Voyageur, et de tous les autres frais raisonnables que nous encourons à la suite de l'annulation. Si un Voyageur reçoit un remboursement alors que vous avez déjà été payé, ou si le montant du remboursement et des autres frais engagés par Airbnb dépasse votre paiement, Airbnb (via Airbnb Payments) peut récupérer ce montant auprès de vous, y compris en déduisant le remboursement de vos versements futurs. Vous acceptez que la Politique de remplacement d'hébergement et de remboursement et la Politique relative aux cas de force majeure d'Airbnb, ainsi que ces Conditions, prévalent sur les conditions d'annulation que vous avez établies dans les situations où elles permettent l'annulation d'une réservation ou l'émission de remboursements aux Voyageurs. Si nous prévoyons raisonnablement de rembourser un Voyageur en vertu de l'une de ces Politiques, nous pouvons retenir tout versement pour cette réservation jusqu'à ce qu'une décision de remboursement soit prise. Si vous êtes l'Hôte d'une Expérience, veuillez noter que les conditions d'annulation de l'expérience, la Politique de remboursement des expériences ainsi que des frais d'annulation et d'autres conséquences s'appliquent à vos réservations. Consultez chaque politique pour obtenir des détails sur ce qui est couvert et sur le montant de votre versement dans chaque situation. 7.2 Modifications de réservations. Les Hôtes et les Voyageurs sont responsables de toute Modification de réservation qu'ils acceptent de faire sur la plateforme Airbnb ou qu'ils demandent à l'assistance utilisateurs Airbnb de faire en leur nom, et acceptent de payer tout montant supplémentaire, frais ou taxes associés à une Modification de réservation.

8. Taxes.

8.1 Taxes applicables aux hôtes. En tant qu'Hôte, vous êtes responsable de déterminer et de remplir vos obligations en vertu des lois applicables pour déclarer, collecter, verser ou inclure dans votre prix toute TVA ou autres taxes indirectes, taxes de séjour, taxes de tourisme, impôts sur le revenu ou autres taxes applicables (« Taxes »).

8.2 Collecte et versement par Airbnb. Dans les collectivités (comme des villes) où Airbnb facilite la collecte et/ou le reversement des taxes au nom des Hôtes, vous donnez l'instruction et l'autorisation à Airbnb de collecter les taxes en votre nom et/ou de reverser ces taxes à l'autorité fiscale compétente. Toutes les taxes collectées et/ou reversées par Airbnb sont signalées aux Membres sur leurs relevés de transaction, le cas échéant. Airbnb peut demander des montants supplémentaires aux Membres (y compris en déduisant ces montants des versements futurs) dans le cas où les Taxes collectées ou reversées sont insuffisantes pour honorer pleinement les obligations fiscales de ces Membres. En cas de désaccord avec le montant des Taxes collectées et reversées par Airbnb, veuillez contacter l'administration fiscale locale afin de solliciter un remboursement. Vous reconnaissez et acceptez que nous nous réservons le droit, avec notification préalable des Membres concernés, de cesser la collecte et le reversement des taxes dans toute juridiction pour quelque raison que ce soit.

8.3 Informations fiscales. Dans certaines collectivités locales, les réglementations fiscales peuvent nous contraindre à collecter et/ou à déclarer des informations fiscales vous concernant, à prélever des taxes sur vos versements, ou les deux. Si vous ne nous fournissez pas les documents que nous jugeons suffisants pour justifier une telle obligation de prélever des taxes sur les versements qui vous sont destinés, nous pouvons prélever les versements jusqu'à concurrence du montant requis par la loi, jusqu'à ce que des documents suffisants soient fournis. Vous acceptez qu'Airbnb puisse émettre en votre nom des factures ou des documents similaires pour la TVA, toute taxe sur les produits et services, pour toute taxe sur la consommation ou d'autres taxes relatives à vos Services d'hôte afin que nos voyageurs et leurs entreprises puissent effectuer des déclarations fiscales précises.

Conditions générales

9. Commentaires.

Après chaque Service d'hôte, les Voyageurs et les Hôtes ont la possibilité de se laisser mutuellement un commentaire. Votre Commentaire doit être précis et ne peut contenir aucun propos discriminatoire, offensant, diffamatoire ou autre qui violerait notre Politique en matière de contenus ou notre Politique en matière de commentaires. Les Commentaires ne sont pas vérifiés par Airbnb et peuvent être infondés ou trompeurs.

10. Contenu.

Certaines parties de la plateforme Airbnb vous permettent de fournir des commentaires, du texte, des photos, de l'audio, de la vidéo, des informations et d'autres contenus (« le Contenu »). En fournissant du Contenu, sous quelque forme et par quelque moyen que ce soit, vous accordez à Airbnb, à partir du moment où vous créez ou publiez ce Contenu et pour la durée de la protection des droits cédés, une licence non exclusive, mondiale, libre de droits, pouvant faire l'objet d'une sous-licence et cessible, pour accéder à, utiliser, stocker, reproduire, modifier, créer des œuvres dérivées de, distribuer, publier, transmettre, diffuser et exploiter de toute autre manière ce Contenu de membres afin de fournir et/ou promouvoir la plateforme Airbnb sur tout support, connu ou non encore connu à ce jour et en particulier sur Internet et sur les réseaux sociaux. Si le Contenu comprend des informations personnelles, ce Contenu ne sera utilisé à ces fins que si cette utilisation est conforme aux lois applicables en matière de protection des données conformément à notre Politique de confidentialité. Lorsque Airbnb paie pour la création d'un Contenu ou facilite sa création, Airbnb peut être propriétaire de ce Contenu, auquel cas des conditions supplémentaires le préciseront. Vous êtes seul responsable de tout le Contenu que vous fournissez et garantissez que vous en êtes le propriétaire ou que vous êtes autorisé à accorder à Airbnb les droits décrits dans ces Conditions. Vous êtes responsable si l'un de vos Contenus viole ou enfreint les droits de propriété intellectuelle ou de confidentialité d'un tiers. Le Contenu doit être conforme à notre Politique en matière de contenus et à notre Politique de non-discrimination, qui interdisent, entre autres, les contenus discriminatoires, obscènes, harcelants, trompeurs, violents et illégaux. Vous acceptez qu'Airbnb peut mettre à disposition des services ou des outils automatisés pour traduire le Contenu et que votre Contenu peut être traduit en utilisant ces services ou outils. Airbnb ne garantit pas l'exactitude ou la qualité de ces traductions, et il appartient aux Membres de vérifier l'exactitude de ces traductions.

11. Frais.

Airbnb peut facturer des frais (et les taxes applicables) aux Hôtes et aux Voyageurs pour le droit d'utiliser la plateforme Airbnb. Tous les frais applicables sont divulgués aux Hôtes avant la publication d'une Annonce et aux Voyageurs avant la Réservation. Pour en savoir plus sur les frais de service applicables et leur mode de calcul, consultez notre page consacrée aux frais de service. Sauf mention contraire sur la plateforme Airbnb, les frais de service ne sont pas remboursables.

12. Règles de la plateforme Airbnb.

12.1 Règlement. Vous devez respecter ces règles et ne devez pas aider ou inciter d'autres personnes à les enfreindre ou à les contourner.

  • Agir avec intégrité et traiter les autres avec respect
    • Ne pas mentir, représenter faussement quelque chose ou quelqu'un, ou prétendre être quelqu'un d'autre.
    • Faire preuve de politesse et de respect lorsque vous communiquez ou interagissez avec les autres.
    • Respecter notre Politique de non-discrimination et ne pas discriminer ou harceler les autres.
  • Ne pas endommager, pirater, faire de l'ingénierie inverse (« reverse engineering »), compromettre ou altérer la plateforme Airbnb
    • Ne pas utiliser des robots, crawlers, scrapers ou autres moyens automatisés pour accéder à des données ou autre Contenu ou les récupérer sur la plateforme Airbnb ou pour interagir avec cette dernière.
    • Ne pas pirater, contourner, supprimer, altérer ou tenter de circonvenir toute mesure de sécurité ou technologique utilisée pour protéger la plateforme ou le Contenu Airbnb.
    • Ne pas déchiffrer, décompiler, désassembler ou faire de l'ingénierie inverse des logiciels ou du matériel utilisés pour fournir la plateforme Airbnb.
    • Ne pas entreprendre d'action qui pourrait perturber ou nuire à la performance ou au bon fonctionnement de la plateforme Airbnb.
  • Ne pas utiliser la plateforme Airbnb en dehors du cadre des présentes Conditions ou de tout autre contrat établi avec Airbnb
    • Vous ne pouvez utiliser les informations personnelles d'un autre Membre que dans la mesure du nécessaire pour faciliter une transaction utilisant la plateforme Airbnb, comme autorisé par les présentes Conditions.
    • Ne pas utiliser la plateforme Airbnb, nos outils de messagerie ou les informations personnelles des Membres pour envoyer des messages commerciaux sans le consentement explicite du destinataire.
    • Utiliser le Contenu mis à disposition par la plateforme Airbnb uniquement si cela est nécessaire pour vous permettre d'utiliser la plateforme Airbnb en tant que Voyageur ou Hôte.
    • Ne pas utiliser le Contenu sauf si vous disposez de la permission du propriétaire du Contenu ou si l'utilisation est autorisée par nous dans ces conditions ou dans un autre contrat que vous avez établi avec Airbnb.
    • Ne pas demander, effectuer ou accepter une Réservation ou un Versement en dehors de la plateforme Airbnb pour éviter de payer des frais, des taxes ou pour toute autre raison. Consultez notre politique qui régit les frais perçus en personne pour connaître les exceptions.
    • Ne pas obliger ou encourager les Voyageurs à ouvrir un compte, laisser un commentaire ou interagir de toute autre manière avec un site web, une application ou un service tiers avant, pendant ou après une réservation, sauf autorisation d'Airbnb.
    • Ne pas tenter de manipuler notre algorithme de recherche.
    • Ne pas réserver de Services d'hôte à moins que vous n'utilisiez effectivement ces services.
    • Ne pas utiliser, copier, afficher ou encadrer la plateforme Airbnb, tout Contenu, toute marque Airbnb, ou toute mise en page ou conception sans notre consentement.
  • Respecter vos obligations légales
    • Comprendre et respecter les lois qui s'appliquent à vous, y compris les lois sur la vie privée, la protection des données et l'exportation.
    • Si vous nous fournissez les informations personnelles relatives à une autre personne : (i) vous devez le faire dans le respect du droit applicable, (ii) vous devez être autorisé à le faire, et (iii) vous nous autorisez à traiter ces informations dans le cadre de notre Politique de confidentialité.
    • Lire et respecter les présentes Conditions ainsi que nos Conditions juridiques additionnelles, Politiques et Normes.
    • Ne pas organiser ou faciliter des fêtes ou des événements non autorisés. Vous êtes responsable de toute fête ou événement pendant votre réservation qui enfreint notre Politique en matière de respect du voisinage, telle qu'incorporée par référence aux présentes.
    • Ne pas utiliser le nom, le logo, la marque ou les marques déposées d'Airbnb ou d'autres personnes sans autorisation, et uniquement comme indiqué dans nos Consignes relatives aux marques.
    • Ne pas utiliser ou enregistrer un nom de domaine, un identifiant de réseau social, un nom commercial, une marque, un logo ou tout autre identifiant de source qui pourrait être confondu avec la marque Airbnb.
    • Ne pas proposer de Services d'hôte qui enfreignent les lois ou les contrats qui vous concernent.
    • Ne pas offrir ou solliciter de services de prostitution, ni participer à la traite des êtres humains ou la faciliter.

12.2 Signalement d'une infraction. Si vous pensez qu'un Membre, une Annonce ou un Contenu présente un risque imminent de dommage pour une personne ou un logement, vous devez immédiatement contacter les autorités locales avant de contacter Airbnb. En outre, si vous pensez qu'un Membre, une Annonce ou un Contenu constitue un manquement à nos Normes, vous devez faire part de vos préoccupations à Airbnb. Si vous avez signalé un problème aux autorités locales, Airbnb peut demander une copie de ce signalement. Sauf si la loi l'exige, nous ne sommes pas tenus de prendre des mesures en réponse à un signalement.

12.3 Notifications du droit d'auteur. Si vous pensez qu'un Contenu de la plateforme Airbnb viole des droits d'auteur, veuillez nous en informer conformément à notre Politique relative au droit d'auteur.

13. Résiliation, suspension et autres mesures.

13.1 Durée. Le contrat entre vous et Airbnb reflété par ces Conditions reste en vigueur jusqu'à ce que vous ou nous résilions le contrat conformément à ces Conditions.

13.2 Résiliation. Vous pouvez résilier le présent contrat à tout moment en nous envoyant un e-mail ou en supprimant votre compte. Airbnb peut résilier ce contrat pour toute raison en vous donnant un préavis de 30 jours par e-mail ou en utilisant toute autre coordonnée que vous avez fournie pour votre compte. Airbnb peut également résilier ce contrat immédiatement et sans préavis et cesser de fournir l'accès à la plateforme Airbnb si (i) vous violez matériellement ces Conditions ou nos Conditions juridiques additionnelles ou nos Politiques, si (ii) vous violez les lois applicables, ou si (iii) une telle action est nécessaire pour protéger la sécurité personnelle ou la propriété d'Airbnb, de ses Membres ou de tiers (par exemple, dans le cas d'un comportement frauduleux d'un Membre), ou si (iv) votre compte est inactif depuis plus de deux ans.

13.3 Infractions commises par un Membre. Si (i) vous violez ces Conditions, nos Conditions juridiques additionnelles, nos Politiques ou nos Normes, si (ii) vous violez les lois applicables, les règlements ou les droits des tiers, si (iii) vous avez reçu à plusieurs reprises de mauvais commentaires ou si Airbnb prend connaissance ou a reçu des plaintes concernant votre performance ou votre conduite, si (iv) vous avez annulé à plusieurs reprises des réservations confirmées ou si vous n'avez pas répondu aux demandes de réservation sans raison valable, ou si (v) une telle action est nécessaire pour protéger la sécurité personnelle ou la propriété d'Airbnb, de ses Membres ou de tiers, Airbnb peut :

  • suspendre ou limiter votre accès à la plateforme Airbnb ou à votre compte ou son utilisation ;
  • suspendre ou supprimer les Annonces, les Commentaires ou tout autre Contenu ;
  • annuler des réservations en cours ou confirmées ; ou
  • suspendre ou révoquer tout statut spécial associé à votre compte.

En cas d'infractions mineures ou s'il y a lieu, vous serez informé de toute mesure envisagée par Airbnb et aurez la possibilité de remédier au problème, sauf si cette notification (i) éviterait ou empêcherait la détection ou la prévention de la fraude ou d'autres activités illégales en cause, (ii) porterait préjudice aux intérêts légitimes d'autres Membres ou de tiers, ou (iii) violerait les lois applicables.

13.4 Mandats légaux. Airbnb peut prendre toute mesure qu'il juge raisonnablement nécessaire pour se conformer à la loi applicable, ou à une décision d'un tribunal, ou de toute autre autorité judiciaire, administrative ou de police dûment habilitée, y compris les mesures décrites ci-dessus dans l'article 13.3.

13.5 Effet de la résiliation. Si vous êtes Hôte et résiliez votre compte Airbnb, toutes les réservations confirmées seront automatiquement annulées et vos Voyageurs recevront un remboursement intégral. Si vous supprimez votre compte Airbnb en tant que Voyageur, toutes les réservations confirmées seront automatiquement annulées et le remboursement éventuel dépendra des conditions d'annulation de l'Annonce. En cas de résiliation de ce contrat, vous n'avez pas droit à une restauration de votre compte ou de votre Contenu. Si votre accès à la plateforme Airbnb ou son utilisation a été limité, si votre compte Airbnb a été suspendu, ou ce contrat a été résilié par nous, vous ne pouvez pas enregistrer un nouveau compte ou accéder à la plateforme ou l'utiliser Airbnb à travers un compte d'un autre Membre.

13.6 Appel. Si Airbnb prend l'une ou l'autre des décisions définies à l'article 13, vous pouvez faire appel de cette décision en contactant notre assistance utilisateurs.

14. Modification des présentes Conditions.

Lorsque nous proposons des modifications aux présentes Conditions, nous publions les conditions mises à jour sur la plateforme Airbnb et actualisons la date de « dernière mise à jour » figurant en haut de la page des présentes Conditions. Nous vous envoyons toutes les modifications importantes par e-mail au minimum trente (30) jours avant leur date d'entrée en vigueur. Si les modifications proposées aux présentes Conditions sont significatives, il vous sera demandé d'accepter explicitement les Conditions révisées. Cet avis vous informera également de votre droit de refuser les modifications proposées, du délai pour le faire et de votre droit de résilier le contrat à tout moment avant la date d'entrée en vigueur des modifications proposées, comme prévu dans les présentes Conditions. En cas (i) de modifications non matérielles des présentes Conditions qui n'affectent pas leurs dispositions essentielles, notamment les dispositions définissant la nature et la portée des services fournis par Airbnb, ou (ii) de modifications exigées par la loi, une décision de justice juridiquement contraignante ou un ordre contraignant d'une autorité compétente, votre utilisation continue de la plateforme Airbnb après la date d'entrée en vigueur des modifications proposées vaudra acceptation des Conditions révisées.

15. Traitement des litiges et des déclarations de sinistres.

15.1 Si un Membre fournit la preuve valable que vous, votre ou vos voyageurs ou votre ou vos animaux de compagnie avez endommagé de manière fautive les biens immobiliers ou personnels du Membre plaignant, ou les biens immobiliers ou personnels dont le Membre plaignant est responsable, y compris les dommages indirects (« Demande d'indemnisation pour dommages »), le Membre plaignant peut informer Airbnb ou demander une indemnisation par le biais du Centre de résolution. La demande d'indemnisation pour dommages vous sera notifiée et vous aurez la possibilité de répondre. Si vous acceptez de payer, vous autorisez Airbnb par l'intermédiaire d'Airbnb Payments à percevoir le montant de la Demande d'indemnisation pour dommages auprès de vous.

15.2 Si l'Hôte et le Voyageur ne parviennent pas à trouver une résolution, ou si un Voyageur ne paie pas une Demande d'indemnisation pour dommages, l'Hôte peut en informer Airbnb dans le Centre de résolution conformément aux Conditions de la Garantie dommages des hôtes et demander une indemnisation. Airbnb examinera la Demande d'indemnisation pour dommages et demandera à l'Hôte de fournir toute preuve requise (par exemple par le biais de documents appropriés, de photos, de factures ou de rapports d'experts tiers) justifiant la Demande d'indemnisation pour dommages et le montant de la Demande d'indemnisation pour dommages. Le Voyageur aura la possibilité de répondre et de fournir toute contre-preuve pertinente. Si Airbnb détermine, en tenant compte des preuves fournies, des Conditions de la Garantie dommages des hôtes et des règles légales applicables en matière de charge de la preuve, que le Voyageur est responsable de la Demande d'indemnisation pour dommages, Airbnb (par l'intermédiaire d'Airbnb Payments) versera la Demande d'indemnisation pour dommages à l'Hôte. Si Airbnb procède au paiement de la Demande d'indemnisation pour dommages à l'Hôte, Airbnb peut percevoir le montant de la Demande d'indemnisation pour dommages auprès du Voyageur, y compris en débitant le Mode de paiement du voyageur jusqu'à un montant maximum de 500 dollars américains. Airbnb peut également exercer ses droits de demandes de recouvrement des montants des Demande d'indemnisation pour dommages, y compris les montants dépassant le montant maximum applicable pour le débit du Mode de paiement du Voyageur, contre un Voyageur en utilisant tous les recours dont il peut disposer en vertu de la loi applicable, y compris le renvoi de l'affaire à une agence de recouvrement, et/ou la poursuite des causes d'action ou des réclamations disponibles contre un Voyageur. Les Membres peuvent faire appel d'une décision d'Airbnb en contactant notre assistance utilisateurs. Entre les Membres et Airbnb, la charge de la preuve concernant la Demande d'indemnisation pour dommages et le montant de la Demande d'indemnisation pour dommages incombe toujours à Airbnb.

15.3 Vous acceptez de coopérer de bonne foi, de fournir toute information demandée par Airbnb, de signer des documents et de prendre d'autres mesures raisonnables en relation avec les Demandes d'indemnisation pour dommages, les plaintes des Membres, les réclamations en vertu des polices d'assurance ou d'autres réclamations liées à votre prestation ou utilisation des Services d'hôte.

15.4 Les décisions prises par Airbnb en lien avec une Demande d'indemnisation pour dommages n'affectent pas vos droits contractuels ou légaux. Cette clause n'affecte pas votre droit d'engager des poursuites judiciaires devant un tribunal.

16. Rôle d'Airbnb.

Nous vous offrons le droit d'utiliser une plateforme permettant aux Membres de publier, d'offrir, de rechercher et de réserver des Services d'hôte. Lorsque des Membres font ou acceptent une réservation, ils concluent un contrat entre eux directement. Airbnb n'est pas et ne devient pas partie à un quelconque contrat passé entre des Membres. Airbnb n'agit pas en qualité de mandataire d'un quelconque Membre, sauf lorsque Airbnb Payments agit en qualité de mandataire de recouvrement comme le prévoient les Conditions de paiement. Bien que nous fassions tout notre possible pour nous assurer que nos Membres vivent d'excellentes expériences avec Airbnb, nous ne contrôlons pas et ne pouvons pas contrôler la conduite des Voyageurs et des Hôtes et nous ne garantissons pas (i) l'existence, la qualité, la sécurité, la pertinence ou la légalité des Annonces ou des Services d'hôte ou (ii) la véracité ou l'exactitude des descriptions des Annonces, des commentaires ou d'autres Contenus fournis par les Membres. Vous reconnaissez qu'Airbnb n'a aucune obligation de surveiller l'utilisation de la plateforme Airbnb et de vérifier les informations fournies par nos Membres, mais a le droit de vérifier le Contenu, désactiver son accès, le supprimer ou le modifier pour : (i) exploiter, sécuriser et améliorer la plateforme Airbnb (y compris pour la prévention des fraudes, l'évaluation des risques, la conduite d'investigations ou encore l'assistance utilisateurs) ; (ii) assurer la conformité des Membres aux présentes Conditions ; (iii) se conformer à la loi applicable ou à la décision d'un tribunal ou d'une autorité judiciaire, administrative ou policière dûment habilitée ; (iv) traiter le Contenu que nous déterminons comme étant nuisible ou répréhensible ; (v) prendre les mesures énoncées dans les présentes Conditions ; et (vi) maintenir et appliquer tout critère de qualité ou d'éligibilité, y compris en supprimant les Annonces qui ne répondent pas aux critères de qualité et d'éligibilité. Lorsque Airbnb supprime ou désactive du Contenu de Membres, Airbnb informe le Membre et lui donne les raisons de cette décision sauf si cette notification (i) empêche ou gêne la découverte d'une fraude ou d'une autre activité illégale, (ii) nuit à l'intérêt légitime des autres Membres ou de tiers, ou (ii) enfreint le droit applicable. Vous pouvez faire appel de cette décision en contactant notre assistance utilisateurs. Les Membres s'engagent à coopérer avec Airbnb et à l'aider en toute bonne foi à fournir à Airbnb les informations requises et à prendre les mesures raisonnables demandées par Airbnb, en lien avec toute enquête menée par Airbnb sur l'utilisation ou l'utilisation abusive de la plateforme Airbnb.

17. Comptes des membres.

Vous devez créer un compte pour accéder à de nombreuses fonctionnalités de la plateforme Airbnb et les utiliser. L'inscription n'est autorisée que pour les personnes morales et les personnes physiques âgées de 18 ans ou plus. Vous déclarez et garantissez que vous n'êtes pas une personne ou une entité interdite d'utiliser la plateforme Airbnb en vertu des lois des États-Unis, de votre adresse de résidence ou de toute autre juridiction pertinente. Vous devez fournir des informations exactes et complètes lors de l'inscription, et tenir à jour les informations relatives à votre compte. Vous ne pouvez pas créer plus d'un compte ou transférer votre compte à quelqu'un d'autre. Il vous appartient de préserver la confidentialité et la sécurité de vos identifiants de compte, et il vous est interdit de divulguer vos identifiants à un quelconque tiers. Vous devez immédiatement informer Airbnb si vous suspectez que vos identifiants ont été perdus, volés, ou que votre compte est autrement compromis. Vous êtes responsable de toutes les activités menées avec votre Compte Airbnb, sauf si vous n'avez pas autorisé ces activités et que vous n'avez pas fait preuve de négligence par ailleurs (par exemple, en ne signalant pas l'utilisation non autorisée ou la perte de vos identifiants). Si la loi applicable le permet, nous pouvons, mais n'avons aucune obligation de (i) vous demander de fournir une pièce d'identité ou d'autres informations, (ii) entreprendre des vérifications destinées à aider à contrôler votre identité ou vos antécédents, (iii) vous comparer à des bases de données de tiers ou à d'autres sources et demander des rapports à des prestataires de services, et (iv) obtenir des rapports des registres publics des condamnations pénales ou des fichiers de délinquants sexuels ou de leurs équivalents locaux.

18. Exclusion de responsabilité.

Nous n'endossons pas ou ne garantissons pas l'existence, la conduite, la performance, la sécurité, la qualité, la légalité ou l'adéquation de tout Voyageur, Hôte, Service Hôte, Annonce ou tiers. La vérification des utilisateurs sur Internet est difficile, et nous ne garantissons pas que les vérifications, les contrôles d'identité ou d'antécédents effectués sur les Membres (le cas échéant) permettront d'identifier les manquements passés ou d'en prévenir de futurs. Toutes les références à un Membre « vérifié » (ou tout terme similaire) signifient uniquement que le Membre ou Airbnb a fait l'objet d'une procédure de vérification ou d'identification appropriée, et rien d'autre. Nous ne sommes pas responsables en cas de pannes ou coupures d'Internet ou des infrastructures de télécommunications qui ne relèvent pas de notre contrôle et qui peuvent conduire à des interruptions de l'accessibilité de la plateforme Airbnb. Airbnb peut, de façon temporaire et en prenant en compte les intérêts légitimes des Membres (par exemple par une notification préalable), limiter la disponibilité de la plateforme Airbnb ou de certaines fonctionnalités de la plateforme Airbnb si cela est nécessaire en raison de capacités limitées, pour préserver la sécurité ou l'intégrité de nos serveurs, ou pour effectuer des opérations de maintenance afin d'assurer le bon fonctionnement ou d'améliorer le fonctionnement de la plateforme Airbnb.

19. Responsabilité.

Airbnb peut être tenu responsable en vertu des dispositions légales applicables en cas de faute intentionnelle et grave commise par nous, nos représentants légaux, administrateurs ou mandataires. Il en va de même pour la prise en charge des garanties ou de toute autre responsabilité de plein droit ou en cas d'atteinte à la vie, à l'intégrité physique ou à la santé. En cas de manquements à des obligations contractuelles commis par nous, nos représentants légaux, administrateurs ou mandataires, la responsabilité d'Airbnb est limitée aux dommages prévisibles typiques pouvant survenir. Les obligations contractuelles sont les obligations d'Airbnb dont vous attendez l'accomplissement pour la bonne exécution du contrat. Toute responsabilité supplémentaire d'Airbnb est exclue. Dans la mesure où la responsabilité d'Airbnb est exclue ou limitée, cela s'applique également en ce qui concerne la responsabilité personnelle de ses représentants légaux, administrateurs, employés et autres agents.

20. Indemnisation.

Dans la mesure maximale permise par la loi applicable, vous acceptez de libérer, défendre (au choix d'Airbnb), indemniser et tenir Airbnb (y compris Airbnb Payments, d'autres filiales et leur personnel) à l'abri de l'ensemble des réclamations, responsabilités, dommages, pertes et dépenses découlant de ou en relation avec : (i) votre violation de ces Conditions (y compris toute condition supplémentaire ou additionnelle qui s'applique à un produit ou une fonctionnalité et qui vous serait présentée avant que vous y accédiez) ou de nos

Conditions juridiques additionnelles, Politiques ou Normes, (ii) votre utilisation inappropriée de la plateforme Airbnb, (iii) votre interaction avec tout Membre, séjour dans un logement, participation à une Expérience ou autre Service d'hôte, y compris, mais sans s'y limiter, tout préjudice, perte ou dommage (compensatoire, direct, accessoire, immatériel ou autre) de toute sorte survenant en relation avec ou à la suite d'une Annonce, d'un séjour, d'une participation ou d'une utilisation de ce type, (iv) votre manquement, ou notre manquement à vos instructions, à déclarer, collecter ou remettre avec précision les taxes, ou (v) votre violation de toute loi ou de tout règlement ou droit de tiers tels que les droits de propriété intellectuelle ou de confidentialité. La présente obligation d'indemnisation ne s'applique que si, et dans la mesure où, les réclamations, responsabilités, dommages, pertes et dépenses ont été effectivement causés par votre manquement fautif à une obligation contractuelle.

21. Entités contractantes.

En fonction de votre pays de résidence ou d'établissement et de votre activité sur la plateforme Airbnb, l'annexe 1 ci-dessous indique l'entité juridique d'Airbnb avec laquelle vous concluez un contrat. Si nous identifions par le biais de la plateforme Airbnb qu'une entité Airbnb autre que celle figurant sur l'annexe 1 est responsable d'un produit, d'une fonctionnalité ou d'une transaction, l'entité Airbnb ainsi identifiée est votre entité contractante en ce qui concerne ce produit, cette fonctionnalité ou cette transaction. Si vous changez de pays de résidence ou d'établissement pour un pays situé en dehors de l'EEE, de la Suisse ou du Royaume-Uni, l'entité Airbnb avec laquelle vous concluez un contrat et la version applicable des Conditions de service seront déterminées par votre nouveau pays de résidence ou d'établissement, à partir de la date effective du changement.

22. Droit applicable et juridiction compétente.

Les présentes Conditions sont régies et interprétées conformément au droit irlandais. Si vous agissez en tant que consommateur ou consommatrice et si la réglementation légale impérative de protection des consommateurs et consommatrices de votre pays de résidence contient des dispositions qui sont plus avantageuses pour vous, ces dispositions s'appliquent indépendamment du choix du droit irlandais. En tant que consommateur ou consommatrice, vous pouvez engager toute poursuite judiciaire relative aux présentes Conditions devant le tribunal compétent de votre lieu de résidence ou le tribunal compétent du lieu d'établissement d'Airbnb en Irlande. Si Airbnb souhaite faire valoir ses droits à votre encontre en tant que consommateur ou consommatrice, nous ne pourrons le faire que dans les tribunaux de la juridiction dont vous dépendez. 23. Divers.

23.1 Autres conditions incorporées par référence. Les Garantie dommages des hôtes, Conditions de l'Assurance Hôte Japon, Politique de remplacement d'hébergement et de remboursement, Politique de remboursement des voyageurs pour les expériences, Politique d'Airbnb en matière de contenus, Politique de non-discrimination, Politique relative aux cas de force majeure, Conditions juridiques supplémentaires, Politiques, Normes et autres politiques et conditions supplémentaires liées à ces Conditions s'appliquent à votre utilisation de la plateforme Airbnb, sont incorporés par référence, et font partie intégrante de votre contrat avec Airbnb.

23.2 Interprétation des présentes Conditions. Sauf si elles peuvent être complétées par des conditions supplémentaires, conditions, politiques, directives, normes et divulgations de produits, ces Conditions constituent le contrat intégral entre Airbnb et vous concernant votre accès ou utilisation de la plateforme Airbnb et remplacent tous les contrats ou accords antérieurs, oraux ou écrits, entre Airbnb et vous. Ces Conditions ne confèrent pas et ne sont pas destinées à conférer des droits ou des recours à toute personne autre que vous et Airbnb. Si une disposition des présentes Conditions est jugée invalide ou inapplicable, sauf indication contraire dans l'article 24.11 ci-dessous, cette disposition sera supprimée et n'affectera pas la validité et l'applicabilité des autres dispositions.

23.3 Absence de renonciation. Le manquement d'Airbnb à faire appliquer tout droit ou toute disposition des présentes Conditions ne constituera pas une renonciation audit droit ou à ladite disposition sauf si nous le reconnaissons et le convenons par écrit. Sauf stipulation expresse contraire des présentes Conditions, l'exercice par l'une ou l'autre des parties d'un quelconque recours à sa disposition en vertu des présentes Conditions sera sans préjudice des autres recours dont elle dispose en vertu des présentes Conditions ou de la loi.

23.4 Cession. Vous ne pouvez pas céder, transférer ou déléguer ce contrat ou vos droits et obligations en vertu des présentes Conditions sans le consentement écrit préalable d'Airbnb. Airbnb peut, sans restriction et à son entière discrétion, céder, transférer ou déléguer le présent contrat et de quelconques droits et obligations au titre des présentes moyennant un préavis de 30 jours. Votre retenez le droit de résilier les Conditions à tout moment conformément à l'article 13.2.

23.5 Préavis. Sauf mention contraire, toutes les notifications ou autres communications autorisées ou requises par les présentes, et destinées aux Membres, devront être effectuées électroniquement et remises par Airbnb par e-mail, par notification sur la plateforme Airbnb ou par service de messagerie (y compris par SMS et WeChat), ou tout autre moyen de contact que nous vous fournissons. Si une notification concerne une réservation au Japon, vous acceptez et reconnaissez que ces notifications par voie électronique au lieu d'une déclaration écrite, satisfont aux obligations d'Airbnb en vertu de l'article 59 (1) de la loi japonaise sur les entreprises d'hébergement (« Japanese Housing Accommodation Business Act »).

23.6 Services de tiers. 23.7 Conditions générales de Google. Certaines traductions sur la plateforme Airbnb sont fournies par Google. Google décline toute garantie relative aux traductions, explicites ou implicites, y compris toute garantie d'exactitude, de fiabilité et toute garantie implicite de qualité marchande, d'adéquation à un usage particulier et de non-contrefaçon. Certaines parties de la plateforme Airbnb utilisent les services de cartographie Google Maps/Google Earth, y compris les API Google Maps. Votre utilisation de Google Maps/Earth est soumise aux conditions d'utilisation supplémentaires de Google Maps/Google Earth.

24. Résolution des litiges et convention d'arbitrage aux États-Unis.

24.1 Application. La présente convention d'arbitrage ne s'applique à vous que si les États-Unis sont votre pays de résidence ou d'établissement. Si votre pays de résidence ou d'établissement n'est pas les États-Unis, et que vous tentez néanmoins de poursuivre une action en justice contre Airbnb aux États-Unis, la présente Convention d'arbitrage s'applique pour déterminer le seuil à partir duquel le présent article 24 s'applique à vous, et toutes les autres déterminations de seuil, y compris la résidence, la possibilité d'arbitrage, le lieu et la loi applicable.

24.2 Vue d'ensemble du processus de résolution des litiges. Airbnb s'engage à résoudre les litiges de façon optimale pour les consommateurs et consommatrices. À cette fin, les présentes Conditions prévoient un processus en deux parties pour les personnes auxquelles s'applique le présent article 24 : (1) une négociation informelle directement avec l'équipe de l'assistance utilisateurs Airbnb (décrite au paragraphe 24.3, ci-dessous), et si nécessaire (2) un arbitrage obligatoire administré par l'American Arbitration Association (« AAA »). Vous et Airbnb conservez chacun le droit de chercher à résoudre le litige devant un tribunal acceptant les actions en recouvrement de petites créances comme alternative à l'arbitrage.

24.3 Résolution des litiges avant arbitrage et notification. Au moins 30 jours avant d'initier une procédure d'arbitrage, vous et Airbnb vous engagez chacun à notifier par écrit le litige à l'autre partie et à tenter de bonne foi de négocier une résolution informelle du litige. Vous devez envoyer votre avis de litige à Airbnb en l'adressant par courrier à l'agent d'Airbnb pour notification : CSC Lawyers Incorporating Service, 2710 Gateway Oaks Drive, Suite 150N, Sacramento, CA 95833, États-Unis. Airbnb enverra son avis de litige à l'adresse e-mail associée à votre compte Airbnb. Un avis de litige doit comprendre : le nom de la partie et ses coordonnées, une brève description du litige et la mesure demandée. Si les parties ne parviennent pas à résoudre le litige dans le délai de 30 jours, alors seulement l'une ou l'autre des parties peut entamer une procédure d'arbitrage en déposant une demande d'arbitrage écrite (disponible sur www.adr.org) auprès de l'AAA et en fournissant une copie à l'autre partie comme le prévoit le règlement de l'AAA (disponible sur www.adr.org).

24.4 Convention d'arbitrage. Vous et Airbnb acceptez mutuellement que tout litige, réclamation ou différend lié directement ou indirectement à ces conditions, ou à l'applicabilité, la violation, la résiliation, la validité, l'application ou l'interprétation de celles-ci, ou à toute utilisation de la plateforme Airbnb, des services d'hôte ou de tout contenu (collectivement, « Litiges ») sera réglé par voie d'arbitrage individuel contraignant (la « Convention d'arbitrage »). Si un litige existe pour savoir si ladite Convention d'arbitrage peut être appliquée ou s'applique à votre Litige, Airbnb et vous convenez que l'arbitre décidera de ce problème.

24.5 Exceptions à la Convention d'arbitrage. Vous et Airbnb acceptez chacun que les réclamations et/ou causes d'action suivantes sont des exceptions à la Convention d'arbitrage et seront introduites dans une procédure judiciaire devant un tribunal compétent (tel que défini par l'article 22 des Conditions de service pour les utilisateurs non européens) : (i) toute réclamation ou cause d'action alléguant une contrefaçon, un détournement ou une violation réels ou menacés des droits d'auteur, marques, secrets commerciaux, brevets ou autres droits de propriété intellectuelle d'une partie ; (ii) toute réclamation ou cause d'action demandant une mesure injonctive d'urgence basée sur des circonstances urgentes (par exemple, danger imminent ou commission d'un crime, d'un piratage, d'une cyberattaque) ; ou (iii) une demande de réparation d'une mesure injonctive publique ; ou (iv) toute réclamation individuelle d'agression sexuelle ou de harcèlement sexuel découlant de votre utilisation de la plateforme Airbnb ou des Services d'hôte. Vous et Airbnb convenez que la mesure injonctive publique se forme après la Convention d'arbitrage de l'ensemble des réclamations, recours ou causes d'action arbitrables, et sera suspendue en attendant le résultat de l'arbitrage conformément à l'article 3 de la Loi fédérale d'arbitrage.

24.6 Règlement d'arbitrage et droit applicable. Cette Convention d'arbitrage atteste d'une transaction de commerce entre États, et la Loi fédérale d'arbitrage régit l'interprétation et l'application de cette disposition sur le fond et la procédure. L'arbitrage sera administré par l'arbitre conformément au règlement d'arbitrage pour les litiges avec les consommateurs et consommatrices et/ou d'autres règlements d'arbitrage AAA considérés comme étant applicable par l'AAA (le « Règlement de l'AAA ») en vigueur, et tels que modifiés par les présentes. Le Règlement de l'AAA est disponible sur www.adr.org. Pour initier une procédure d'arbitrage, une réclamation écrite complétée (disponible sur www.adr.org) doit être déposée auprès de l'AAA et fournie à l'autre partie, comme le prévoit le Règlement de l'AAA.

24.7 Modification du Règlement de l'AAA - Audience/Lieu de l'arbitrage. Pour que l'arbitrage soit le plus commode possible pour vous, Airbnb accepte que toute audience arbitrale requise soit conduite, selon votre choix, (a) dans le comté américain où vous résidez ; (b) dans le comté de San Francisco ; (c) par téléphone ou vidéoconférence. Si le montant en jeu du litige est de 5 000 dollars américains ou moins, les parties conviennent de procéder uniquement par remise de documents à l'arbitre.

24.8 Modification du Règlement de l'AAA - Honoraires et frais d'avocat. Vos frais d'arbitrage et votre part de la rémunération de l'arbitre sont régis par le Règlement de l'AAA. Chaque partie peut demander à l'arbitre de condamner l'autre partie à payer les honoraires et frais d'avocat en prouvant que celle-ci a fait valoir une demande, une demande reconventionnelle ou une défense non fondée en fait ou en droit, présentée de mauvaise foi ou dans un but de harcèlement, ou qui est autrement frivole, comme le permettent le droit applicable et le Règlement de l'AAA.

24.9 Décision de l'arbitre. La décision de l'arbitre inclura les constatations et conclusions essentielles sur lesquelles se fonde la sentence. Le jugement de la décision arbitrale pourra être rendu par tout tribunal compétent. L'arbitre peut accorder toute réparation autorisée par la loi ou le Règlement de l'AAA, mais les mesures déclaratoires ou injonctives ne peuvent être accordées qu'au cas par cas et uniquement dans la mesure où elles sont nécessaires pour apporter une réparation justifiée par la demande individuelle du demandeur.

24.10 Renonciation au procès devant jury. Vous et Airbnb reconnaissez et convenez de renoncer tous deux au droit à un procès devant un jury s'agissant de l'ensemble des Litiges pouvant être résolus par arbitrage.

24.11 Renonciation aux actions collectives ou recours collectifs. Dans les limites les plus étendues autorisées par la loi, vous et Airbnb reconnaissez et convenez que chacun renonce au droit de participer en tant que plaignant ou en tant que simple membre du groupe à un recours collectif ou à une action collective, un arbitrage collectif, un recours privé devant le procureur général ou toute autre procédure représentative ou consolidée. Sauf accord écrit, l'arbitre ne pourra pas regrouper les plaintes de plus d'une partie et ne pourra pas accepter d'arbitrer une action collective ou un recours collectif de quelque nature que ce soit. Dans le cas d'une décision judiciaire finale selon laquelle la loi applicable empêche l'application de la renonciation contenue dans ce paragraphe pour les réclamations, les motifs de recours ou les réparations demandées, alors cette réclamation, ce motif de recours ou cette réparation demandée, et seulement cette réclamation, ce motif de recours ou cette réparation demandée, sera séparé de cette convention d'arbitrage et sera porté devant un tribunal compétent. Dans le cas où une réclamation, un motif de recours ou une réparation demandée est supprimé conformément à ce paragraphe, vous et nous convenons que les réclamations, les motifs de recours ou les réparations demandées qui ne sont pas soumis à une convention d'arbitrage seront suspendus jusqu'à ce que les réclamations, les motifs de recours et les réparations demandées arbitrables soient résolus par l'arbitre.

24.12 Divisibilité. Sauf dans les cas prévus à l'article 24.11, si une partie de la présente Convention d'arbitrage est jugée illégale ou inapplicable, cette disposition sera supprimée et le reste de la convention d'arbitrage sera pleinement applicable.

24.13 Modifications à la Convention d'arbitrage. Si Airbnb modifie cet article 24 après la date à laquelle vous avez accepté ces Conditions (ou accepté tout changement ultérieur de ces Conditions), vous pouvez rejeter ce changement en nous envoyant une notification écrite (y compris par e-mail) dans les 30 jours à compter de la date d'entrée en vigueur du changement. Toutefois, refuser une nouvelle modification ne révoquera ni ne modifiera votre consentement antérieur à tout contrat précédemment conclu d'arbitrer tout Litige entre vous et Airbnb (ou votre consentement antérieur à toute modification ultérieure de ce contrat), qui restera applicable à tout Litige entre vous et Airbnb.

24.14 Survie. Sauf tel que prévu par l'article 24.12 et sous réserve de l'article 13.6 des Conditions de service pour les utilisateurs non européens, cet article 24 survivra à toute résiliation des présentes Conditions et continuera à s'appliquer même si vous cessez d'utiliser la plateforme Airbnb ou résiliez votre compte Airbnb.

Conditions supplémentaires applicables aux utilisateurs professionnels

Si vous êtes un utilisateur professionnel tel que défini à l'article 25 des présentes Conditions, vous serez soumis aux conditions supplémentaires suivantes :

25. Utilisateurs professionnels.

Vous êtes un « Utilisateur professionnel » aux fins des présentes Conditions si, (i) votre lieu de résidence ou d'établissement se trouve dans l'EEE ou au Royaume-Uni, (ii) vous répondez pleinement à la définition d'un Utilisateur professionnel énoncée à l'article 2 (1) du règlement (UE) 2019/1150 promouvant l'équité et la transparence pour les entreprises utilisatrices de services d'intermédiation en ligne (« Règlement P2B »), et (iii) vous avez notifié Airbnb que vous êtes un Utilisateur professionnel en ajoutant vos coordonnées professionnelles à votre compte Airbnb. Vous êtes responsable de garder les informations de votre entreprise exactes et à jour.

26. Résiliation, suspension et autres mesures.

Si nous prenons l'une des mesures prévues aux articles 13.2 et 13.3, vous aurez la possibilité d'apporter des précisions sur les faits et les circonstances qui ont mené à une telle mesure dans le cadre de notre processus interne de traitement des réclamations, tel que décrit à l'article 27.

27. Traitement des réclamations et médiation.

Nous voulons être transparents sur la façon dont nous traitons les réclamations et nous souhaitons traiter tous les Utilisateurs professionnels équitablement. Notre Centre d'aide explique comment vous pouvez accéder à notre système interne de traitement des réclamations, et ce à quoi vous pouvez vous attendre en tant qu'Utilisateur professionnel lorsque vous déposez une réclamation sur des questions relevant de l'article 11 (1) du Règlement P2B. Il énonce également les détails du service de médiation que vous pouvez utiliser si une telle réclamation n'est pas traitée de manière satisfaisante.

28. Accès aux données.

Les Utilisateurs professionnels ont accès aux données personnelles et autres dans leur compte Airbnb et leur tableau de bord d'Hôte, lesquelles sont fournies par l'Utilisateur professionnel, ses Voyageurs ou générées par l'utilisation de la plateforme Airbnb, et sont nécessaires à la fourniture de leurs Services d'hôte, ainsi que pour obtenir des informations agrégées sur les recherches, les réservations et les performances de leurs Annonces. Notre Politique de confidentialité définit les catégories de données personnelles et les autres types de données que nous collectons, la façon dont nous les utilisons, les traitons, les divulguons et les conservons, et comment vous pouvez y accéder et exercer vos droits en matière de protection des données.

29. Canaux de distribution supplémentaires.

Airbnb propose un programme d'affiliation qui permet de faire figurer les Annonces sur des sites web tiers, tels que des sites de voyage en ligne, des médias, des programmes de fidélité et des comparateurs de recherche. Les Annonces peuvent également apparaître dans des publicités pour Airbnb publiées parfois sur des sites web tiers.

These Terms of Service (“Terms”) are a binding legal agreement between you and Airbnb that govern your right to use the websites, applications, and other offerings from Airbnb (collectively, the “Airbnb Platform”). When used in these Terms, “Airbnb,” “we,” “us,” or “our” refers to the Airbnb entity set out on Schedule 1 with whom you are contracting.

The Airbnb Platform offers an online venue that enables users (“Members”) to publish, offer, search for, and book services. Members who publish and offer services are “Hosts” and Members who search for, book, or use services are “Guests.” Hosts offer accommodations (“Accommodations”), activities, excursions, and events (“Experiences”), and a variety of travel and other services (collectively, “Host Services,” and each Host Service offering, a “Listing”). You must register an account to access and use many features of the Airbnb Platform, and must keep your account information accurate. As the provider of the Airbnb Platform, Airbnb does not own, control, offer or manage any Listings or Host Services. Airbnb is not a party to the contracts entered into directly between Hosts and Guests, nor is Airbnb a real estate broker, travel agency, or insurer. Airbnb is not acting as an agent in any capacity for any Member, except as specified in the Payments Terms of Service (“Payment Terms”). To learn more about Airbnb’s role see Section 16.

We maintain other terms and policies that supplement these Terms like our Privacy Policy, which describes our collection and use of personal data, and our Payments Terms, which govern any payment services provided to Members by the Airbnb payment entities (collectively "Airbnb Payments").

If you are a Host, you are responsible for understanding and complying with all laws, rules, regulations and contracts with third parties that apply to your Host Services.

Our mission is to create a world where you can belong anywhere. From cabins to castles to cooking classes, browse through millions of Listings to find the ones that fit the way you like to travel. Learn more about a Listing by reviewing the description and photos, the Host profile, and Guest reviews. If you have questions, just message the Host.

2. Searching and Booking on Airbnb.

2.1 Searching. You can search for Host Services by using criteria like the type of Host Service, travel destination, travel dates, and number of guests. You can also use filters to refine your search results. Search results are based on their relevance to your search and other criteria. Relevance considers factors like price, availability, Reviews, customer service and cancellation history, popularity, previous trips and saved Listings, Host requirements (e.g. minimum or maximum nights), and more. 2.2 Booking. When you book a Listing, you are agreeing to pay all charges for your booking including the Listing price, applicable fees like Airbnb’s service fee, offline fees, taxes, and any other items identified during checkout (collectively, “Total Price”). You are also agreeing that Airbnb via Airbnb Payments may charge the Payment Method (as defined in the Payment Terms) used to book the Listing in order to collect Damage Claim (as defined in Section 15) amounts. When you receive the booking confirmation, a contract for Host Services (a "Reservation") is formed directly between you and the Host. In addition to these Terms, you will be subject to, and responsible for complying with, all terms of the Reservation, including without limitation, the cancellation policy and any other rules, standards, policies, or requirements identified in the Listing or during checkout that apply to the Reservation. It is your responsibility to read and understand these rules, standards, policies, and requirements prior to booking a Listing.Be aware that some Hosts work with a co-host or as part of a team to provide their Host Services.

2.3 Accommodation Reservations. An Accommodation Reservation is a limited license to enter, occupy, and use the Accommodation. The Host retains the right to re-enter the Accommodation during your stay, to the extent: (i) it is reasonably necessary, (ii) permitted by your contract with the Host, and (iii) consistent with applicable law. If you stay past checkout, the Host has the right to make you leave in a manner consistent with applicable law, including by imposing reasonable overstay penalties. You may not exceed the maximum number of allowed Guests.

2.4 Reservations for Experiences and Other Host Services. An Experience or other Host Service Reservation entitles you to participate in, attend, or use that Host Service. You are responsible for confirming that you, and anyone you invite, meet minimum age, proficiency, fitness, or other requirements. You are responsible for informing the Host of any medical or physical conditions, or other circumstances that may impact your ability to participate, attend, or use the Host Service. Except where expressly authorized, you may not allow any person to join a Host Service unless they are included as an additional guest during the booking process.

3. Cancellations, Travel Issues, Refunds and Booking Modifications.

3.1 Cancellations, Travel Issues, and Refunds. In general, if as a Guest you cancel a Reservation, the amount refunded to you is determined by the cancellation policy that applies to that Reservation. But, in certain situations, other policies take precedence and determine what amount is refunded to you. If something outside your control forces you to cancel a Reservation, you may be eligible for a partial or full refund under our Extenuating Circumstances Policy. If the Host cancels, or you experience a Travel Issue (as defined in our Guest Refund Policy), you may be eligible for rebooking assistance or a partial or full refund under the Guest Refund Policy. Different policies apply to certain categories of Listings; for example Experiences Reservations are governed by the Experiences Guest Refund Policy. See each Additional Legal Term or Policy for details about what is covered, and what refund applies in each situation.

3.2 Booking Modifications. Guests and Hosts are responsible for any booking modifications they agree to make via the Airbnb Platform or direct Airbnb customer service to make on their behalf ("Booking Modifications"), and agree to pay any additional amounts, fees, or taxes associated with any Booking Modification.

4. Your Responsibilities and Assumption of Risk.

4.1 Your Responsibilities. You are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you invite to join or provide access to any Accommodation, Experience or other Host Service. For example, this means: (i) you are responsible for leaving an Accommodation (and related personal property) in the condition it was in when you arrived, (ii) you are responsible for paying all reasonable Damage Claim amounts necessary to cover damage that you, your guest(s), or your pet(s) cause to an Accommodation, and (iii) you must act with integrity, treat others with respect, and comply with applicable laws at all times. If you are booking for an additional guest who is a minor or if you bring a minor to a Host Service, you must be legally authorized to act on behalf of the minor and you are solely responsible for the supervision of that minor.

4.2 Your Assumption of Risk. You acknowledge that many activities carry inherent risks and agree that, to the maximum extent permitted by applicable law, you assume the entire risk arising out of your access to and use of the Airbnb Platform and any Content (as defined in Section 10), including your stay at any Accommodation, participation in any Experience, use of any other Host Service, or any other interaction you have with other Members whether in person or online. This means it is your responsibility to investigate a Host Service to determine whether it is suitable for you. For example, Host Services may carry risk of illness, bodily injury, disability, or death, and you freely and willfully assume those risks by choosing to participate in those Host Services.

Host Terms

5. Hosting on Airbnb.

5.1 Host. As a Host, Airbnb offers you the right to use the Airbnb Platform to share your Accommodation, Experience, or other Host Service with our vibrant community of Guests - and earn money doing it. It’s easy to create a Listing and you are in control of how you host - set your price, availability, and rules for each Listing.

5.2 Contracting with Guests. When you accept a booking request, or receive a booking confirmation through the Airbnb Platform, you are entering into a contract directly with the Guest, and are responsible for delivering your Host Service under the terms and at the price specified in your Listing. You are also agreeing to pay applicable fees like Airbnb’s service fee (and applicable taxes) for each booking. Airbnb Payments will deduct amounts you owe from your payout unless we and you agree to a different method. Any terms, policies or conditions that you include in any supplemental contract with Guests must: (i) be consistent with these Terms, our Additional Legal Terms, Policies, and the information provided in your Listing, and (ii) be prominently disclosed in your Listing description.

5.3 Independence of Hosts. Your relationship with Airbnb is that of an independent individual or entity and not an employee, agent, joint venturer, or partner of Airbnb, except that Airbnb Payments acts as a payment collection agent as described in the Payments Terms. Airbnb does not direct or control your Host Service, and you agree that you have complete discretion whether and when to provide Host Services, and at what price and on what terms to offer them.

6. Managing Your Listing.

6.1 Creating and Managing Your Listing. The Airbnb Platform provides tools that make it easy for you to set up and manage a Listing. Your Listing must include complete and accurate information about your Host Service, your price, other charges like cleaning fees, resort fees, offline fees, and any rules or requirements that apply to your Guests or Listing. You are responsible for keeping your Listing information (including calendar availability) and content (like photos) up-to-date and accurate at all times. We recommend that you obtain appropriate insurance for your Host Services and suggest you carefully review policy terms and conditions including coverage details and exclusions. You may only maintain one Listing per Accommodation, but may have multiple Listings for a single property if it has multiple places to stay. Any offer of an Experience is subject to our Additional Terms for Experience Hosts.

6.2 Know Your Legal Obligations. You are responsible for understanding and complying with any laws, rules, regulations, and contracts with third parties that apply to your Listing or Host Services. For example: Some landlords and leases, or homeowner and condominium association rules, restrict or prohibit subletting, short-term rentals and/or longer-term stays. Some cities have zoning or other laws that restrict the short-term rental of residential properties. Some jurisdictions require Hosts to register, get a permit, or obtain a license before providing certain Host Services (such as short-term rentals, longer-term stays, preparing food, serving alcohol for sale, guiding tours, or operating a vehicle). In some places, the Host Services you want to offer may be prohibited altogether. Some jurisdictions require that you register Guests who stay at your Accommodation. Some jurisdictions have laws that create tenancy rights for Guests and additional obligations for Hosts. For example, some places have landlord-tenant, rent control, and eviction laws that may apply to longer stays. Check your local rules to learn what rules apply to the Host Services you plan to offer. Information we provide regarding legal requirements is for informational purposes only and you should independently confirm your obligations. You are responsible for handling and using personal data of Guests and others in compliance with applicable privacy laws and these Terms, including our Host Privacy Standards. If you have questions about how local laws apply you should always seek legal advice.

6.3 Search Ranking. The ranking of Listings in search results on the Airbnb Platform depends on a variety of factors, including these main parameters:

  • Guest search parameters (e.g. number of Guests, time and duration of the trip, price range),
  • Listing characteristics (e.g. price, calendar availability, number and quality of images, Reviews, type of Host Service, Host status, age of the Listing, average Guest popularity),
  • Guest booking experience (e.g. customer service and cancellation history of the Host, ease of booking),
  • Host requirements (e.g. minimum or maximum nights, booking cut-off time), and
  • Guest preferences (e.g. previous trips, saved Listings, location from where the Guest is searching).

Search results may appear different on our mobile application than they appear on our website. Airbnb may allow Hosts to promote their Listings in search or elsewhere on the Airbnb Platform by paying an additional fee. More information about the factors that determine how your Listing appears in search results, our current promotional programs (if any), and how we identify promoted Content can be found in our Help Center.

6.4 Your Responsibilities. You are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you allow to participate in providing your Host Services. You are responsible for setting your price and establishing rules and requirements for your Listing. You must describe any and all fees and charges in your Listing description and may not collect any additional fees or charges outside the Airbnb Platform except those expressly authorized by our Offline Fee Policy. Do not encourage Guests to create third-party accounts, submit reviews, provide their contact information, or take other actions outside the Airbnb Platform in violation of our Off-Platform Policy.

6.5 Hosting as a Team or Organization. If you work with a co-host or host as part of a team, business, or other organization, the entity and each individual who participates in providing Host Services is responsible and liable as a Host under these Terms. If you accept terms or enter into contracts, you represent and warrant that you are authorized to enter into contracts for and bind your team, business or other organization, and that each entity you use is in good standing under the laws of the place where it is established. If you perform other functions, you represent and warrant that you are authorized to perform those functions. If you instruct Airbnb to transfer a portion of your payout to a co-host or other Hosts, or to send payments to someone else, you must be authorized to do so, and are responsible and liable for the payment amounts and accuracy of any payout information you provide.

6.6 Your Assumption of Risk. You acknowledge that hosting carries inherent risks and agree that you assume the entire risk arising out of your access to and use of the Airbnb Platform, offering Host Services, or any interaction you have with other Members whether in person or online. You agree that you have had the opportunity to investigate the Airbnb Platform and any laws, rules, regulations, or obligations that may be applicable to your Listings or Host Services and that you are not relying upon any statement of law made by Airbnb.

7. Cancellations, Travel Issues, and Booking Modifications.

7.1 Cancellations and Travel Issues. In general, if a Guest cancels a Reservation, the amount paid to you is determined by the cancellation policy that applies to that Reservation. As a host, you should not cancel on a Guest without a valid reason under our Extenuating Circumstances Policy or applicable law. If you cancel on a Guest without such a valid reason, we may impose a cancellation fee and other consequences. If: (i) a Guest experiences a Travel Issue (as defined by the Guest Refund Policy), (ii) an Extenuating Circumstance arises, or (iii) a Reservation is cancelled under Section 13 of these Terms, the amount you are paid will be reduced by the amount we refund or otherwise provide to the Guest, and by any other reasonable costs we incur as a result of the cancellation. If a Guest receives a refund after you have already been paid, or the amount of the refund and other costs incurred by Airbnb exceeds your payout, Airbnb (via Airbnb Payments) may recover that amount from you, including by offsetting the refund against your future payouts. You agree that Airbnb’s Guest Refund Policy, Extenuating Circumstances Policy, and these Terms preempt the cancellation policy you set in situations where they allow for the cancellation of a Reservation and/or the issuance of refunds to Guests. If we reasonably expect to provide a refund to a Guest under one of these policies, we may delay release of any payout for that Reservation until a refund decision is made. If you Host an Experience please note that the Experience Cancellation Policy, Experiences Guest Refund Policy and different cancellation fees and consequences apply to your Reservations. See each Policy for details about what is covered, and what your payout will be in each situation.

7.2 Booking Modifications. Hosts and Guests are responsible for any Booking Modifications they agree to make via the Airbnb Platform or direct Airbnb customer service to make on their behalf, and agree to pay any additional amounts, fees or taxes associated with a Booking Modification.

8. Taxes.

8.1 Host Taxes. As a host, you are responsible for determining and fulfilling your obligations under applicable laws to report, collect, remit, or include in your price any applicable VAT or other indirect taxes, occupancy taxes, tourist, income, or other taxes ("Taxes").

8.2 Collection and Remittance by Airbnb. In jurisdictions where Airbnb facilitates the collection and/or remittance of Taxes on behalf of Hosts, you instruct and authorize Airbnb to collect Taxes on your behalf, and/or to remit such Taxes to the relevant Tax authority. Any Taxes that are collected and/or remitted by Airbnb are identified to Members on their transaction records, as applicable. Airbnb may seek additional amounts from Members (including by deducting such amounts from future payouts) in the event that the Taxes collected and/or remitted are insufficient to fully discharge that Members’ tax obligations, and you agree that your sole remedy for Taxes collected by Airbnb is a refund from the applicable Tax authority. You acknowledge and agree that we retain the right, with prior notice to affected Members, to cease the collection and remittance of Taxes in any jurisdiction for any reason.

8.3 Tax Information. In certain jurisdictions, Tax regulations may require that we collect and/or report Tax information about you, or withhold Taxes from payouts to you, or both. If you fail to provide us with documentation that we determine to be sufficient to support any such obligation to withhold Taxes from payouts to you, we may withhold payouts up to the amount as required by law, until sufficient documentation is provided. You agree that Airbnb may issue on your behalf invoices or similar documentation for VAT, GST, consumption or other Taxes for your Host Services to facilitate accurate tax reporting by you, our Guests, and/or their organizations.

General Terms

9. Reviews.

After each Host Service, Guests and Hosts will have an opportunity to review each other. Your Review must be accurate and may not contain any discriminatory, offensive, defamatory, or other language that violates our Content Policy or Review Policy. Reviews are not verified by Airbnb for accuracy and may be incorrect or misleading.

10. Content.

Parts of the Airbnb Platform enable you to provide feedback, text, photos, audio, video, information, and other content (collectively, “Content”). By providing Content, in whatever form and through whatever means, you grant Airbnb a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable and transferable license to copy, modify, prepare derivative works of, distribute, publish and otherwise exploit, that Content, without limitation. If Content includes personal information, our Privacy Policy describes how we use that personal information. Where Airbnb pays for the creation of Content or facilitates its creation, Airbnb may own that Content, in which case supplemental terms or disclosures will say that. You are solely responsible for all Content that you provide and warrant that you either own it or are authorized to grant Airbnb the rights described in these Terms. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party. Content must comply with our Content Policy and Nondiscrimination Policy, which prohibit, among other things, discriminatory, obscene, harassing, deceptive, violent, and illegal content. You agree that Airbnb may make available services or automated tools to translate Content and that your Content may be translated using such services or tools. Airbnb does not guarantee the accuracy or quality of translations and Members are responsible for confirming the accuracy of such translations.

11. Fees.

Airbnb may charge fees (and applicable Taxes) to Hosts and Guests for the right to use the Airbnb Platform. More information about when service fees apply and how they are calculated can be found on our Service Fees page. Except as otherwise provided on the Airbnb Platform, service fees are non-refundable. Airbnb reserves the right to change the service fees at any time, and will provide Members notice of any fee changes before they become effective. Fee changes will not affect bookings made prior to the effective date of the fee change. If you disagree with a fee change you may terminate this agreement at any time pursuant to Section 13.2.

12. Airbnb Platform Rules.

12.1 Rules. You must follow these rules and must not help or induce others to break or circumvent these rules.

  • Act with integrity and treat others with respect
    • Do not lie, misrepresent something or someone, or pretend to be someone else.
    • Be polite and respectful when you communicate or interact with others.
    • Follow our Nondiscrimination Policy and do not discriminate against or harass others.
  • Do not scrape, hack, reverse engineer, compromise or impair the Airbnb Platform
    • Do not use bots, crawlers, scrapers, or other automated means to access or collect data or other content from or otherwise interact with the Airbnb Platform.
    • Do not hack, avoid, remove, impair, or otherwise attempt to circumvent any security or technological measure used to protect the Airbnb Platform or Content.
    • Do not decipher, decompile, disassemble, or reverse engineer any of the software or hardware used to provide the Airbnb Platform.
    • Do not take any action that could damage or adversely affect the performance or proper functioning of the Airbnb Platform.
  • Only use the Airbnb Platform as authorized by these Terms or another agreement with us
    • You may only use another Member’s personal information as necessary to facilitate a transaction using the Airbnb Platform as authorized by these Terms.
    • Do not use the Airbnb Platform, our messaging tools, or Members’ personal information to send commercial messages without the recipient’s express consent.
    • You may use Content made available through the Airbnb Platform solely as necessary to enable your use of the Airbnb Platform as a Guest or Host.
    • Do not use Content unless you have permission from the Content owner or the use is authorized by us in these Terms or another agreement you have with us.
    • Do not request, make, or accept a booking or any payment outside of the Airbnb Platform to avoid paying fees, taxes or for any other reason. See our Offline Fee Policy for exceptions.
    • Do not require or encourage Guests to open an account, leave a review, complete a survey, or otherwise interact, with a third party website, application or service before, during or after a Reservation, unless authorized by Airbnb.
    • Do not engage in any practices that are intended to manipulate our search algorithm.
    • Do not book Host Services unless you are actually using the Host Services.
    • Do not use, copy, display, mirror or frame the Airbnb Platform, any Content, any Airbnb branding, or any page layout or design without our consent.
  • Honor your legal obligations
    • Understand and follow the laws that apply to you, including privacy, data protection, and export laws.
    • If you provide us with someone else’s personal information, you: (i) must do so in compliance with applicable law, (ii) must be authorized to do so, and (iii) authorize us to process that information under our Privacy Policy.
    • Read and follow our Terms, Additional Legal Terms, Policies, and Standards.
    • Do not organize or facilitate unauthorized parties or events. You are responsible and liable for any party or event during your Reservation that violates our rules for parties and events, as incorporated by reference herein.
    • Do not use the name, logo, branding, or trademarks of Airbnb or others without permission.
    • Do not use or register any domain name, social media handle, trade name, trademark, branding, logo, or other source identifier that may be confused with Airbnb branding.
    • Do not offer Host Services that violate the laws or agreements that apply to you.
    • Do not offer or solicit prostitution or participate in or facilitate human trafficking.

12.2 Reporting Violations. If you believe that a Member, Listing or Content poses an imminent risk of harm to a person or property, you should immediately contact local authorities before contacting Airbnb. In addition, if you believe that a Member, Listing or Content has violated our Standards, you should report your concerns to Airbnb. If you reported an issue to local authorities, Airbnb may request a copy of that report. Except as required by law, you agree that we are not obligated to take action in response to any report.

12.3 Copyright Notifications. If you believe that Content on the Airbnb Platform infringes copyrights, please notify us in accordance with our Copyright Policy.

13. Termination, Suspension and other Measures.

13.1 Term. The agreement between you and Airbnb reflected by these Terms is effective when you access the Airbnb Platform (for example to create an account) and remains in effect until either you or we terminate the agreement in accordance with these Terms.

13.2 Termination. You may terminate this agreement at any time by sending us an email or by deleting your account. Airbnb may terminate this agreement and your account for any reason by giving you 30 days’ notice via email or using any other contact information you have provided for your account. Airbnb may also terminate this agreement immediately and without notice and stop providing access to the Airbnb Platform if you breach these Terms, you violate our Additional Legal Terms, or Policies, you violate applicable laws, or we reasonably believe termination is necessary to protect Airbnb, its Members, or third parties. If your account has been inactive for more than two years, we may terminate your account without prior notice.

13.3 Member Violations. If (i) you breach these Terms, our Additional Legal Terms, Policies, or our Standards, (ii) you violate applicable laws, regulations, or third-party rights, or (iii) Airbnb believes it is reasonably necessary to protect Airbnb, its Members, or third parties; Airbnb may, with or without prior notice:

  • suspend or limit your access to or use of the Airbnb Platform and/or your account;
  • suspend or remove Listings, Reviews, or other Content;
  • cancel pending or confirmed bookings; or
  • suspend or revoke any special status associated with your account.

For minor violations or where otherwise appropriate as Airbnb determines in its sole discretion, you will be given notice of any intended measure by Airbnb and an opportunity to resolve the issue. You may appeal actions taken by us under this Section by contacting customer service. If a Reservation is cancelled under this Section, the amount paid to the Host will be reduced by the amount we refund or otherwise provide to the Guest, and by any other costs we incur as a result of the cancellation.

13.4 Legal Mandates. Airbnb may take any action it determines is reasonably necessary to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, including the measures described above in Section 13.3.

13.5 Effect of Termination. If you are a Host and terminate your Airbnb account, any confirmed booking(s) will be automatically cancelled and your Guests will receive a full refund. If you terminate your account as a Guest, any confirmed booking(s) will be automatically cancelled and any refund will depend upon the terms of the Reservation’s cancellation policy. When this agreement has been terminated, you are not entitled to a restoration of your account or any of your Content. If your access to or use of the Airbnb Platform has been limited, or your Airbnb account has been suspended, or this agreement has been terminated by us, you may not register a new account or access or use the Airbnb Platform through an account of another Member.

13.6 Survival. Parts of these Terms that by their nature survive termination, will survive termination of this agreement, including Sections 2 through 26.

14. Modification.

Airbnb may modify these Terms at any time. When we make material changes to these Terms, we will post the revised Terms on the Airbnb Platform and update the “Last Updated” date at the top of these Terms. We will also provide you with notice of any material changes by email at least 30 days before the date they become effective. If you disagree with the revised Terms, you may terminate this agreement immediately as provided in these Terms. If you do not terminate your agreement before the date the revised Terms become effective, your continued access to or use of the Airbnb Platform will constitute acceptance of the revised Terms.

15. Resolving Complaints and Damage Claims.

If a Member provides valid evidence that you, your guest(s), or your pet(s)damaged the complaining Member’s real or personal property, or real or personal property the complaining Member is responsible for, including consequential damages, ("Damage Claim"), the complaining Member can notify Airbnb and/or seek compensation through the Resolution Center. You will be notified of the Damage Claim and given an opportunity to respond. If you agree to pay, or if the Damage Claim is escalated to Airbnb and Airbnb determines in its sole discretion that the Damage Claim is valid and you are responsible for the Damage Claim, Airbnb via Airbnb Payments can collect the amount of the Damage Claim from you. You agree that Airbnb may seek to recover from you under any insurance policies you maintain and that Airbnb may also pursue against you any remedies it may have available under applicable law, including referral of the matter to a collections agency, and/or pursuit of available causes of action and/or claims against you. You agree to cooperate in good faith, provide any information Airbnb requests, execute documents, and take further reasonable action, in connection with Damage Claims, Member complaints, claims under insurance policies, or other claims related to your provision or use of Host Services.

16. Airbnb’s Role.

We offer you the right to use a platform that enables Members to publish, offer, search for, and book Host Services. While we work hard to ensure our Members have great experiences using Airbnb, we do not and cannot control the conduct of Guests and Hosts. You acknowledge that Airbnb has the right, but does not have any obligation, to monitor the use of the Airbnb Platform and verify information provided by our Members. For example, we may review, disable access to, remove, or edit Content to: (i) operate, secure and improve the Airbnb Platform (including for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure Members’ compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; (iv) address Content that we determine is harmful or objectionable; (v) take actions set out in these Terms; and (vi) maintain and enforce any quality or eligibility criteria, including by removing Listings that don’t meet quality and eligibility criteria. Members acknowledge and agree that Airbnb administers its Additional Legal Terms, Policies (such as our Extenuating Circumstances Policy) and Standards (such as basic requirements for hosts), including decisions about whether and how to apply them to a particular situation, at its sole discretion. Members agree to cooperate with and assist Airbnb in good faith, and to provide Airbnb with such information and take such actions as may be reasonably requested by Airbnb with respect to any investigation undertaken by Airbnb regarding the use or abuse of the Airbnb Platform. Airbnb is not acting as an agent for any Member except for where Airbnb Payments acts as a collection agent as provided in the Payments Terms.

17. Member Accounts.

You must register an account to access and use many features of the Airbnb Platform. Registration is only permitted for legal entities, partnerships and natural persons who are 18 years or older. You represent and warrant that you are not a person or entity barred from using the Airbnb Platform under the laws of the United States, your place of residence, or any other applicable jurisdiction. You must provide accurate, current, and complete information during registration and keep your account information up-to-date. You may not register more than one account or transfer your account to someone else. You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose your credentials to any third party. You are responsible and liable for activities conducted through your account and must immediately notify Airbnb if you suspect that your credentials have been lost, stolen, or your account is otherwise compromised. If and as permitted by applicable law, we may, but have no obligation to (i) ask you to provide identification or other information, (ii) undertake checks designed to help verify your identity or background, (iii) screen you against third-party databases or other sources and request reports from service providers, and (iv) obtain reports from public records of criminal convictions or sex offender registrations or their local equivalents.

18. Disclaimer of Warranties.

We provide the Airbnb Platform and all Content “as is” without warranty of any kind and we disclaim all warranties, whether express or implied. For example: (i) we do not endorse or warrant the existence, conduct, performance, safety, quality, legality or suitability of any Guest, Host, Host Service, Listing or third party; (ii) we do not warrant the performance or non-interruption of the Airbnb Platform; and (iii) we do not warrant that verification, identity or background checks conducted on Listings or Members (if any) will identify past misconduct or prevent future misconduct. Any references to a Member or Listing being "verified" (or similar language) indicate only that the Member or Listing or Airbnb has completed a relevant verification or identification process and nothing else. The disclaimers in these Terms apply to the maximum extent permitted by law. If you have statutory rights or warranties we cannot disclaim, the duration of any such statutorily required rights or warranties, will be limited to the maximum extent permitted by law.

19. Limitations on Liability.

Neither Airbnb (including its affiliates and personnel) nor any other party involved in creating, producing, or delivering the Airbnb Platform or any Content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Terms, (ii) the use of or inability to use the Airbnb Platform or any Content, (iii) any communications, interactions or meetings you may have with someone you interact or meet with through, or as a result of, your use of the Airbnb Platform, or (iv) publishing or booking of a Listing, including the provision or use of Host Services, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Airbnb has been informed of the possibility of such damage, even if a limited remedy set out in these Terms is found to have failed of its essential purpose.

Except for our obligation to transmit payments to Hosts under these Terms, or make payments under the Airbnb Host Damage Protection or Japan Host Insurance, in no event will Airbnb’s aggregate liability for any claim or dispute arising out of or in connection with these Terms, your interaction with any Members, or your use of or inability to use the Airbnb Platform, any Content, or any Host Service, exceed: (A) to Guests, the amount you paid as a Guest during the 12-month period prior to the event giving rise to the liability, (B) to Hosts, the amount paid to you as a Host in the 12-month period prior to the event giving rise to the liability, or (C) to anyone else, one hundred U.S. dollars (US$100).

These limitations of liability and damages are fundamental elements of the agreement between you and Airbnb. If applicable law does not allow the limitations of liability set out in these Terms, the above limitations may not apply to you.

20. Indemnification.

To the maximum extent permitted by applicable law, you agree to release, defend (at Airbnb’s option), indemnify, and hold Airbnb (including Airbnb Payments, other affiliates, and their personnel) harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with: (i) your breach of these Terms (including any supplemental or additional terms that apply to a product or feature) or our

Additional Legal TermsPolicies or Standards, (ii) your improper use of the Airbnb Platform, (iii) your interaction with any Member, stay at an Accommodation, participation in an Experience or other Host Service, including without limitation any injuries, losses or damages (whether compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of such interaction, stay, participation or use, (iv) your failure, or our failure at your direction, to accurately report, collect or remit Taxes, or (v) your breach of any laws, regulations or third party rights such as intellectual property or privacy rights.

21. Contracting Entities.

Based on your country of residence or establishment and what you are doing on the Airbnb Platform, Schedule 1 below sets out the Airbnb entity with whom you are contracting. If we identify through the Airbnb Platform, an Airbnb entity other than the one set out on Schedule 1 as being responsible for a product, feature or transaction, the Airbnb entity so identified is your contracting entity with respect to that product, feature or transaction. If you change your country of residence or establishment, the Airbnb company you contract with (as set out on Schedule 1) and the applicable version of the Terms of Service will be determined by your new country of residence or establishment, from the date on which your country of residence or establishment changes.

22. United States Governing Law and Venue.

If you reside or have your place of establishment in the United States, these Terms will be interpreted in accordance with the laws of the State of California and the United States of America, without regard to conflict-of-law provisions. Judicial proceedings (other than small claims actions) that are excluded from the arbitration agreement in Section 23 must be brought in state or federal court in San Francisco, California, unless we both agree to some other location. You and we both consent to venue and personal jurisdiction in San Francisco, California.

23. United States Dispute Resolution and Arbitration Agreement.

23.1 Application. This Arbitration Agreement only applies to you if your country of residence or establishment is the United States. If your country of residence or establishment is not the United States, and you nevertheless attempt to bring any legal claim against Airbnb in the United States, this Arbitration Agreement will apply for determination of the threshold issue of whether this Section 23 applies to you, and all other threshold determinations, including residency, arbitrability, venue, and applicable law.

23.2 Overview of Dispute Resolution Process. Airbnb is committed to participating in a consumer-friendly dispute resolution process. To that end, these Terms provide for a two-part process for individuals to whom this Section 23 applies: (1) an informal negotiation directly with Airbnb’s customer service team (described in paragraph 23.3, below), and if necessary (2) a binding arbitration administered by the American Arbitration Association (“AAA”). You and Airbnb each retain the right to seek relief in small claims court as an alternative to arbitration.

23.3 Mandatory Pre-Arbitration Dispute Resolution and Notification. At least 30 days prior to initiating an arbitration, you and Airbnb each agree to notify the other party of the dispute in writing and attempt in good faith to negotiate an informal resolution. You must send your notice of dispute to Airbnb by mailing it to Airbnb’s agent for service: CSC Lawyers Incorporating Service, 2710 Gateway Oaks Drive, Suite 150N, Sacramento, California 95833. Airbnb will send its notice of dispute to the email address associated with your Airbnb account. A notice of dispute must include: the party’s name and preferred contact information, a brief description of the dispute, and the relief sought. If the parties are unable to resolve the dispute within the 30-day period, only then may either party commence arbitration by filing a written Demand for Arbitration (available at www.adr.org) with the AAA and providing a copy to the other party as specified in the AAA Rules (available at www.adr.org).

23.4 Agreement to Arbitrate. You and Airbnb mutually agree that any dispute, claim or controversy arising out of or relating to these Terms or the applicability, breach, termination, validity, enforcement or interpretation thereof, or any use of the Airbnb Platform, Host Services, or any Content (collectively, “Disputes”) will be settled by binding individual arbitration (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to our Dispute, you and Airbnb agree that the arbitrator will decide that issue.

23.5 Exceptions to Arbitration Agreement. You and Airbnb each agree that the following causes of action and/or claims for relief are exceptions to the Arbitration Agreement and will be brought in a judicial proceeding in a court of competent jurisdiction (as defined by Section 22): (i) any claim or cause of action alleging actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights; (ii) any claim or cause of action seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack); or (iii) a request for the remedy of public injunctive relief; or (iv) any individual claim of sexual assault or sexual harassment arising from your use of the Airbnb Platform or Host Services. You and Airbnb agree that the remedy of public injunctive relief will proceed after the arbitration of all arbitrable claims, remedies, or causes of action, and will be stayed pending the outcome of the arbitration pursuant to section 3 of the Federal Arbitration Act.

23.6 Arbitration Rules and Governing Law. This Arbitration Agreement evidences a transaction in interstate commerce and the Federal Arbitration Act governs all substantive and procedural interpretation and enforcement of this provision. The arbitration will be administered by AAA in accordance with the Consumer Arbitration Rules and/or other AAA arbitration rules determined to be applicable by the AAA (the “AAA Rules“) then in effect, except as modified here. The AAA Rules are available at www.adr.org. In order to initiate arbitration, a completed written demand (available at www.adr.org) must be filed with the AAA and provided to the other party, as specified in the AAA rules.

23.7 Modification to AAA Rules - Arbitration Hearing/Location. In order to make the arbitration most convenient to you, Airbnb agrees that any required arbitration hearing may be conducted, at your option: (a) in the U.S. county where you reside; (b) in San Francisco County; (c) via phone or video conference; or (d) if all parties agree, by solely the submission of documents to the arbitrator.

23.8 Modification of AAA Rules - Attorney’s Fees and Costs. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, Airbnb will pay all arbitration fees and expenses. Either party may make a request that the arbitrator award attorneys’ fees and costs upon proving that the other party has asserted a claim, cross-claim or defense that is groundless in fact or law, brought in bad faith or for the purpose of harassment, or is otherwise frivolous, as allowed by applicable law and the AAA Rules.

23.9 Arbitrator’s Decision. The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award any relief allowed by law or the AAA Rules, but declaratory or injunctive relief may be awarded only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim.

23.10 Jury Trial Waiver. You and Airbnb acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable Disputes.

23.11 No Class Actions or Representative Proceedings. You and Airbnb acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, private attorney general action, or any other representative or consolidated proceeding. Unless we agree in writing, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If there is a final judicial determination that applicable law precludes enforcement of the waiver contained in this paragraph as to any claim, cause of action or requested remedy, then that claim, cause of action or requested remedy, and only that claim, cause of action or requested remedy, will be severed from this agreement to arbitrate and will be brought in a court of competent jurisdiction. In the event that a claim, cause of action or requested remedy is severed pursuant to this paragraph, then you and we agree that the claims, causes of action or requested remedies that are not subject to arbitration will be stayed until all arbitrable claims, causes of action and requested remedies are resolved by the arbitrator.

23.12 Severability. Except as provided in Section 23.11, in the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable, such provision will be severed and the remainder of the Arbitration Agreement will be given full force and effect.

23.13 Changes to Agreement to Arbitrate. If Airbnb changes this Section 23 after the date you last accepted these Terms (or accepted any subsequent changes to these Terms), you may reject that change by sending us written notice (including by email) within 30 days of the date the change is effective. Rejecting a new change, however, does not revoke or alter your prior consent to any earlier agreements to arbitrate any Dispute between you and Airbnb (or your prior consent to any subsequent changes thereto), which will remain in effect and enforceable as to any Dispute between you and Airbnb.

23.14 Survival. Except as provided in Section 23.12 and subject to Section 13.6, this Section 23 will survive any termination of these Terms and will continue to apply even if you stop using the Airbnb Platform or terminate your Airbnb account.

24. China Governing Law and Dispute Resolution.

24.1 China Domestic Transactions. If you reside or have your place of establishment in China, and are contracting with Airbnb China, these Terms and this Section 24.1 are governed by the laws of the People’s Republic of China. In this situation, any dispute arising from or in connection with these Terms or use of the Airbnb Platform shall be submitted to the China International Economic and Trade Arbitration Commission (“CIETAC”) for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties. The tribunal shall consist of three (3) arbitrators. The seat of the arbitration shall be Beijing. The language of the arbitration shall be English.

24.2 Cross-border Transactions. If you reside or have your place of establishment in China, and are contracting with Airbnb, Inc., Airbnb Travel, LLC, Airbnb Ireland UC, or any other non-China entity, these Terms and this Section 24.2 are governed by the laws of Singapore. In this situation, any dispute arising out of or in connection with these Terms or use of the Airbnb Platform, including any question regarding the existence, validity or termination of these Terms, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of three (3) arbitrators. The language of the arbitration shall be English.

24.3 Without Limitation Provisions. The above Sections 24.1 and 24.2 are expressed to be without regard to conflict of laws provisions and shall not be construed to limit any rights which Airbnb may have to apply to any court of competent jurisdiction for any order requiring you to perform or be prohibited from performing certain acts and other provisional relief permitted under the laws of Singapore, the People’s Republic of China, or any other laws that may apply to you.

25. Brazil Governing Law and Venue. If you reside or have your place of establishment in Brazil, these Terms will be interpreted in accordance with the laws of Brazil, without regard to conflict-of-law provisions. Legal proceedings that you are able to bring against us arising from or in connection with these Terms may only be brought in a court located in Brazil.

26. Rest of World Dispute Resolution, Venue and Forum, and Governing Law. If you reside or have your place of establishment outside of the United States, China, and Brazil, this Section applies to you and these Terms will be interpreted in accordance with Irish law. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. If you are acting as an individual consumer and if mandatory statutory consumer protection regulations in your country of residence contain provisions that are more beneficial for you, such provisions shall apply irrespective of the choice of Irish law. As an individual consumer, you may bring any judicial proceedings relating to these Terms before the competent court of your place of residence or the competent court of Airbnb's place of business in Ireland. If Airbnb wishes to enforce any of its rights against you as a consumer, we may do so only in the courts of the jurisdiction in which you are a resident. If you are acting as a business, you agree to submit to the exclusive jurisdiction of the Irish courts.

27. Miscellaneous.

27.1 Other Terms Incorporated by Reference. Our Host Damage Protection, Japan Host Insurance Terms, Guest Refund Policy, Experiences Guest Refund Policy, Content Policy, Nondiscrimination Policy, Extenuating Circumstances PolicyAdditional Legal Terms, PoliciesStandards and other supplemental policies and terms linked to in these Terms apply to your use of the Airbnb Platform, are incorporated by reference, and form part of your agreement with Airbnb.

27.2 Interpreting these Terms. Except as they may be supplemented by additional terms, conditions, policies, guidelines, standards, and in-product disclosures, these Terms (including those items incorporated by reference) constitute the entire agreement between Airbnb and you pertaining to your access to or use of the Airbnb Platform and supersede any and all prior oral or written understandings or agreements between Airbnb and you. These Terms do not and are not intended to confer any rights or remedies upon anyone other than you and Airbnb. If any provision of these Terms is held to be invalid or unenforceable, except as otherwise indicated in Section 23.11 above, such provision will be struck and will not affect the validity and enforceability of the remaining provisions. Where the word “will” is used in these Terms it connotes an obligation with the same meaning as “shall.”

27.3 No Waiver. Airbnb’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.

27.4 Assignment. You may not assign, transfer or delegate this agreement or your rights and obligations hereunder without Airbnb's prior written consent. Airbnb may without restriction assign, transfer or delegate this agreement and any rights and obligations hereunder, at its sole discretion, with 30 days’ prior notice.

27.5 Notice. Unless specified otherwise, any notices or other communications to Members permitted or required under this agreement, will be provided electronically and given by Airbnb via email, Airbnb Platform notification, messaging service (including SMS and WeChat), or any other contact method we enable and you provide. If a notification relates to a booking or Listing in Japan, you agree and acknowledge that such notifications via electronic means in lieu of a written statement, satisfies Airbnb’s obligations under Article 59 (1) of the Japanese Housing Accommodation Business Act.

27.6 Third-Party Services. The Airbnb Platform may contain links to third-party websites, applications, services or resources (“Third-Party Services”) that are subject to different terms and privacy practices. Airbnb is not responsible or liable for any aspect of such Third-Party Services and links to such Third-Party Services are not an endorsement.

27.7 Google Terms. Some translations on the Airbnb Platform are powered by Google. Google disclaims all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties for merchantability, fitness for a particular purpose and non-infringement. Some areas of the Airbnb Platform implement Google Maps/Earth mapping services, including Google Maps API(s). Your use of Google Maps/Earth is subject to the Google Maps/Google Earth Additional Terms of Service.

27.8 Apple Terms. If you access or download our application from the Apple App Store, you agree to Apple’s Licensed Application End User License Agreement.

27.9 Airbnb Platform Content. Content made available through the Airbnb Platform may be protected by copyright, trademark, and/or other laws of the United States and other countries. You acknowledge that all intellectual property rights for that Content are the exclusive property of Airbnb and/or its licensors and agree that you will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices. You may not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit any Content accessed through the Airbnb Platform except to the extent you are the legal owner of that Content or as expressly permitted in these Terms. Subject to your compliance with these Terms, Airbnb grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to (i) download and use the Application on your personal device(s); and (ii) access and view the Content made available on or through the Airbnb Platform and accessible to you, solely for your personal and non-commercial use.

27.10 Airbnb.org. Airbnb.org is a nonprofit corporation exempt from income taxation under U.S. Internal Revenue Code Section 501(c)(3), operating as a public charity. Airbnb.org is not owned or controlled by Airbnb. Airbnb.org administers a number of charitable programs that benefit our Host and Guest communities and the public.

27.11 Force Majeure. Airbnb shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

27.12 Emails and SMS. You will receive administrative communications from us using the email address or other contact information you provide for your Airbnb account. Enrollment in additional email subscription programs will not affect the frequency of these administrative emails, though you should expect to receive additional emails specific to the program(s) to which you have subscribed. You may also receive promotional emails from us. No fee is charged for these promotional emails, but third-party data rates could apply. You can control whether you receive promotional emails using the notification preferences in your account settings. Please note that you will not be able to take advantage of certain promotions if you disable certain communication settings or do not have an Airbnb account. In the U.S. if you consent to receive SMS (text messages) from us, you will be subject to our SMS Terms.

Terms of Service for Australian Users

These Terms of Service for Australian Users (“Terms”) are subject to the Australian Consumer Law. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. These Terms (including sections 2.3, 4, 6.3, 6.4, 6.5, 11, 18, 19 and 20) apply to the maximum extent permitted by the Australian Consumer Law.

These Terms and the documents, policies and standards referred to within them, form a binding legal agreement between you and Airbnb that governs your right to use the websites, applications, and other offerings from Airbnb (collectively, the “Airbnb Platform”).

The documents referred to within these Terms include but are not limited to our:

  • Payments Terms of Service, which govern any payment services provided to Members by the Airbnb payment entities (such entities, collectively, "Airbnb Payments").
  • Privacy Policy, which describes our collection and use of personal data.
  • Service Fees Policy, which describes how Airbnb service fees are charged to Hosts and Guests.
  • Offline Fee Policy, which describes the circumstances in which a Host can charge additional fees or charges outside the Airbnb Platform.
  • Off-Platform Policy, which prohibits certain actions from occurring outside of the Airbnb Platform.
  • Taxes Policy, which explains what taxes may apply to a Reservation.
  • Host Privacy Standards, that specify how Hosts should handle Guest Personal Information.
  • Cancellation Policies, that explain the cancellation policies that may apply to a listing. The Host’s cancellation policy applicable to each reservation is displayed on the Listing page before booking.
  • Extenuating Circumstances Policy, which explains how cancellations are handled when unforeseen events beyond your control arise after booking and make it impractical or illegal to complete your Reservation.
  • Re-booking and Refund Policy, which explains how Airbnb will assist with rebooking a reservation and how Airbnb handles refunds when a Host cancels a reservation or another Travel Issue disrupts a stay.

For convenience, we have set out above several terms and policies that are referred to in these Terms. However, it is important that you note that there are other supplemental policies and terms linked from our Legal Terms and Policies pages, which apply to your use of the Airbnb Platform, and are incorporated by reference, and form part of the binding legal agreement between you and Airbnb.

When used in these Terms, “Airbnb,” “we,” “us,” or “our” refers to the Airbnb entity set out on Schedule 1 with whom you are contracting.

The Airbnb Platform offers an online venue that enables users (“Members”) to publish, offer, search for, and book services. Members who publish and offer services are “Hosts” and Members who search for, book, or use services are “Guests.” Hosts offer accommodations (“Accommodations”), activities, excursions and events (“Experiences”), and a variety of travel and other services (collectively, “Host Services,” and each Host Service offering, a “Listing”).

You must register an account to access and use many features of the Airbnb Platform, and must keep your account information accurate. As the provider of the Airbnb Platform, Airbnb does not own, control, offer or manage any Listings, Host Services, or tourism services. Airbnb is not a party to the contracts entered into directly between Hosts and Guests, nor is Airbnb a real estate broker, travel agency, or insurer. Airbnb is not acting as an agent in any capacity for any Member, except as specified in the Payments Terms of Service (“Payment Terms”). To learn more about Airbnb’s role see Section 16.

If you are a Host, you are responsible for understanding and complying with all laws, rules, regulations and contracts with third parties that apply to your Host Services.

Guest Terms

1. Our Mission.

Our mission is to create a world where you can belong anywhere. From cabins to castles to cooking classes, browse through millions of Listings to find the ones that fit the way you like to travel. Learn more about a Listing by reviewing the description and photos, the Host profile, and past Guest reviews. If you have questions, just message the Host.

2. Searching and Booking on Airbnb.

2.1 Searching. You can search for Host Services by using criteria like the type of Host Service, travel destination, travel dates, and number of guests. You can also use filters to refine your search results. Search results are based on their relevance to your search and other criteria. Relevance considers factors like price, availability, Reviews, customer service and cancellation history, popularity, previous trips and saved Listings, Host requirements (e.g. minimum or maximum nights), and more. Learn more about search results in our Help Center.

2.2 Booking. When you book a Listing, you are agreeing to pay all charges for your booking including the Listing price, applicable fees like Airbnb’s service fee, offline fees, taxes, and any other items identified during checkout (collectively, “Total Price”). You are also agreeing that Airbnb via Airbnb Payments may charge the Payment Method (as defined in the Payment Terms) used to book the Listing in order to collect Damage Claim (as defined in Section 15) amounts. If you choose to pay using a currency that differs from the currency the Host set for their Listing, the price displayed to you is based on a currency conversion rate determined by us. When you receive the booking confirmation, a contract for Host Services (a "Reservation") is formed directly between you and the Host. In addition to these Terms, you will be subject to, and responsible for complying with, all terms of the Reservation, including without limitation, the cancellation policy and any other rules, standards, policies, or requirements identified in the Listing or during checkout that apply to the Reservation. It is your responsibility to read and understand these rules, standards, policies, and requirements prior to booking a Listing. Be aware that some Hosts work with a co-host or as part of a team to provide their Host Services.

2.3 Accommodation Reservations. An Accommodation Reservation is a limited license to enter, occupy and use the Accommodation. The Host retains the right to re-enter the Accommodation during your stay, to the extent: (i) it is reasonably necessary, (ii) permitted by your contract with the Host, and (iii) permitted by applicable law. If you stay past checkout, the Host has the right to make you leave in a manner permitted by applicable law, including by imposing reasonable overstay penalties. You may not exceed the maximum number of allowed Guests.

2.4 Reservations for Experiences and Other Host Services.An Experience or other Host Service Reservation entitles you to participate in, attend, or use that Host Service. You are responsible for confirming that you, and anyone you invite, meet minimum age, proficiency, fitness or other requirements. You are responsible for informing the Host of any medical or physical conditions, or other circumstances that may impact your ability to participate, attend or use the Host Service. Except where expressly authorized, you may not allow any person to join a Host Service unless they are included as an additional guest during the booking process.

3. Cancellations, Travel Issues, Refunds and Booking Modifications.

3.1 Cancellations, Travel Issues, and Refunds. In general, if you cancel a Reservation, the amount refunded to you is determined by the Host’s cancellation policy that applies to that Reservation, as displayed on the Listing page at the time of booking. But, in certain situations, other policies take precedence and determine what amount is refunded to you. If something outside your control requires you to cancel a Reservation, you may be entitled to a partial or full refund under our Extenuating Circumstances Policy. If the Host cancels, or you experience a Travel Issue (as defined in our Rebooking and Refund Policy), you may be entitled to rebooking assistance or a partial or full refund under our Rebooking and Refund Policy. Different policies apply to certain categories of Listings; for example, Experiences reservations are governed by the Experiences Guest Refund Policy, and Luxe Reservations are governed by the Luxe Rebooking and Refund Policy. See each Additional Legal Term or Policy for details about what is covered, and what refund applies in each situation. You may appeal a decision by Airbnb by contacting our customer service.

3.2 Booking Modifications. Guests and Hosts are responsible for any booking modifications they agree to make via the Airbnb Platform or direct Airbnb customer service to make on their behalf ("Booking Modifications"), and agree to pay any additional amounts, fees, or taxes associated with any Booking Modification, which are notified to them prior to choosing to proceed with the Booking Modification.

4. Your Responsibilities and Assumption of Risk.

4.1 Your Responsibilities. To the maximum extent permitted by law, you are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you invite to join or provide access to any Accommodation or Experience or other Host Service. For example, this means: (i) you are responsible for leaving an Accommodation (and related personal property) in the condition it was in when you arrived, (ii) you are responsible for paying all reasonable Damage Claim amounts necessary to cover damage that you, your guest(s), or your pet(s) cause to an Accommodation, and (iii) you must act with integrity, treat others with respect and comply with applicable laws at all times. If you are booking for an additional guest who is a minor or if you bring a minor to a Host Service, you must be legally authorized to act on behalf of the minor and you are solely responsible for the supervision of that minor.

4.2 Your Assumption of Risk. You acknowledge that many activities carry inherent risks and agree that, to the maximum extent permitted by applicable law, you assume the risk arising out of your access to and use of the Airbnb Platform and any Content (as defined in Section 10), including your stay at any Accommodation, participation in any Experience, use of any other Host Service, or any other interaction you have with other Members whether in person or online. This means it is your responsibility to investigate a Host Service to determine whether it is suitable for you. For example, Host Services may carry risk of illness, bodily injury, disability, or death, and you freely and willfully assume those risks by choosing to participate in those Host Services.

Host Terms

5. Hosting on Airbnb.

5.1 Host. As a Host, Airbnb offers you the right to use the Airbnb Platform to share your Accommodation, Experience, or other Host Service with our vibrant community of Guests - and earn money doing it. It’s easy to create a Listing and you are in control of how you host - set your price, availability, and rules for each Listing.

5.2 Contracting with Guests. When you accept a booking request, or receive a booking confirmation through the Airbnb Platform, you are entering into a contract directly with the Guest, and are responsible for delivering the Host Service under the terms and at the price specified in your Listing. You are also agreeing to pay applicable fees like Airbnb’s service fee (and applicable taxes) for each booking. Airbnb Payments will deduct amounts you owe from your payout unless we and you agree to a different method. Any terms or conditions that you include in any supplemental contract with Guests must: (i) be consistent with these Terms, our Additional Legal Terms, Policies, and the information provided in your Listing, and (ii) be prominently disclosed in your Listing description.

5.3 Independence of Hosts. Your relationship with Airbnb is that of an independent individual or entity and not an employee, agent, joint venturer or partner of Airbnb, except that Airbnb Payments acts as a payment collection agent as described in the Payments Terms. Airbnb does not direct or control your Host Service and you understand that you have complete discretion whether and when to provide Host Services and at what price and on what terms to offer them.

6. Managing Your Listing.

6.1 Creating and Managing Your Listing. The Airbnb Platform provides tools that make it easy for you to set up and manage a Listing. Your Listing must include complete and accurate information about your Host Service, your price, other charges like cleaning fees, resort fees, offline fees, and any rules or requirements that apply to your Guests or Listing. You are responsible for your acts and omissions as well as for keeping your Listing information (including calendar availability) and content (like photos) up-to-date and accurate at all times. You are responsible for obtaining appropriate insurance for your Host Services and we suggest you carefully review policy terms and conditions including coverage details and exclusions. You may only maintain one Listing per Accommodation, but may have multiple Listings for a single property if it has multiple places to stay. Any offer of an Experience is subject to our Additional Terms for Experience Hosts in Section 25.

6.2 Know Your Legal Obligations. You are responsible for understanding and complying with any laws, rules, regulations and contracts with third parties that apply to your Listing or Host Services. For example: Some landlords and leases, or homeowner and condominium association rules, restrict or prohibit subletting, short-term rentals and/or longer-term stays. Some cities have zoning or other laws that restrict the short-term rental of residential properties. Some jurisdictions require Hosts to register, get a permit, or obtain a license before providing certain Host Services (such as short-term rentals, longer-term stays, preparing food, serving alcohol for sale, guiding tours or operating a vehicle). In some places, the Host Services you want to offer may be prohibited altogether. Some jurisdictions require that you register Guests who stay at your Accommodation. Some jurisdictions have laws that create tenancy rights for Guests and additional obligations for Hosts. For example, some places have landlord-tenant, rent control, and eviction laws that may apply to longer stays. Check your local rules to learn what rules apply to the Host Services you plan to offer. Information we provide regarding legal requirements is for informational purposes only and you should independently confirm your obligations. You are responsible for handling and using personal data of Guests and others in compliance with applicable privacy laws and these Terms, including our Host Privacy Standards. If you have questions about how local laws apply you should always seek legal advice.

6.3 Search Ranking. The ranking of Listings in search results on the Airbnb Platform depends on a variety of factors, including these main parameters:

  • Guest search parameters (e.g. number of Guests, time and duration of the trip, price range),
  • Listing characteristics (e.g. price, calendar availability, number and quality of images, Reviews, type of Host Service, Host status, age of the Listing, average Guest popularity),
  • Guest booking experience (e.g. customer service and cancellation history of the Host, ease of booking),
  • Host requirements (e.g. minimum or maximum nights, booking cut-off time), and
  • Guest preferences (e.g. previous trips, saved Listings, location from where the Guest is searching).

    Search results may appear different on our mobile application than they appear on our website. Airbnb may allow Hosts to promote their Listings in search or elsewhere on the Airbnb Platform by paying an additional fee. More information about the factors that determine how your Listing appears in search results, our current promotional programs (if any) and how we identify promoted Content can be found in our Help Center.

    6.4 Your Responsibilities. To the maximum extent permitted by law, you are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you allow to participate in providing your Host Services. You are responsible for setting your price and establishing rules and requirements for your Listing. You must describe any and all fees and charges in your Listing description and may not collect any additional fees or charges outside the Airbnb Platform except those expressly authorized by our Offline Fee Policy. Do not encourage Guests to create third-party accounts, submit reviews, provide their contact information, or take other actions outside the Airbnb Platform in violation of our Off-Platform Policy.

    6.5 Hosting as a Team or Organization. To the maximum extent permitted by law, if you work with a co-host or host as part of a team, business or other organization, you are responsible and liable as a Host under these terms for the acts and omission of each entity and individual who participates in providing your Host Services and you are required to inform personnel engaged by you to deliver any Host Services of your obligations under these Terms. If you accept terms or enter into contracts, you represent and warrant that you are authorized to enter into contracts for and bind your team, business or other organization, and that each entity you use is in good standing under the laws of the place where it is established. If you perform other functions, you represent and warrant that you are authorized to perform those functions. If you instruct Airbnb to transfer a portion of your payout to a co-host or other Hosts, or send payments to someone else, you must be authorized to do so, and are responsible and liable for the payment amounts and accuracy of any payout information you provide.

    6.6 Your Assumption of Risk. You acknowledge that hosting carries inherent risks and agree that, to the maximum extent permitted by law, you assume the risk arising out of your access to and use of the Airbnb Platform, offering Host Services, or any interaction you have with other Members whether in person or online. You agree that you have had the opportunity to investigate the Airbnb Platform and any laws, rules, regulations, or obligations that may be applicable to your Listings or Host Services.

    7. Cancellations, Travel Issues, and Booking Modifications.

    7.1 Cancellations and Travel Issues. In general, if a Guest cancels a Reservation, the amount paid to you is determined by the cancellation policy that applies to that Reservation. As a host, you should not cancel on a Guest without a valid reason under our Extenuating Circumstances Policy or applicable law. If you cancel on a Guest without such a valid reason, we may impose a cancellation fee and other consequences. If: (i) a Guest experiences a Travel Issue (as defined by the Rebooking and Refund Policy), (ii) an Extenuating Circumstance arises, or (iii) a Reservation is cancelled under Section 13 of these Terms, the amount you are paid will be reduced by the amount we refund or otherwise provide to the Guest, and by any other reasonable costs we incur as a result of the cancellation. If a Guest receives a refund after you have already been paid, or the amount of the refund and other costs incurred by Airbnb exceeds your payout, Airbnb (via Airbnb Payments) may recover that amount from you, including by offsetting the refund against your future payouts. You agree that Airbnb’s Rebooking and Refund Policy, Extenuating Circumstances Policy, and these Terms preempt the cancellation policy you set in situations where they allow for the cancellation of a Reservation and/or the issuance of refunds to Guests. If we reasonably expect to provide a refund to a Guest under one of these policies, we may delay release of any payout for that Reservation until a refund decision is made. If you host an Experience please note that the Experience Cancellation Policy, Experiences Guest Refund Policy and different cancellation fees and consequences apply to your Reservations. See each Policy for details about what is covered, and what your payout will be in each situation.

    You may appeal a decision by Airbnb by contacting our customer service.

    7.2 Booking Modifications. Hosts and Guests are responsible for any Booking Modifications they agree to make via the Airbnb Platform or direct Airbnb customer service to make on their behalf, and agree to pay any additional amounts, fees or taxes associated with a Booking Modification which are notified to them prior to choosing to proceed with the Booking Modification.

    8. Taxes.

    8.1 Host Taxes. As a Host, you are responsible for determining and fulfilling your obligations under applicable laws to report, collect, remit or include in your price any applicable GST or other indirect taxes, occupancy taxes, sales, tourist or other taxes ("Taxes").

    8.2 Collection and Remittance by Airbnb. In jurisdictions where Airbnb facilitates the collection and/or remittance of Taxes on behalf of Hosts, you instruct and authorize Airbnb to collect Taxes on your behalf, and/or to remit such Taxes to the relevant Tax authority. Any Taxes that are collected and/or remitted by Airbnb are identified to Members on their transaction records, as applicable. Airbnb may seek additional amounts from Members (including by deducting such amounts from future payouts) where Taxes collected and/or remitted are insufficient to fully discharge that Members’ tax obligations, and you agree that your sole remedy for Taxes collected by Airbnb is a refund from the applicable Tax authority. You acknowledge and agree that we retain the right, with prior notice to affected Members, to cease the collection and remittance of Taxes in any jurisdiction for any reason.

      8.3 Tax Information. In certain jurisdictions, Tax regulations may require that we collect and/or report Tax information about you, or withhold Taxes from payouts to you, or both. Where applicable, if you fail to provide us with documentation that we determine to be sufficient to support any such obligation to withhold Taxes from payouts to you, we may withhold payouts up to the amount as required by law, until sufficient documentation is provided. You agree that Airbnb may issue on your behalf invoices or similar documentation for GST or other Taxes for your Host Services to facilitate accurate tax reporting.

        General Terms

        9. Reviews.

        After each Host Service, Guests and Hosts will have an opportunity to review each other. Your Review must be accurate and may not contain any discriminatory, offensive, defamatory, or other language that violates our Content Policy or Review Policy. Reviews are not verified by Airbnb for accuracy and may be incorrect or misleading.

        10. Content.

        Parts of the Airbnb Platform enable you to provide feedback, text, photos, audio, video, information and other content (“Content”). By providing Content, in whatever form and through whatever means, you grant Airbnb a non-exclusive, worldwide, royalty-free, perpetual, sub-licensable and transferable license, to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit in any manner such Content to provide and/or promote the Airbnb Platform, in any media or platform, known or unknown to date and in particular on Internet and social networks. If Content includes personal information, such Content will only be used for these purposes if such use complies with applicable data protection laws in accordance with our Privacy Policy. Where Airbnb pays for the creation of Content or facilitates its creation, Airbnb may own that Content, in which case supplemental terms or disclosures will say that. You are solely responsible for all Content that you provide and warrant that you either own it or are authorized to grant Airbnb the rights described in these Terms. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party. Content must comply with our Content Policy and Nondiscrimination Policy, which prohibit, among other things, discriminatory, obscene, harassing, deceptive, violent and illegal content. You agree that Airbnb may make available services or automated tools to translate Content and that your Content may be translated using such services or tools. Airbnb does not guarantee the accuracy or quality of translations and Members are responsible for confirming the accuracy of such translations.

        11. Fees.

        Airbnb may charge fees (and applicable Taxes) to Hosts and Guests for the right to use the Airbnb Platform. More information about when service fees apply and how they are calculated can be found on our Service Fees page. Any applicable fees are disclosed to Guests before making a booking. Except as otherwise provided on the Airbnb Platform and to the extent permitted by law, service fees are non-refundable. Airbnb reserves the right to change the service fees at any time, and will provide Members at least 30 days’ notice of any fee changes before they become effective. Fee changes will not affect bookings made prior to the effective date of the fee change. If you disagree with a fee change you may terminate this agreement at any time pursuant to Section 13.2.

        12. Airbnb Platform Rules.

        12.1 Rules. You must follow these rules and must not help or induce others to break or circumvent these rules.

        • Act with integrity and treat others with respect.
          • Do not lie, misrepresent something or someone, or pretend to be someone else.
          • Be polite and respectful when you communicate or interact with others.
          • Follow our Nondiscrimination Policy and do not discriminate against or harass others.
        • Do not scrape, hack, reverse engineer, compromise or impair the Airbnb Platform.
          • Do not use bots, crawlers, scrapers, or other automated means to access or collect data or other content from or otherwise interact with the Airbnb Platform.
          • Do not hack, avoid, remove, impair, or otherwise attempt to circumvent any security or technological measure used to protect the Airbnb Platform or Content.
          • Do not decipher, decompile, disassemble, or reverse engineer any of the software or hardware used to provide the Airbnb Platform.
          • Do not take any action that could damage or adversely affect the performance or proper functioning of the Airbnb Platform.
        • Only use the Airbnb Platform as authorized by these Terms or another agreement with us. You may only use another Member’s personal information as necessary to facilitate a transaction using the Airbnb Platform as authorized by these Terms.
          • Do not use the Airbnb Platform, our messaging tools, or Members’ personal information to send commercial messages without their express consent.
          • You may use Content made available through the Airbnb Platform solely as necessary to enable your use of the Airbnb Platform as a Guest or Host.
          • Do not use Content unless you have permission from the Content owner or the use is authorized by us in these Terms or another agreement you have with us.
          • Do not request, make or accept a booking or any payment outside of the Airbnb Platform to avoid paying fees, taxes or for any other reason. See our Offline Fee Policy for exceptions.
          • Do not require or encourage Guests to open an account, leave a review, complete a survey, complete a survey, or otherwise interact, with a third party website, application or service before, during or after a Reservation, unless authorized by Airbnb.
          • Do not engage in any practices that are intended to manipulate our search algorithm.
          • Do not book Host Services unless you are actually using the Host Services.
          • Do not use, copy, display, mirror or frame the Airbnb Platform, any Content, any Airbnb branding, or any page layout or design without our consent.
        • Honor your legal obligations.
          • Understand and follow the laws that apply to you, including privacy, data protection, and export laws.
          • If you provide us with someone else’s personal information, you: (i) must do so in compliance with applicable law, (ii) must be authorized to do so, and (iii) authorize us to process that information under our Privacy Policy.
          • Read and follow our Terms, Additional Legal Terms, Policies and Standards.
          • Do not organize or facilitate unauthorized parties or events. You are responsible and liable for any party or event during your Reservation that violates our rules for parties and events, as incorporated by reference herein.
          • Do not use the name, logo, branding, or trademarks of Airbnb or others without permission, and only as set forth in our Trademark Guidelines.
          • Do not use or register any domain name, social media handle, trade name, trademark, branding, logo or other source identifier that may be confused with Airbnb branding.
          • Do not offer Host Services that violate the laws or agreements that apply to you. Do not offer or solicit prostitution or participate in or facilitate human trafficking.

        12.2 Reporting Violations. If you believe that a Member, Listing or Content poses an imminent risk of harm to a person or property, you should immediately contact local authorities before contacting Airbnb. In addition, if you believe that a Member, Listing or Content has violated our Standards, you should report your concerns to Airbnb. If you reported an issue to local authorities, Airbnb may request a copy of that report. Except as required by law, we are not obligated to take action in response to any report.

        12.3 Copyright Notifications. If you believe that Content on the Airbnb Platform infringes copyrights, please notify us in accordance with our Copyright Policy.

        13. Termination, Suspension and other Measures.

        13.1 Term. The agreement between you and Airbnb reflected by these Terms is effective when you access the Airbnb Platform (for example to create an account) and remains in effect until either you or we terminate the agreement in accordance with these Terms.

        13.2 Termination. You may terminate this agreement at any time by sending us an email or by deleting your account, or in the case of Experiences, by removing all of your Experiences from the Airbnb Platform. Airbnb may terminate this agreement and your account and/or remove your Listing(s) for any reason (including if your account has been inactive for more than two years) by giving you 30 days’ notice via email or using any other contact information you have provided for your account. Airbnb may also terminate this agreement immediately and without prior notice and stop providing access to the Airbnb Platform if (i) you materially breach these Terms or our Additional Legal Terms, or Policies, (ii) you violate applicable laws, or (iii) such action is necessary to protect the personal safety or property of Airbnb, its Members, or third parties (for example in the case of fraudulent behavior of a Member).

          Airbnb reserves the right to change our services, including to add or remove features and functionalities or change the types of Listings we accept or allow on the platform, including but not limited to: improve or update our services, prevent abuse, or respond to legal requirements. If we make material changes, we will provide you with 30 days’ advance notice, unless the changes are to prevent abuse or respond to legal requirements.

          13.3 Member Violations. If (i) you breach these Terms, our Additional Legal Terms, Policies, or our Standards, (ii) you violate applicable laws, regulations, or third-party rights, (iii) you have repeatedly received poor Reviews or Airbnb otherwise becomes aware of or has received complaints about your performance or conduct, (vi) you have repeatedly cancelled confirmed bookings or failed to respond to booking requests without a valid reason, or (vii) such action is reasonably necessary to protect the personal safety or property of Airbnb, its Members, or third parties, Airbnb may:

          • suspend or limit your access to or use of the Airbnb Platform and/or your account;
          • suspend or remove Listings, Reviews, or other Content;
          • cancel pending or confirmed bookings; or
          • suspend or revoke any special status associated with your account.

          In case of non-material breaches or where otherwise reasonable, you will be given reasonable notice of any actions that Airbnb proposes to take and an opportunity to remedy the non-material breach (if it is capable of remedy), unless such notification would (i) prevent or impede the detection or prevention of fraud or other illegal activities, (ii) harm the legitimate interests of other Members or third parties, or (iii) contravene applicable laws.

          13.4 Legal Mandates. Airbnb may take any action it determines is reasonably necessary to comply with applicable law, or the order or request of a court, law enforcement or other administrative agency or governmental body, including the measures described above in Section 13.3.

          13.5 Effect of Termination. If you are a Host and terminate your Airbnb account, any confirmed booking(s) will be automatically cancelled and your Guests will receive a full refund. If you terminate your account as a Guest, any confirmed booking(s) will be automatically cancelled and any refund will depend upon the terms of the Listing’s cancellation policy as specified on the Listing at the time of booking. When this agreement has been terminated, you are not entitled to a restoration of your account or any of your Content. If your access to or use of the Airbnb Platform has been limited, or your Airbnb account has been suspended, or this agreement has been terminated by us, you may not register a new account or access or use the Airbnb Platform through an account of another Member.

          13.6 Survival. Clauses 2, 3.1, 4, 5.2, 5.3, 6.2, 6.4, 6.5, 7.1, 8, 9, 10, 11, 12, 13.3, 13.4, 13.5, 13.7, 13.8, 15, 16, 17, 18, 19, 20, 21, 22 and 23 survive expiry or termination, together with any other terms that, by reasonable implication or to give them efficacy are, or are intended, to be performed in whole or in part after the expiry or termination of this agreement.

          13.7 Appeal. If Airbnb takes any of the measures described in this Section 13 you may appeal such a decision by contacting our customer service.

          14. Modification of these Terms.

          Airbnb may modify these Terms at any time. When we make material changes to these Terms, we will post the revised Terms on the Airbnb Platform and update the “Last Updated” date at the top of these Terms. We will also provide you with notice of any material changes by email, notifications through the Airbnb Platform, messaging service, or any other contact method made available by us and selected by you at least 30 days before the date they become effective. If you disagree with the revised Terms, you may terminate this agreement immediately as provided in these Terms. If you do not terminate your agreement before the date the revised Terms become effective, your continued access to or use of the Airbnb Platform will constitute acceptance of the revised Terms.

          15. Resolving Complaints and Damage Claims.

          15.1 If a Member provides valid evidence that you, your guest(s), or your pet(s) culpably damaged the complaining Member’s real or personal property, or real or personal property the complaining Member is responsible for, including consequential damages, ("Damage Claim"), the complaining Member can notify Airbnb and/or seek compensation through the Resolution Center. You will be notified of the Damage Claim and given an opportunity to respond. If you agree to pay, or if the Damage Claim is escalated to Airbnb and Airbnb reasonably determines that the Damage Claim is valid and you are responsible for the Damage Claim, Airbnb via Airbnb Payments can collect the amount of the Damage Claim from you.

          15.2 If the Host and Guest cannot resolve, or a Guest fails to pay a Damage Claim, the Host may notify Airbnb through the Resolution Center under the terms of the Host Damage Protection Terms and seek compensation. Airbnb will review the Damage Claim and ask the Host to provide any required evidence (e.g. through appropriate documents, photos, invoices, or third- party experts) which substantiates the Damage Claim and the Damage Claim amount. The Guest will be given the opportunity to respond and provide any relevant counter evidence. If Airbnb reasonably determines, under consideration of the evidence provided, the Host Damage Protection Terms, and applicable statutory rules on the burden of proof that the Guest is responsible for the Damage Claim, Airbnb (via Airbnb Payments) will pay out the Damage Claim to the Host. If Airbnb pays out the Damage Claim to the Host, Airbnb may collect the amount of the Damage Claim from the Guest, including by charging the guest’s Payment Method up to a maximum amount of $500 USD. Airbnb may also pursue claims for recovering Damage Claims amounts, including amounts exceeding the maximum amount applicable for charging the Guest’s Payment Method, against a Guest using any remedies it may have available under applicable law, including referral of the matter to a collections agency, and/or pursuit of available causes of action and/or claims against a Guest. Members may appeal a decision by Airbnb by contacting our customer service. As between Members and Airbnb, the burden of proof regarding the Damage Claim and the Damage Claim amount always lies with Airbnb.

          15.3 You agree to cooperate in good faith, provide any information Airbnb requests, execute documents, and take further reasonable action, in connection with Damage Claims, Member complaints, claims under insurance policies, or other claims related to your provision or use of Host Services.

          15.4 Any decisions made by Airbnb in relation to a Damage Claim will not affect your contractual or statutory rights.

              16. Airbnb’s Role.

              We offer you the right to use a platform that enables Members to publish, offer, search for, and book Host Services. When Members make or accept a booking, they are entering into a contract directly with each other. Airbnb is not and does not become a party to or other participant in any contractual relationship between Members. Airbnb is not acting as an agent for any Member except for where Airbnb Payments acts as a collection agent as provided in the Payments Terms. While we work hard to ensure our Members have great experiences using Airbnb, we do not and cannot control the conduct or performance of Guests and Hosts and do not guarantee (i) the existence, quality, safety, suitability, or legality of any Listings or Host Services or (ii) the truth or accuracy of any Listing descriptions, Reviews, or other Content provided by Members. You acknowledge that Airbnb has the right, but does not have any obligation to monitor the use of the Airbnb Platform and verify information provided by our Members. For example, we may review, disable access to, remove, or edit Content to: (i) operate, secure and improve the Airbnb Platform (including for fraud prevention, risk assessment, investigation and customer support purposes); ensure Members’ compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; (iv) address Member Content that we determine is harmful or objectionable; (v) take actions set out in these Terms; and (vi) maintain and enforce any quality or eligibility criteria, including by removing Listings that don’t meet quality and eligibility criteria. Where we remove or disable Content, we will notify a Member and provide the reasons for such a measure, unless such notification would (i) prevent or impede the detection or prevention of fraud or other illegal activities, (ii) harm the legitimate interests of other Members or third parties, or (iii) contravene applicable laws. You may appeal such a decision by contacting our customer service. Members agree to cooperate with and assist Airbnb in good faith, and to provide Airbnb with such information and take such actions as may be reasonably requested by Airbnb with respect to any investigation undertaken by Airbnb regarding the use or abuse of the Airbnb Platform.

              17. Member Accounts.

              You must register an account to access and use many features of the Airbnb Platform. Registration is only permitted for legal entities, partnerships and natural persons who are 18 years or older. You represent and warrant that you are not a person or entity barred from using the Airbnb Platform under the laws of the United States, your place of residence, or any other applicable jurisdiction. You must provide accurate, current, and complete information during registration and keep your account information up-to-date. You may not register more than one account or transfer your account to someone else. You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose your credentials to any third party. You must immediately notify Airbnb if you suspect that your credentials have been lost, stolen, or your account is otherwise compromised. You are responsible and liable for activities conducted through your Airbnb Account, unless such activities are not authorized by you and you are not otherwise negligent (such as failing to report the unauthorized use or loss of your credentials). If and as permitted by applicable law, we may, but have no obligation to (i) ask you to provide identification or other information, (ii) undertake checks designed to help verify your identity or background, (iii) screen you against third-party databases or other sources and request reports from service providers, and (iv) obtain reports from public records of criminal convictions or sex offender registrations or their local equivalents.

              18. Warranties.

              We do not endorse or warrant the existence, conduct, performance, safety, quality, legality or suitability of any Guest, Host, Host Service, Listing or third party. To the maximum extent permitted by law, we do not warrant the performance or non-interruption of the Airbnb Platform and we do not warrant that verification, identity or background checks conducted on Listings or Members (if any) will identify past misconduct or prevent future misconduct. Any references to a Member or Listing being "verified" (or similar language) indicate only that the Member or Listing or Airbnb has completed a relevant verification or identification process and nothing else. We are not responsible for outages or disruptions of the Internet and telecommunications infrastructure which are beyond our control and can lead to interruptions in the availability of the Airbnb Platform. Airbnb may, temporarily and under consideration of the Members’ legitimate interests (e.g. by providing prior notice), restrict the availability of the Airbnb Platform or certain features thereof, if this is necessary in view of capacity limits, the security or integrity of our servers, or to carry out maintenance measures that ensure the proper or improved functioning of the Airbnb Platform.

              19. Limitations on Liability.

              To the maximum extent permitted by law, no party, including Airbnb’s affiliates and personnel, or any other party involved in creating, producing, or delivering the Airbnb Platform or any Content, will be liable for any incidental, special, exemplary or consequential damages. Incidental, special, exemplary or consequential damages include, to the maximum extent permitted by law, lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services. Neither is Airbnb liable nor any other party liable, to the extent permitted by law, for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Terms, (ii) the use of or inability to use the Airbnb Platform or any Content, (iii) any communications, interactions or meetings you may have with someone you interact or meet with through, or as a result of, your use of the Airbnb Platform, or (iv) the publishing or booking of a Listing, including the provision or use of Host Services, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Airbnb has been informed of the possibility of such damage, even if a limited remedy set out in these Terms is found to have failed of its essential purpose.

              Except for (i) Airbnb’s obligation to transmit payments to Hosts under these Terms, (ii) Airbnb’s obligation to make payments under the Airbnb Host Damage Protection, which contains its own limitations of liability, and (iii) Airbnb’s wilful breach of these Terms, to the maximum extent permitted by law, in no event shall Airbnb’s aggregate liability for any claim or dispute arising out of or in connection with these Terms, interaction with any Members, or use of or inability to use the Airbnb Platform, any Content, or any Host Service, exceed: (A) to Guests, three (3) times the amount you paid for the relevant Reservation(s) giving rise to the liability, or (B) to Hosts, three (3) times the amount paid to you for the relevant Reservation(s) giving rise to the liability.

              Except in the case of a Member’s wilful breach of these Terms, to the maximum extent permitted by law, in no event shall a Member’s liability to Airbnb or any other party involved in creating, producing, or delivering the Airbnb Platform or any Content for any claim or dispute arising out of or in connection with these Terms, interaction with any Member, or use of or inability to use the Airbnb Platform, any Content, or any Host Service exceed: (A) in the case of Guests, three (3) times the amount you paid for the relevant Reservation(s) giving rise to the liability, or (B) in the case of Hosts, three (3) times the amount paid to you for the relevant Reservation(s) giving rise to the liability.

              20. Indemnification.

              To the maximum extent permitted by applicable law, you agree to release, defend (at Airbnb’s option), indemnify, and hold Airbnb (including Airbnb Payments, other affiliates, and their personnel) harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of: (i) your breach of these Terms (including any supplemental or additional terms that apply to a product or feature) or our Additional Legal Terms, Policies or Standards, (ii) your improper use of the Airbnb Platform, (iii) your interaction with any Member, stay at an Accommodation, participation in an Experience or other Host Service, including without limitation any injuries, losses or damages (whether compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of such interaction, stay, participation or use, (iv) your failure, or our failure at your direction, to accurately report, collect or remit Taxes, or (v) your breach of any laws, regulations or third party rights such as intellectual property or privacy rights. The indemnification obligation only applies if and to the extent that the claims, liabilities, damages, losses, and expenses have been adequately caused by your negligence or breach of a contractual obligation or, to the maximum extent permitted by law, the negligence and breach of a contractual obligation by those third parties for whose acts and omissions you are responsible under Sections 4.1 and 6.4 above.

              21. Contracting Entities.

              Based on your country of residence or establishment and what you are doing on the Airbnb Platform, Schedule 1 below sets out the Airbnb entity with whom you are contracting. If we identify through the Airbnb Platform, an Airbnb entity other than the one set out on Schedule 1 as being responsible for a product, feature or transaction, the Airbnb entity so identified is your contracting entity with respect to that product, feature or transaction. If you change your country of residence or establishment to a country outside of Australia, the Airbnb company you contract with and the applicable version of the Terms of Service will be determined by your new country of residence or establishment, from the date on which your country of residence or establishment changes.

              22. Applicable law and Jurisdiction.

              These Terms are governed by and construed in accordance with Irish law. If you are acting as a consumer and if mandatory statutory consumer protection regulations in your country of residence contain provisions that are more beneficial for you, such provisions shall apply irrespective of the choice of Irish law. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. As a consumer, you may bring any judicial proceedings relating to these Terms before the competent court of your place of residence or the competent court of Airbnb's place of business in Ireland. If Airbnb wishes to enforce any of its rights against you as a consumer, we may do so only in the courts of the jurisdiction in which you are a resident. If you are acting as a business, you agree to submit to the exclusive jurisdiction of the Irish courts.

              23. Miscellaneous

              23.1 Other Terms Incorporated by Reference. There are documents, policies and standards referred to in and linked from these Terms (including on our Additional Legal Terms page), which apply to your use of the Airbnb Platform, which are incorporated by reference to these Terms, and form part of the binding legal agreement between you and Airbnb.

              23.2 Interpreting these Terms. Except as they may be supplemented by additional terms, conditions, policies, guidelines, standards, and in-product disclosures, these Terms (including those items incorporated by reference) constitute the entire agreement between Airbnb and you pertaining to your access to or use of the Airbnb Platform and supersede any and all prior oral or written understandings or agreements between Airbnb and you. This clause does not exclude a party’s liability for prior false, misleading or deceptive statements or misrepresentations, where oral or written. These Terms do not and are not intended to confer any rights or remedies upon anyone other than you and Airbnb. If any provision of these Terms is held to be invalid or unenforceable, except as otherwise indicated in Section 24.11 below, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

              23.3 No Waiver. Subject to any limitation expressly stated in these Terms, or any document policy or standard incorporated into them, neither Airbnb’s or a Member’s failure to enforce any right or provision in these Terms will constitute a waiver of such right or provision unless acknowledged and agreed between the relevant parties in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.

              23.4 Assignment. You may not assign, transfer or delegate this agreement or your rights and obligations hereunder without Airbnb's prior written consent (not to be unreasonably withheld or delayed). Airbnb may without restriction assign, transfer or delegate this agreement and any rights and obligations hereunder, at its sole discretion, with 30 days’ prior notice. Your right to terminate this agreement at any time pursuant to Section 13.2 remains unaffected.

              23.5 Notice. Unless specified otherwise, any notices or other communications to Members permitted or required under this agreement, will be provided electronically and given by Airbnb via email, Airbnb Platform notification, messaging service (including SMS and WeChat), or any other contact method we enable you to provide. If a notification relates to a booking or Listing in Japan, you agree and acknowledge that such notifications via electronic means in lieu of a written statement, satisfies Airbnb’s obligations under Article 59 (1) of the Japanese Housing Accommodation Business Act.

              23.6 Third-Party Services. The Airbnb Platform may contain links to third-party websites, applications, services or resources (“Third-Party Services”) that are subject to different terms and privacy practices. Airbnb is not responsible or liable for any aspect of such Third-Party Services and links to such Third-Party Services are not an endorsement.

              23.7 Google Terms. Some translations on the Airbnb Platform are powered by Google. Google disclaims all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties for merchantability, fitness for a particular purpose and non-infringement. Some areas of the Airbnb Platform implement Google Maps/Earth mapping services, including Google Maps API(s). Your use of Google Maps/Earth is subject to the Google Maps/Google Earth Additional Terms of Service.

              23.8 Apple Terms. If you access or download our application from the Apple App Store, you agree to Apple’s Licensed Application End User License Agreement.

              23.9 Airbnb Platform Content. Content made available through the Airbnb Platform may be protected by copyright, trademark, and/or other laws of the United States and other countries. You acknowledge that all intellectual property rights for that Content are the exclusive property of Airbnb and/or its licensors and agree that you will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices. You may not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit any Content accessed through the Airbnb Platform except to the extent you are the legal owner of that Content or as expressly permitted in these Terms. Subject to your compliance with these Terms, Airbnb grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to (i) download and use the Application on your personal device(s); and (ii) access and view the Content made available on or through the Airbnb Platform and accessible to you, solely for your personal and non-commercial use.

                23.10 Airbnb.org. Airbnb.org is a nonprofit corporation exempt from income taxation under U.S. Internal Revenue Code Section 501(c)(3), operating as a public charity. Airbnb.org is not owned or controlled by Airbnb. Airbnb.org administers a number of charitable programs that benefit our Host and Guest communities and the public.

                23.11 Force Majeure. As between Airbnb and a Member, neither shall be liable to the other for any delay or failure to perform resulting from causes outside their reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor or materials. For the avoidance of doubt, this clause does not: (i) apply to a Reservation, which is subject to the Host’s cancellation policy and the Extenuating Circumstances Policy; or (ii) operate to extend deadlines applicable to a Resolution Centre Request, a Host Damage Protection claim, an Aircover for guests claim, a Travel Issue under the Rebooking and Refund Policy or Luxe Rebooking and Refund Policy, or an Experiences Issue under the Experiences Guest Refund Policy, or other requests, claims or reporting under similar policies that are incorporated by reference into these Terms.

                23.12 Emails and SMS. You will receive administrative communications from us using the email address or other contact information you provide for your Airbnb account. Enrollment in additional email subscription programs will not affect the frequency of these administrative emails, though you should expect to receive additional emails specific to the program(s) to which you have subscribed. You may also receive promotional emails from us. No fee is charged for these promotional emails, but third-party data rates could apply. You can control whether you receive promotional emails using the notification preferences in your account settings. Please note that you will not be able to take advantage of certain promotions if you disable certain communication settings or do not have an Airbnb Account.

                  24. United States Dispute Resolution and Arbitration Agreement.

                  24.1 Application. This Arbitration Agreement only applies to you if your country of residence or establishment is the United States. If your country of residence or establishment is not the United States, and you nevertheless attempt to bring any legal claim against Airbnb in the United States, this Arbitration Agreement will apply for determination of the threshold issue of whether this Section 24 applies to you, and all other threshold determinations, including residency, arbitrability, venue, and applicable law.

                  24.2 Overview of Dispute Resolution Process. Airbnb is committed to participating in a consumer-friendly dispute resolution process. To that end, these Terms provide for a two-part process for individuals to whom this Section 24 applies: (1) an informal negotiation directly with Airbnb’s customer service team (described in Section 24.3, below), and if necessary (2) a binding arbitration administered by the American Arbitration Association (“AAA”). You and Airbnb each retain the right to seek resolution of the dispute in small claims court as an alternative to arbitration.

                  24.3 Mandatory Pre-Arbitration Dispute Resolution and Notification. At least 30 days prior to initiating an arbitration, you and Airbnb each agree to notify the other party of the dispute in writing and attempt in good faith to negotiate an informal resolution. You must send your notice of dispute to Airbnb by mailing it to Airbnb’s agent for service: CSC Lawyers Incorporating Service, 2710 Gateway Oaks Drive, Suite 150N, Sacramento, California 95833. Airbnb will send its notice of dispute to the email address associated with your Airbnb account. A notice of dispute must include: the party’s name and preferred contact information, a brief description of the dispute, and the relief sought. If the parties are unable to resolve the dispute within the 30-day period, only then may either party commence arbitration by filing a written Demand for Arbitration (available at www.adr.org) with the AAA and providing a copy to the other party as specified in the AAA Rules (available at www.adr.org).

                  24.4 Agreement to Arbitrate. You and Airbnb mutually agree that any dispute, claim or controversy arising out of or relating to these Terms or the applicability, breach, termination, validity, enforcement or interpretation thereof, or any use of the Airbnb Platform, Host Services, or any Content (collectively, “Disputes”) will be settled by binding individual arbitration (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to our Dispute, you and Airbnb agree that the arbitrator will decide that issue.

                    24.5 Exceptions to Arbitration Agreement. You and Airbnb each agree that the following causes of action and/or claims for relief are exceptions to the Arbitration Agreement and will be brought in a judicial proceeding in state or federal court in San Francisco, California, unless we both agree to some other location: (i) any claim or cause of action alleging actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights; (ii) any claim or cause of action seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack); or (iii) a request for the remedy of public injunctive relief; or (iv) any individual claim of sexual assault or sexual harassment arising from your use of the Airbnb Platform or Host Services. You and Airbnb agree that the remedy of public injunctive relief will proceed after the arbitration of all arbitrable claims, remedies, or causes of action, and will be stayed pending the outcome of the arbitration pursuant to section 3 of the Federal Arbitration Act.

                    24.6 Arbitration Rules and Governing Law. This Arbitration Agreement evidences a transaction in interstate commerce and the Federal Arbitration Act governs all substantive and procedural interpretation and enforcement of this provision. The arbitration will be administered by the arbitrator in accordance with the Consumer Arbitration Rules and/or other AAA arbitration rules determined to be applicable by the AAA (the “AAA Rules“) then in effect, except as modified here. The AAA Rules are available at www.adr.org. In order to initiate arbitration, a completed written demand (available at www.adr.org) must be filed with the AAA and provided to the other party, as specified in the AAA rules.

                    24.7 Modification to AAA Rules - Arbitration Hearing/Location. In order to make the arbitration most convenient to you, Airbnb agrees that any required arbitration hearing may be conducted, at your option: (a) in the U.S. county where you reside; (b) in San Francisco County; (c) via phone or video conference. If the amount in controversy is $5,000 or less, the parties agree to proceed solely on the submission of documents to the arbitrator.

                    24.8 Modification of AAA Rules - Attorney’s Fees and Costs. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules. Either party may make a request that the arbitrator award attorneys’ fees and costs upon proving that the other party has asserted a claim, cross-claim or defense that is groundless in fact or law, brought in bad faith or for the purpose of harassment, or is otherwise frivolous, as allowed by applicable law and the AAA Rules.

                    24.9 Arbitrator’s Decision. The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award any relief allowed by law or the AAA Rules, but declaratory or injunctive relief may be awarded only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim.

                    24.10 Jury Trial Waiver. You and Airbnb acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable Disputes.

                    24.11 No Class Actions or Representative Proceedings. You and Airbnb acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, private attorney general action, or any other representative or consolidated proceeding. Unless we agree in writing, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If there is a final judicial determination that applicable law precludes enforcement of the waiver contained in this paragraph as to any claim, cause of action or requested remedy, then that claim, cause of action or requested remedy, and only that claim, cause of action or requested remedy, will be severed from this agreement to arbitrate and will be brought in a court of competent jurisdiction. In the event that a claim, cause of action or requested remedy is severed pursuant to this paragraph, then you and we agree that the claims, causes of action or requested remedies that are not subject to arbitration will be stayed until all arbitrable claims, causes of action and requested remedies are resolved by the arbitrator.

                    24.12 Severability. Except as provided in Section 24.11, in the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable, such provision will be severed and the remainder of the Arbitration Agreement will be given full force and effect.

                    24.13 Changes to Agreement to Arbitrate. If Airbnb changes this Section 24 after the date you last accepted these Terms (or accepted any subsequent changes to these Terms), you may reject that change by sending us written notice (including by email) within 30 days of the date the change is effective. Rejecting a new change, however, does not revoke or alter your prior consent to any earlier agreements to arbitrate any Dispute between you and Airbnb (or your prior consent to any subsequent changes thereto), which will remain in effect and enforceable as to any Dispute between you and Airbnb.

                      24.14 Survival. Except as provided in Section 24.12, and subject to Section 13.6, this Section 24 will survive any termination of these Terms and will continue to apply even if you stop using the Airbnb Platform or terminate your Airbnb Account.

                      Additional Terms for Experience Hosts

                      Nothing in this Additional Terms for Experience Hosts section (“Experience Host Terms”) shall be construed to amend or contradict the Terms unless explicitly stated. If there is a conflict between the Terms and the Experience Host Terms, the Experience Host Terms control to the extent of the conflict.

                      25. Experience Host Terms

                      25.1 Listing an Experience. To list an Experience, you must create a Listing and submit the Experience to Airbnb. Experiences must at all times meet the standards and requirements for Experiences. When listing an Experience you must, where applicable, fully educate and inform Guests about (i) any risks inherent or incidental to the Experience, (ii) any requirements for participation, such as the minimum age, related skills, or level of fitness, and (iii) anything else they may need to know to safely participate in the Experience (including dress codes, equipment, special certifications or licenses, etc.). Airbnb reserves the right to decide, in its sole discretion, whether a submitted Experience will be published on or remains on the Airbnb Platform.

                      25.2 Hosting Airbnb Guests. Once your Experience is published on the Airbnb Platform, you will have the ability to add dates and times when you offer your Experience through the Airbnb Platform (an "Instance"). By making an Instance of your Experience available on the Airbnb Platform, you agree that only people who book through Airbnb can attend that Instance of the Experience. You further agree that you will not allow people to attend any Instance of your Experience available on the Airbnb Platform unless that person booked through Airbnb (or was added as an additional Guest for a spot booked through the Airbnb Platform).

                      25.3 Social Impact Experiences. If you wish to provide an Experience that benefits a social impact organization (a "Social Impact Experience"), you and the benefitting organization must comply with the Social Impact Experience eligibility requirements. When listing a Social Impact Experience you (i) represent and warrant that you are duly authorized to act on behalf of the benefitting organization and (ii) acknowledge and agree that all payouts will be directed to an account owned by the benefitting organization unless the benefitting organization has obtained authorization from Airbnb as outlined in the Social Impact Experience eligibility requirements. You and the benefitting organization acknowledge that listing a Social Impact Experience does not create a commercial fundraising or co-venturer, or charitable trust relationship with Airbnb, and Airbnb is not a professional fundraiser or commercial participator. If the benefitting organization is a nonprofit, the nonprofit, and not Airbnb, is responsible for determining what, if any, portion of its Total Price is a charitable contribution and for providing Guests charitable tax receipts for any applicable charitable contributions. You and the benefitting organization are solely responsible for complying with all laws that apply to the organization and your Social Impact Experience.

                      25.4 Equipment. You are responsible for providing all equipment, including supplies, vehicles, venues and other materials ("Equipment") necessary to host your Experience. You are solely responsible for ensuring that the Equipment used in your Experience is in good working order and conforms to all laws pertaining to safety, equipment, inspection, and operational capability. Except as otherwise required by law, you assume all risk of damage or loss to your Equipment.

                      25.5 Additional Experience Host Responsibilities. You are responsible for (i) understanding and complying with all laws, rules and regulations that may apply to your Experience, (ii) obtaining any required licenses, permits, or registrations prior to providing your Experience; and (iii) ensuring that your Listing and/or Hosting of an Experience will not breach any agreement you may have with any third party. You can find additional information about some of the legal obligations that may apply to you on our Responsible Hosting pages.

                      25.6 Hosting as a Team or Organization. You must provide your Experience in person and may not allow any third party to provide the Experience on your behalf, unless authorized by Airbnb. Any member of a team, business, or organization that interacts with Guests must be added to an Experience via the method designated by the Airbnb Platform. See Section 6.5 for information about hosting as part of a team, business or organization as well as the Listing Management Terms of Service, which are incorporated herein.

                      25.7 Insurance. We may require that you obtain your own insurance in order to publish an Experience on the Airbnb Platform. We will provide you with reasonable notice of any changes to insurance requirements that apply to your Experience. In such cases, you agree to obtain and maintain insurance for you, the members of your team or organization, and/or your Experience with the coverage and in the amounts determined by us in our sole discretion for any and all activities that take place on your Experience. You agree to cooperate with Airbnb to verify such insurance coverage. In the event that Airbnb has obtained its own liability insurance that covers your Experiences, your insurance will be the primary source of coverage and Airbnb's insurance will operate as excess or secondary insurance for any amounts exceeding your coverage. Our procurement of such secondary insurance coverage does not relieve you of your obligation to obtain insurance in amounts required by us.
